Buildscale, Inc., d/b/a Vidyard, and our subsidiaries and affiliates (collectively, “Vidyard,” “we” or “us”) provide a business video platform service that helps businesses transform communications and sales through the use of online video. In this Vidyard Privacy Policy (this “Policy”), we explain how Vidyard collects, uses, discloses and otherwise processes the personal information described in this Policy, as well as the rights and choices individuals have regarding such personal information. Vidyard has customers in many jurisdictions, all with varying privacy laws and requirements. While we strive to take a consistent approach to privacy compliance across jurisdictions where possible, some terms, obligations, and rights may only apply or be available in, or may vary in, certain jurisdictions.

Vidyard’s platform and services are designed to help sellers and other businesses. In the course of providing our platform and services to business customers and conducting and managing our business and operations, we may collect and process personal information about customers, partners, applicants, vendors, and others who interact with us or our services. This Policy applies to the extent we process personal information on our own behalf, as a data controller. It does not apply to the personal information we process as a data processor, on behalf of our customers.
Vidyard’s customers may also collect, disclose, and otherwise process personal information about viewers of their content and others with whom they interact through our platform and services, or direct us to do on their behalf (as their data processor). Our customers are responsible for the personal information processed by or on their behalf through our platform and services—their processing activities are subject to their respective policies and practices, and not this Policy.
Your use of the Vidyard Websites and other Services is subject to the practices outlined in this Privacy Policy, as well as our Self-Serve Terms of Service (if applicable to you). If you do not agree with our practices set forth in this Policy, you should not interact with or use any of our websites or services or otherwise provide Vidyard with your personal information. Where Canadian law applies, by using our Websites and Services you are acknowledging and consenting to the collection and use of your personal information as described herein.
This Privacy Policy applies to the personal information we collect, as a data controller, related to:
Out of Scope. This Privacy Policy does not apply to the personal information that Vidyard processes as a data processor, on behalf of its customers, nor does it apply to the practices of our customers and other third parties that use the Services to distribute or show you videos or other content via our Services. You should review the privacy policies of those third parties for information on how they use your personal information.
In addition, this Privacy Policy does not apply to the personal information that we collect about our employees and personnel.
As further described below, we collect personal information directly from individuals, as well as from third parties. In addition, we automatically collect or derive information related to the use of our Websites and other Services or interactions with us. The personal information we collect depends upon how you use our Services or otherwise interact or engage with us or our Services.

We may also collect or compile aggregate, anonymous, and other non-identifiable data related to our business and the Services, which we may use and disclose for quality control, analytics, research, development and other purposes. Where we use, disclose or process de-identified data (data that is no longer reasonably linked or linkable to an identified or identifiable natural person, household, or personal or household device) we will maintain and use the information in deidentified form and not attempt to reidentify the information, except in order to determine whether our deidentification processes are reasonable and adequate pursuant to applicable privacy laws.
In this section, we describe the business and commercial purposes for which we collect, use, disclose and otherwise process personal information, as well as the legal basis for our processing pursuant to the GDPR and similar data protection laws. Keep in mind that our processing of personal information, as well as the applicable legal bases for doing so, varies depending upon the circumstances and your interactions with us.
Purposes of Collection, Use, Disclosure and Processing. While our collection, use, disclose and other processing of your personal information will vary depending upon the circumstances (such as your relationship or interactions with Vidyard), in general we may process personal information for the following purposes (and where required by applicable privacy law, we will obtain your consent to certain types of processing):

Certain laws, including the GDPR, UK and Brazilian data protection law, and similar laws, require that we inform you of the legal bases for our processing of your personal information. Vidyard discloses content and personal information, as directed or authorized by our customers. For example, some of the Services enable customers to upload, manage and publish content to their own websites or to third party websites and platforms, to invite others to view their content, and to otherwise communicate or interact using the Services. In addition, customer can consent to or authorize sharing and licensing of their content as part of certain features of the Services we offer. Vidyard and our third-party service providers use cookies, etags, pixels/web beacons, APIs and other similar technologies to automatically collect, record and share certain data about you and your online activities, when you visit our Websites or interact with our Services. The data collected may include, for example, your IP address and other online identifiers, browser and device info (e.g., browser/device type, operating system and version), referring URLs, online interactions and communications, interactions with the Vidyard Services), and other usage and activity data on our Websites and within our Services.
Some of these technologies are ‘necessary’ for our Services to function properly (e.g., to secure, protect, and optimize the performance of our Websites and other Services). Others may be used to enable third party features and functionality (e.g., social media and chat), analyze traffic and usage, record user sessions, detect and remember user settings, personalize experiences, measure and target content and ads (including on third party sites and services), or identify and resolve bugs and errors. You have certain choices about our use of cookies and tracking, as described in this section.
Cookies. Cookies are alphanumeric identifiers that we transfer to your device’s hard drive through your web browser for record-keeping purposes. Some cookies allow us to make it easier for you to navigate our Services, while others are used to enable a faster log-in process, support the security and performance of the Services, or allow us to track activity and usage data within Service.
Pixel tags. Pixels (sometime called web beacons, tags or clear GIFs) are tiny graphics with a unique identifier, similar in function to cookies. While cookies are stored locally on your device, pixel tags are embedded invisibly within web pages and online content. We may use these, in connection with our Services to, among other things, track the activities of users, help us manage content and compile usage statistics. We may also use these in HTML e-mails we send, to help us track e-mail response rates, identify when our e-mails are viewed, and track whether our e-mails are forwarded.
Third-party analytics and tools. We use third party tools on our Websites and in our Services, such as Google Analytics. These third-party companies may collect usage data (using cookies, pixels and similar tools) about our Services in order to provide us with reports and metrics that help us to evaluate usage of our Services and improve performance and user experiences. You can download the Google Analytics Opt-out Browser Add-on to prevent their data from being used by Google Analytics at https://tools.google.com/dlpage/gaoptout.
Cross-device tracking. We and our third-party providers may use the information that we collect about you within our Services and on other third-party sites and services to help us and these third parties to identify other devices that you use (e.g., a mobile phone, tablet, other computer, etc.).
Targeted advertising. We work with third party ad networks, channel partners, analytics and measurement services, and others (“third-party ad companies”) to provide personalized content and for targeted advertising purposes. We may provide or make available certain usage and browser data to these third-party ad companies, which they may combine with usage and browsing information collected from third-party sites, apps and sources. This information is used to provide you more relevant ads and content across third party sites and services, and to evaluate the success of such ads and content.
Custom lists and matching. We may create and share certain customer list information about our customers and prospective customers (such as email address and contact information), so that we can (i) better target ads and content to customers and prospective customers across third party sites, platforms and services, and (ii) in some cases, these third parties may help us to enhance our customer lists with additional demographic or other information, so we can better target our advertising and marketing campaigns (“Custom List Campaigns”). You can opt out of Custom List Campaigns, as set forth below, in the “Privacy Rights and Choices” section.
Managing your preferences. We make available several ways for you to manage your preferences regarding targeted advertising, matching and cookies on our Websites. Many of these are browser and device specific, which means that you need to set the preference for each browser and device you use to access our Services; in addition, if you delete or block cookies, you may need to reapply these preferences. Further, opting out of cookies and advertising as discussed below does not mean that you will no longer receive advertising content from us. You may continue to receive generic or “contextual” ads from us.
As further described in this section, in using the Services, Customers may:
Customers are responsible to obtaining all necessary permissions to collect and share personal information (including contact data) with Vidyard and others through the Services. Vidyard is not responsible for the collection, use and sharing of personal information by customers or their third-party integrations and services.
Connecting third-party accounts. Customers may link certain social media accounts (such as Google+ or YouTube) with their Vidyard account, and grant us permission to access/receive certain information from these accounts. The precise information varies but may include your profile name or user ID, contact information, and other information you agree to share when you connect your third-party account. You can unlink your social media account through your Vidyard account—after logging in to your Vidyard account, select “Groups” > click “Integrations” > and click “Remove” next to any social media account you would like to unlink.
Shared content. When customers share, post or publish videos and content on third party sites and platforms using the Services (e.g., by embedding our video player), Vidyard collects and processes information about that customer’s account and viewing and use of their videos and content on these third-party sites and platforms.
In addition, as noted above, customers may also use the Services and other third party tools to collect additional personal information about the viewers of their videos, including contact information such as name, title, email address, physical address, phone number, etc., and information about a viewer’s computer or mobile device or technology usage, including (for example) IP address, MAC address, unique device identifiers, unique identifiers set in cookies, and any information passively captured about a person’s online activities, browsing, application or hotspot usage or device location.
The Websites and Services may also contain links to third party websites or services. These links are intended for your convenience only. These websites and services are wholly independent from Vidyard and have separate privacy policies and data collection practices, independent of Vidyard. We have no responsibility or liability for these websites, their policies or their privacy practices. We encourage you to read the privacy policy of any websites you visit.
Protecting the safety of children when they use the Internet is very important to us. The Websites and Services are not designed or intended for use by minors. Vidyard does not knowingly collect the information of minors. Please contact us at [email protected]for any concerns or questions about children’s personal information.
Vidyard is headquartered in Canada, and the Services are hosted in the United States. Some or all of the personal information we collect may be stored or processed on servers located in Canada and the United States, and in other jurisdictions in which our service providers have operations. As such, we and our service providers may transfer your personal information to, or process it from, outside the country in which you reside, and your personal information may be subject to access requests from governments, courts, or law enforcement in those jurisdictions according to laws in those jurisdictions. The data privacy laws may not provide equivalent levels of protection as those in your home jurisdiction.
EU and UK Data Subjects. Canada’s PIPEDA law has received a finding of “adequacy” from the European Union under Article 45 of the GDPR. However, if you are in the EEA or the UK, and we process your personal information in a jurisdiction that the European Commission or the UK has deemed to not provide an adequate level of data protection (a “third country”), such as the United States, we will implement measures to adequately protect your personal information, such as putting in place standard contractual clauses approved by the European Commission or the UK or another measure that has been approved by the EU Commission or the UK as offering adequate safeguards for the protection of personal information when transferred to a third country. You may request additional information about the safeguards we have in place by contacting us as set forth in the “Contact Us” section below.
We have implemented safeguards that are intended to protect the personal information we collect from loss, misuse, and unauthorized access, disclosure, alteration, and destruction. Please be aware that despite our efforts, no data security measures can guarantee security.
Vidyard retains personal information only as long as necessary to serve the identified purposes for which it was collected, subject to legal requirements. You may also submit requests to delete and close your Vidyard account, as set forth in the “Privacy Rights and Choices” section below.
You have options when it comes to your account, content, and other personal information that Vidyard collects and processes. If you would like to submit a privacy request related to your personal information that Vidyard processes on behalf of one of our customers, you should contact that customer directly. If you require assistance in contacting one of our customers, you may contact our Data Privacy Office for support.
Unlink social media profile. Should you wish to unlink your Vidyard account from your social media profile, simply log into your account, select “Groups” and click “Integrations”. Select the specific Integration and click “Remove” next to the social media profile you would like to unlink.
Access, verify, correct, update or delete personal information. You can update certain information by logging into your account. You may also submit your request to our Privacy Request Center at preferences.vidyard.com. Vidyard shall respond and execute your request, subject to any contractual or legal restrictions.
Close your Vidyard account. If you wish to delete your account and stop doing business with Vidyard, please contact our customer service representative at [email protected]. Please note that we may retain account data and content for a period of time after you close your account, such as where necessary to meet our legal and compliance obligations or protect or defend legal rights.
Opting out. You can opt out of and/or withdraw your consent to certain processing activities by Vidyard, including:

For the purposes of the GDPR and data protection laws in the EU and the UK, Buildscale Inc., d/b/a Vidyard, is the data controller of your personal information collected pursuant to this Policy. (With respect to any personal information that we collect on behalf of our customers pursuant to the Services, our respective customers are the controllers, and we are a processor. This GDPR Privacy Notice does not cover circumstances where we are a processor.)

This California Privacy Notice applies to the personal information that we collect about California residents. It provides additional information for residents of California about our collection, use and disclosure of their personal information, as well as their privacy rights, under California privacy laws, including the California Consumer Privacy Act (“CCPA”).
Categories of personal information collected and disclosed. The table below identifies, generally, the categories of personal information (as defined by the CCPA) that we may collect, and have in the prior 12 months collected, about California residents, as well as the categories of third parties to whom we may disclose each category for a business or commercial purpose. In addition to the categories of third parties in the table below, if you are a California resident, we may also disclose personal information about you to our service providers, who process this information on our behalf, as well as to others as authorized or directed by you, or where necessary to comply with legal obligations or to protect or defend legal rights.
Identifiers: such as a real name, alias, postal address, unique personal identifier, online identifier, Internet Protocol address, email address, account name, Social Security number, driver’s license number, and other government identifiers.
Categories of Personal Information described in Cal.Civ. Code § 1798.80: including records that contain personal information, such as name, signature, photo, contact information, education and employment history, Social Security number and other government identifiers, insurance policy number, financial or payment information, medical information, as well as health insurance information.
Commercial Information: such as records of personal property, products or services purchased, obtained, or considered, or other purchasing or consuming histories or tendencies.
Internet or Other Electronic Network ActivityInformation: such as, without limitation, browsing history, search history, information regarding your interaction with our Websites and Services, physical and network access logs, and other network activity information related to your interactions with our Websites and Services.
Location Data: such as location information about a particular individual or device.
Audio, visual and other electronic data: such as, CCTV/video footage (e.g., collected from visitors to our offices), photographs, videos, custom avatars, call recordings and other audio recordings (e.g., recorded webinars and support calls), and customer videos and content.
Professional and employment-related information: such as professional memberships and certifications, qualifications and experience, references, resumes, cover letters and work history.
Education Information: such as degrees earned, educational institutions attended, transcripts, training records and other information about your educational history or background that is not publicly available personally identifiable information as defined under the Family Educational Rights and Privacy Act.
Inferences: including inferences drawn from any of the other personal information we collect about you and use to create a profile about your preferences, predispositions, behaviors, skill and aptitude, and other characteristics.
Characteristics of Protected Classifications UnderCalifornia and Federal Law: such as race/ethnicity, gender, sex, veteran status, disability, and other characteristics of protected classifications under California or federal law. (Note: generally, this information is collected on a voluntary basis and is used in support of our equal opportunity and diversity and inclusion efforts and reporting obligations or where otherwise required by law. )
Biometric information: physiological, biological or behavioral characteristics that can be used alone or in combination with each other to establish individual identity. We may collect such information if you choose to create a custom avatar and provide your consent to the processing of your biometric information.
Sensitive personal information: as further described above, in limited circumstances, some of the personal information we collect is deemed sensitive personal information under the CCPA, including government identifiers, precise geolocation (e.g., if you use one of our Apps), log-in credentials and communications/data from third party accounts (e.g., if you connect or integrate your Vidyard account with third-party accounts and platforms), biometric information (if you create a custom avatar using the Services), personal information about consumer’s health (e.g., if we need to provide you with an accommodation).
Sales and Sharing. California privacy laws define a “sale” as disclosing, or making available to a third-party, personal information in exchange for monetary or other valuable consideration, and “sharing” broadly includes disclosing or making available personal information for purposes of targeted advertising. As defined by the CCPA, we may “sell” or “share” certain categories of personal information, including (a) Identifiers, Commercial Information, Location Data, Internet or Other Network Activity Information, and Inferences about you with advertising and social media networks and data analytics providers, in order to measure, improve and evaluate our marketing and advertising campaigns and reach users with targeted advertising (including across third party sites and services); and (b) Identifiers, Location Data, Internet or Other Network Activity Information, and Audio, Visual and Other Electronic Data with third party partners for their own analytics, marketing, and targeted advertising uses. We do not sell or share personal information, (including sensitive personal information) about individuals who we know are under sixteen (16) years old. Please note, that we do not knowingly sell or share any Sensitive Personal Information including Biometric Information. However, we do not control the content of customer videos and content; it is possible that customer videos or content may incidentally include Biometric Information or other Sensitive Personal Information, to the extent a customer has created content or videos that include such information.
Purposes and Means of Collection, Use, Disclosure, and Processing. As described in more detail in the “Purposes of Collection and Processing of Personal Information” section of our Policy, we may collect, use and otherwise process personal information for the following business or commercial purposes:

In addition, we may disclose information to others, where necessary to comply with legal obligations, respond to legal requests, protect, enforce or defend legal rights or health and safety, and consider and implement business transactions.
Sensitive Personal Information. Notwithstanding the purposes described above, we do not use or disclose Sensitive Personal Information beyond the purposes authorized by the CCPA. Accordingly, we only use and disclose such information as reasonably necessary (i) to perform our services requested by you, (ii) to help ensure security and integrity, including to prevent, detect, and investigate security incidents, (iii) to detect, prevent and respond to malicious, fraudulent, deceptive, or illegal conduct, (iv) to verify or maintain the quality and safety of our services, (v) for compliance with our legal obligations, (vi) to our service providers who perform services on our behalf, and (vii) for purposes other than inferring characteristics about you.
Sources of Personal Information. In general, we may collect the categories of personal information identified in the table above from you directly, from our service providers, and from the following categories of sources:
Retention. We retain the personal information we collect only as reasonably necessary for the purposes described in our Privacy Policy or otherwise disclosed to you at the time of collection.

Submitting CCPA Requests. California residents may exercise their CCPA privacy rights as set forth below. We will process your request based upon the personal information in our records that is linked or reasonably linkable to the information provided in your request. In some cases, we may request additional information in order to verify your request, or where necessary to process your request.
Requests for Access, Correction, Deletion.California residents may submit CCPA requests to know, correct, and delete their personal information maintained by us:

We will take steps to verify your request, such as by (i) sending you an email confirmation link which you must click to confirm your request; and (ii) matching information provided by you, with the information we have in our records.
Requests to Opt Out. We provide several ways for you to opt out of sale and sharing:
Authorized Agents. Authorized agents may initiate a CCPA request on behalf of another California resident by emailing us at [email protected]. Authorized agents may be required to provide proof of their authorization, and we may also require that the relevant consumer directly verify their identity and the authority of the authorized agent (where permitted by the CCPA).
Rights Under California Shine the Light Law. Under California’s “Shine the Light” law (Cal. Civ. Code § 1798.83), customers of businesses that provide products and services for personal or household purposes may be entitled to request and obtain, free of charge, information about the personal information (if any) that the business has shared with third parties for their own direct marketing use. Such requests may be made once per calendar year. However, as noted, our Services are intended for business customers only. You may submit a “Shine the Light” request to us by emailing [email protected]and identifying your request as a “Shine the Light” request. However, we reserve the right to decline your request, if you are not entitled to make it under the “Shine the Light” law.
