Board Secretary
Location: Nairobi, Kenya
Term: 3 years, renewable
Time Commitment: Approx. 4-6 days per quarter
Our client, Baraka Healthnet is a non-profit organisation dedicated to improving the dignity and quality
of life of marginalised and vulnerable communities in Kenya. The organisation provides efficient, reliable,
accessible, and sustainable medical services while promoting health awareness and preventive practices
that empower individuals to take charge of their own well-being.
Baraka Healthnet operates in several areas, including Mathare Valley, Athi River, Korogocho, and Bomani
in Kilifi County. Through its community health initiatives, the organisation aims to strengthen access to
healthcare, promote social inclusion, and contribute to healthier and more resilient communities.
The organisation is governed by a Board of Directors that provides strategic leadership and oversight,
ensuring accountability, transparency, and alignment with the organisation’s mission and donor
expectations. The Board Secretary plays a key role in supporting effective governance, compliance, and
communication within the organisation’s leadership structure.
Purpose of the Role
The Board Secretary supports the Board by:
Organising and documenting Board meetings and resolutions;
Ensuring compliance with statutory and regulatory requirements in Kenya;
Maintaining accurate governance records and Board registers;
Facilitating communication between the Board, management, and regulators.
Key Responsibilities
Prepare and circulate meeting notices, agendas, and relevant papers; record accurate minutes and track
action points.
Maintain Board records, resolutions, policies, and member registers.
Ensure timely filing of statutory returns and reporting of Board changes to the NGO Board or
Registrar.
Support Board induction, succession planning, and annual reviews.
Provide guidance on governance best practices and compliance.
Serve as liaison between the Chair, Board members, management, and relevant authorities.
Competencies & Qualifications
Degree in governance, law, business administration, or a related field.
Member of the Institute of Certified Public Secretaries of Kenya (ICPSK) in good standing.
Proven experience within the social or development field, ideally in organisations working with
or funded by international partners.
Minimum of three years’ practical governance or secretarial experience post-qualification, ideally
under supervision of a certified professional.
Sound understanding of Kenyan NGO/PBO regulatory frameworks and governance best
practices.
Excellent organisational and communication skills, discretion, and integrity.
Confidentiality and impartiality are always mandatory.
Familiarity with digital collaboration tools for remote or hybrid meetings.
Accountability and Terms
The Board Secretary reports to the Chair and the full Board. The position receives a honorarium is in line
with the scope, board policy and sector best practices.
