FRANCHISE AGREEMENT

Franchisee Franchisor
PURPOSE
The purpose of this Franchise Agreement is to grant the Franchisee by the
Franchisor and provide a license for maintaining and operating the
franchised product or services. It is the responsibility of the Franchisee to
follow the terms in this agreement truthfully and honestly. Another purpose
of this Franchise Agreement is to make sure that both parties below are
aware of their responsibilities in this agreement.

FRANCHISE FEES

SELLING OR TRANSFERRING OF FRANCHISE
The Franchisee cannot sell the franchise to another entity. The Franchisee can
transfer the franchise to another entity with written documentation
approved by both parties.

FRANCHISE AGREEMENT
RESPONSIBILITIES & OBLIGATIONS
Franchisor
The Franchisor should provide training, instructions, and guidance at
the onset of the franchise business.
The Franchisor will provide the supply that will be used for the franchise
business.
The Franchisor can initially train employees of the Franchisee.
The Franchisor should comply with the standards when operating this
franchise service or product.
Franchisee
The Franchisee should pay the specified Franchise Fee as per the
agreed date.
The Franchisee should follow the content of this Agreement and the
laws of the state.
The Franchisee will be in control of managing, operating, and improving
the franchise business.
RIGHTS
The rights, copyrights, and trademarks of this franchise belong to the
Franchisor. The Franchisee will have limited rights to use the rights for the
purpose of marketing, promotion, and advertisements.
RENEWAL
If the party decided to have the franchise license renewed, then a new
agreement will be created after the term of the previous agreement.
TERMINATION
This Franchise Agreement can be terminated if the parties involved violated
the terms, conditions, and agreement in this document.
Non-payments or violations of the payment agreement which is a separate
agreement from this one can result in termination of this Agreement.
CONFIDENTIALITY
The content of this Franchise Agreement is considered strictly confidential. If
third party needs to view it, written approval or authorization should be
provided by both parties.
INSURANCE
The Franchisee will be responsible for having insurance and maintaining it.
This includes comprehensive insurance, automobile insurance, worker's
insurance, and other insurance required by the state or location.

FRANCHISE AGREEMENT
INDEMNIFICATION
The Franchisor will not be liable for any expense, damage, or loss to any
person or Franchise. The Franchisor will not be liable for any injury, illness, or
damage to other persons.
SEVERABILITY
Any provision found in this Franchise Agreement shall be held illegal, invalid,
or unenforceable by any competent court, the same shall apply only to the
provision and the rest of the remaining provisions hereto shall remain valid.
WAIVER
The Parties involved in this Franchise Agreement have the ability to waive
any provision, rights, or obligations, under this Franchise Agreement. If there
should be any provision, rights, or obligations that need to be waivered, a
written agreement and approval will be required.
ENTIRE AGREEMENT
This Franchise Agreement represents the agreement between the parties
involved. Any agreements made such as prior understandings, either oral or
written, which are not incorporated into the conditions herein will be invalid.
AMENDMENT
No modification or change of this Franchise Agreement shall be considered
valid unless made in writing and agreed upon by the involved parties.
GOVERNING LAW
This Franchise Agreement shall be governed under the law of
__________________.
SIGNATURE
By signing below, you agreed to the terms and conditions, payments, and all
the content of this Franchise Agreement.
