isionary Recruitment is engaged in the business of providing world class placement related

services to variousindustriesandtheClientisdesirousofengagingtheservicesofConsultancy
Service to recruit resources for their operations.
Now therefore, the contract hasfollowing understanding,terms and conditions:
A. Responsibilities of the Client and Visionary Recruitment
1 . VisionaryRecruitmentwillproviderecruitmentservicestoClientbyreferringcandidatesin
accordance with the job descriptions specified to it by Client. Visionary Recruitment will
provide any information it has regarding a candidate’s efficiency, honesty and reliability.
2 . Visionary Recruitment will source and submit relevant resumes aspertheresourcerequest
fromClientwithin a period of 4-5 working days fromthe receipt of the request.
3 . The arrangement includes selecting of candidates forwarded by Visionary Recruitment,
interviewing them and negotiating and finalizing terms of employment with the candidates.
4 . Client shall make its best efforts to employ, and / or arrange for the employment of the
candidates shortlisted / recommended Visionary Recruitment according to the terms agreed
upon.
5 . Clientsshallemploytheseselectedcandidatesontheirownpayrollorontheirpayrollfora
permanent / contractual job. This will be totally at the discretion of Client and the selected
candidate to decide on the terms ofemployment.VisionaryRecruitmentwillnotbeanywhere
responsibleforanydispute/breacharisingoutofthisagreementbetweenClientandtheselected
candidate/s.
6 . Client shall intimate Visionary Recruitment whether a candidate recommended by
Visionary Recruitmenthas been selected or rejected within a reasonable timeframe.
7 . Visionary RecruitmentshallrefrainfrominitiatinganycontactswithemployeesofClient,
other than those in HR, recruitment teams and those authorized byClient.
8 . Once the candidate receives an offer letter, Visionary Recruitment takesnoresponsibility
for the candidate's performance or any obligations related to the recommended candidate.
9 . Visionary Recruitment will endeavour to verify/ access the background/character of the
selected candidate. However, Visionary Recruitment will not undertake any responsibility for
anyloss/financialobligationtotheClientoritsassociatesarisingoutofanyactofanycandidate
recommended byVisionary Recruitment.
1 0. VisionaryRecruitmentwillnotberesponsibleforthephysicalfitnessofanyrecommended
candidate andClientwill have to assess the selected candidate’s physical fitness.
1 1. Both Client and Visionary Recruitment shall ensure confidentiality of each other’s
information, documents etc.,
Compensation
ur service charges will be 8.33% of the annual Cost to the Company (CTC) of the selected

candidates.
1. Invoices will be issued within 15 days from the candidate's joining date
2. The payment should be released within 30 days of the invoice date.
3.Ifthe selected candidate is terminated by the Client on grounds of misconduct / medical fitness/
n on-performance / resignation within 60 days from date of joining, theVisionary Recruitment will
provide a replacement free of charge.
Termination
A. This agreement cannot be terminated by the client in any situation at the cause of the
agreement period.
B. T
his agreement is considered as Legal agreement between consultancy and the company, if
the company breaches their obligation with the consultancy then this agreement is
enforceable under court of law.
C. T
his contract is purely a consultancy service contract rendered by Visionary Recruitment on
account of its expertise in the field for sourcing, recruiting, screening and recommending the
right candidate.
Governing Law
his Agreement shall be construed, interpreted and enforced in accordance with the laws of the

state of Tamil Nadu.
Validity of terms
he contract is valid for one year from the timeitcomesintoeffectandrenewableeachyearon

mutually agreeable terms and conditions
I N WITNESS WHEREOF, Visionary Recruitmentand Clienthave duly executed and delivered
this Agreement as of the day first written above.
