VIDEO EDITING SERVICES AGREEMENT
This Video Editing Services Agreement (“Agreement”) is entered into on this

The Agency and the Client shall collectively be referred to as “Parties” and
individually as a “Party”.
1. Scope of Work
The Agency agrees to provide professional video editing services as outlined in
Annexure A. This may include editing raw footage, adding transitions, color
correction, subtitles, sound enhancement, and final rendering of video files.
2. Timeline
The Services will commence on [Start Date] and the final deliverables will be
submitted by [End Date], unless extended by mutual written consent.
3. Fees and Payment Terms
Total Project Fee: ₹[Amount]
Payment Schedule:

Late Payment: A delay of more than 7 days from the due date shall attract
interest at 2% per month.
4. Revisions
The Client is entitled to [Number] rounds of revisions. Additional revisions will
be charged at ₹[Rate] per hour or a mutually agreed flat fee.
5. Confidentiality
Both Parties agree to maintain the confidentiality of all information exchanged
under this Agreement and to not disclose it to any third party without written
consent, except as required by law.
6. Data Protection & Privacy
Each Party agrees to comply with applicable data protection laws, including the
Information Technology Act, 2000 and any rules thereunder.
• The Agency shall only use Client-provided data for the purpose of delivering
services under this Agreement.
• Personal data shall be stored securely and deleted upon project completion,
unless otherwise agreed.
7. Intellectual Property Rights
Upon full payment, all intellectual property rights in the final deliverables shall
be assigned to the Client. The Agency retains the right to use edited or final
content for its portfolio and promotional use unless otherwise prohibited in
writing by the Client.
8. Client Warranties
The Client confirms that all materials (videos, music, logos, etc.) provided to
the Agency are owned by the Client or that the Client holds a valid license for
use. The Client indemnifies the Agency from any third-party claims related to
such content.
9. Non-Solicitation
The Client agrees not to directly solicit or hire any employee or subcontractor
of the Agency for a period of twelve (12) months following the completion of
the project.
10. Termination
Either Party may terminate this Agreement by giving 14 days written notice.
In case of termination:
• The Agency shall be paid for services rendered up to the date of termination.
• Any advance paid shall be non-refundable unless the Agency fails to deliver
any services.
11. Limitation of Liability
Except in cases of gross negligence or willful misconduct, the Agency’s
liability under this Agreement shall not exceed the amount paid by the Client
for the services.
12. Dispute Resolution & Arbitration
Any dispute arising out of or in connection with this Agreement shall be
resolved through good faith negotiation between the Parties. If not resolved
within 30 days, the dispute shall be referred to arbitration under the Arbitration
and Conciliation Act, 1996.
• Arbitration shall be conducted by a sole arbitrator appointed mutually.

13. Jurisdiction and Governing Law
This Agreement shall be governed by and construed in accordance with the
laws of India, and subject to the above arbitration clause, the courts of [City,
State] shall have exclusive jurisdiction.
14. Force Majeure
Neither Party shall be held liable for delay or failure in performance due to
events beyond their reasonable control, including but not limited to acts of God,
war, government orders, pandemics, or natural disasters.
15. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and
supersedes all prior oral or written discussions or agreements.
16. Amendments
Any changes or modifications must be in writing and signed by both Parties.
