SALE DEED

THIS SALE DEED is made and entered into at Dombivli on this ____ day of January,
2025.
B E T W E E N

MISS. DESIREE PACO, (Pan No. AKJPP5516B), Aged 47 Years, Currently residing at
(overseas address) Holding Overseas Citizenship of India (OCI)/ or Passport No. Z5570123. and
having her residence at Residing at Residing at 1002, A WING, 10th FLOOR, HABIB
PALACE, 2nd SANKLI STREET, BYCULLA WEST, MUMBAI - 400008. Hereinafter
referred to as “THE TRANSFEROR” (which expression shall unless it be repugnant to the
context or meaning thereof shall mean and include their legal heirs, executors, administrators and
assignees) of the FIRST PART.

AND

1) MRS. SHARDA R RAJPUROHIT, (Pan No. AJZPR0408D), Aged 49 Years, Residing at


& 2) MR. DILIP RAJENDRA RAJPUROHIT, (Pan No. CFKPR8780K), Aged 31 Years,
Residing at G-303, CHANDRESH KAILASH, KALYAN SHIL ROAD, LODHA HEAVEN,
DOMBIVLI EAST - 421204. Hereinafter referred to as “THE TRANSFEREES” (which
expression shall unless it be repugnant to the context or meaning thereof shall mean and include
their legal heirs, executors, administrators and assignees) of the SECOND PART.

WHEREAS The TRANSFEROR has purchased a Flat vide Agreement for Sale from
M/S. LODHA DWELLERS PRIVATE LIMITED, dated 16/12/2010 and registered with Sub-
registrar Kalyan-2 on 20/01/2011 under document No. 670/2011. And such is the owner of
Flat No. 101, on 1st Floor, H- Wing, and admeasuring about 488 square feet Carpet area
(With One Open Car Parking Space No. 1555) of Building known as “ALURA” Co-Op.
Housing Society Limited. In “CASA BELLA GOLD” Project, at Village Nilje, Kalyan-Shill
Road, Dombivli (E) 421204. Taluka Kalyan, Dist. Thane. (More particular described in the
schedule hereinafter referred to as "the said Flat")

AND WHEREAS the TRANSFEROR is the members of “ALURA” Co-Op. Housing


Society Limited registered under the Maharashtra Co-operative Housing Society Act 1960
vide Registration No. TNA/DOM/HSG/TC/27197/2015, Dated 13/04/2015. (Hereinafter
referred to as "the said Society").

AND WHEREAS by virtue of the TRANSFEROR being the holder of 10 shares, Each
Share Rs. 500/- of total value of Rs.1,92,000/- divided into 3,840/- bearing Nos. from _____ to
______ and Share Certificate No. ____. (Hereinafter referred to as the said shares).

AND WHEREAS the TRANSFEROR is absolutely seized and possessed of and are
otherwise well and sufficiently entitled as the owner of the said Flat in the said Building of the
said Society.

AND WHEREAS the TRANSFEROR herein being desirous of selling the Schedule
property has agreed to sell and transfer and the TRANSFEREES have agreed to purchase all
right, title and interest of the TRANSFEROR in the said Flat and the said Shares and the right
of occupation of the said Flat in the said building of the said Society including his right, title and
interest in the said Flat for a total sale consideration of Rs. 34,00,000/- (Rupees Thirty-Four
Lakhs Only).
AND WHEREAS the Parties hereto have agreed to record the Terms and Conditions for
sale in an Agreement for sale dated ________ registered with sub registrar of assurances at
______ under serial no ________ for a total sale consideration of Rs. 34,00,000/- (Rupees
Thirty-Four Lakhs Only). TRANSFEREES have agreed to purchase and acquire the right,
title and interest of the TRANSFEROR in the said Flat including the said shares of the
TRANSFEROR in the said Society;
AND WHEREAS in consideration hereof the TRANSFEREES having paid the entire
sale consideration of Rs. 30,00,000/- (Rupees Thirty Lakhs Only).as aforesaid the receipt of
which has been duly acknowledged by the TRANSFEROR, the TRANSFEROR, as beneficial
owner, DOES HEREBY GRANT, CONVEY, TRANSFER, BY WAY SALE AND ASSIGN
unto and in favour of the TRANSFEREES of the schedule property and every part thereof
together with the right, title and interest therein, with all the benefits advantages, belonging to
and reputed to Schedule property TO HOLD, TO POSSESS AND TO ENJOY the same forever
free from all encumbrances, charges, all kinds of mortgage, agreement to sell, court litigation's
and any other statutory charges.

AND WHEREAS the TRANSFEROR hereby declares and covenants with the
TRANSFEREES that she is the sole and absolute owner of the Schedule property and has a
clear, legally valid and marketable title thereto and therefore, an absolute right to sell and convey
the same to the purchaser in terms of this deed. The TRANSFEROR further declares that she
has not done any acts, deeds or things so as to curtail, restrict or prejudice his right to convey or
prevent him from selling the Schedule property.

WHEREAS the TRANSFEREES having now paid the entire sale consideration as
detailed below, has requested the TRANSFEROR to execute the Sale deed in his favour and the
TRANSFEROR has duly agreed thereto.

NOW THEREFORE THIS DEED OF ABSOLUTE SALE WITNESSETH AS
HEREUNDER:

1. The TRANSFEROR hereby confirms that the TRANSFEREES has paid the
entire sale consideration of Rs. 34,00,000/- (Rupees Thirty-Four Lakhs Only).. as under:

a. Rs. _____________/- (Rupees ______________ Only) paid before the execution of this
agreement as Earnest Money (the receipt whereof the TRANSFEROR hereby admit and
acknowledge in the presence of witnesses);

b. Rs. _____________/- (Rupees ______________ Only) will be payable by raising Home


Loan within 45 days from the date of receiving mortgage NOC from the society.
c. TDS
The TRANSFEREES shall deduct TDS from the sale consideration payable to the
TRANSFEROR, TDS @14.3%) as provided under section 195 of the Income Tax Act,
1961 to enable the transferees to deposit the same with the Income-Tax Department and
shall produce the evidence of payment of said amount and issue a certificate in the
prescribed form to the TRANSFEROR.
d. The Balance consideration shall be paid within the given time limit after registration of
the said agreement and will be finally paid on or before and against the delivery of vacant
and peaceful possession of the said Flat by the TRANSFEROR to the TRANSFEREES
and completion of all the formalities of transfer and registration of the said flat and the
said shares;

2. The TRANSFEROR hereby further declares that the schedule property is free from all
encumbrances, lien, charge, mortgage, lease, court or other attachments, lispendens,
acquisition and requisition proceedings, minor's claims or any other or any otheradverse
proceedings or claims from third parties which are in any way detrimental to the interest
of the TRANSFEREES.

3. The TRANSFEROR and TRANSFEREES hereby agrees and confirms that the amount
of consideration stated hereinabove in respect of the said flat is adequate and reasonable
and none of the parties have any grievance about the same.

4. Simultaneously upon execution of these presents, the TRANSFEROR have handed over to
the TRANSFEREES the quiet, vacate and peaceful possession of the said flat free
from all encumbrances with all the rights, tittle, interests and benefits attached thereto as
the absolute owner thereof.

5. The TRANSFEROR have obtained the NOC dated _______ from the society for the sale
ad transfer of the said flat in favour of the TRANSFEREES.

6. . The TRANSFEROR have handed over the original documents pertaining to the said
flat .

7. The TRANSFEROR solemnly declares that -

a. That the TRANSFEROR has paid all the dues and outgoings in respect of the said Flat
up-to-date.

b. That the said Flat is free from any kind of encumbrances.

c. That the said Flat and shares belong to the TRANSFEROR absolutely and that no other
person/s have any right, title or interest whatsoever therein by way of gift exchange,
mortgages, charges, lien, sale, inheritance, lease or otherwise in the said shares / said flat.

d. That notwithstanding anything herein contained, any act, deed, matter or thing of
whatsoever nature done by the TRANSFEROR or any person/s lawfully or equitably
claiming by, through or in trust the TRANSFEROR has full right, power and absolute
authority to sell or transfer to the TRANSFEREES the said Flat and the
TRANSFEROR has full right, title and interest in the said shares and that the
TRANSFEROR has not done any act of omission or commission whereby the
ownership, possession and/or occupation of the said shares of the TRANSFEROR may
be rendered illegal and/or unauthorized for any reason or on any account.

8. The TRANSFEROR declares and covenants with the TRANSFEREES that the said
Flat and their shares are free from encumbrances of any nature whatsoever and that the
TRANSFEROR has full right, title and interest in the said Flat and have full right and
authority to assign and transfer their entire interest in the said Society including the said
Flat and the said Shares to the TRANSFEREES.

9. The TRANSFEROR covenants and assures the TRANSFEREES that their Membership
of the said Society is subsisting and is in full force and has not been terminated.

10. The TRANSFEROR shall sign and execute all further and necessary documents, papers,
forms and writings as may be necessary for completing the transfer of all utility
connections and security deposits available with the utility service providers of Water,
Property Tax, Electricity and Gas to the name of the TRANSFEREES. The
TRANSFEROR is responsible to perfectly assure and effectually transferring the
utilities available in the said premises unto and to the use of the TRANSFEREES.

11. The TRANSFEREES covenants, with the TRANSFEROR that he shall always
abide by the Rules, Regulations and Bye-laws of the said Society and shall pay the

municipal taxes and maintenance charges in respect of the said Flat from the day
the TRANSFEROR delivers possession of the said Flat to the TRANSFEREES.

12. It is agreed between the TRANSFEROR and the TRANSFEREES that the
expenses for stamp duty on these presents or on final sale deed and registration
charges in respect of this transfer shall be borne and paid by the TRANSFEREES
alone and the TRANSFEROR shall not be liable to pay the same or any part
thereof. However, the stamp duty or duties and charges in respect of all previous
transfers in respect of the said flat shall be the responsibility of the
TRANSFEROR.

13. This Deed shall be governed by and interpreted by and construed in accordance
with laws of India

FIRST SCHEDULE OF PROPERTY

All that piece and parcel of land bearing Survey No. 4/3, 12/9A, 7/1A, 187,

216/1B, 216/1D, 217, 187, 188/1, 188/2, 216/1A, 216/1B, 216/1C, 216/1D, 216/2, 217

and Others of Mouje Nilje, Tal. Kalyan, Dist. Thane and within the Registration Dist.

Thane and Sub-Registration Dist. Kalyan.
