Subject: Resignation Letter with Acknowledgment of Non-Disclosure Terms
Dear George Mathew,
I am writing to formally resign from my position as the branch manager at General
Tyre & Treads Pvt. Ltd., effective __________________.
I want to take this opportunity to thank you and the entire team at General Tyre &
Treads Pvt. Ltd. for the valuable experiences, professional development, and support I have
received during my tenure. It has been a privilege to be part of this organization.
I would also like to formally acknowledge my continued obligation under the Non-
Disclosure Agreement (NDA) as below signed on 24.7.2025. I fully understand that the
confidentiality terms remain in effect even after my departure. I remain committed to
safeguarding any proprietary, sensitive, or confidential information acquired before and
during my employment and will not disclose or use it in any unauthorized manner.
EMPLOYEE NON-DISCLOSURE TERMS
1. Confidential Information
The Employee agrees that during and after their employment with General Tyre &
Treads Pvt. Ltd., that they shall not disclose, use, or permit the use of any
Confidential Information belonging to the Company, its clients, or affiliates.
2. Definition of Confidential Information
"Confidential Information" includes but is not limited to:
Trade secrets, business plans, pricing, financial data, marketing strategies, client or
supplier information, operational procedures, product designs, and technical
information.
Any information marked as “confidential” or that a reasonable person would
understand to be confidential given its nature and context.
3. Use of Confidential Information
The Employee agrees not to use any Confidential Information for personal benefit or
for the benefit of any third party. All such information remains the exclusive property
of the Company.
4. Return of Company Property
Upon resignation or termination, the Employee shall return all physical or digital
materials containing Confidential Information, including documents, files, devices,
access credentials, and any other proprietary items belonging to the Company.
5. Duration
This obligation of confidentiality remains in force during the term of employment and
shall continue for a period of 7 years after termination.
6. Legal Remedies
Any breach of these terms may result in legal action, including but not limited to
injunctions, monetary damages, and recovery of legal fees.
7. Liquidated Damages
The Employee agrees to pay liquidated damages of the amount of actual loss
incurred by General Tyre & Treads Pvt. Ltd. and multiplied by 10 years of
compensation of the actual loss incurred, as a reasonable estimate of the loss
caused by the breach. This does not limit General Tyre & Treads Pvt. Ltd. right to seek
additional remedies.
8. Injunctive Relief and Legal Action
In addition to monetary damages, General Tyre & Treads Pvt. Ltd. shall be entitled to
seek immediate injunctive relief (court orders) to prevent further unauthorized
disclosure or use of confidential information. The breaching party shall also be liable
for all legal costs and attorney’s fees incurred by General Tyre & Treads Pvt. Ltd. in
enforcing this agreement.
9. Governing Law
This agreement shall be governed by the laws of Chennai, High Court, State of Tamil
Nadu, Republic of India.
Employee Acknowledgment
I, ______________________________________, acknowledge that I have read,
understood, and agree to abide by the above Non-Disclosure Terms. I also
acknowledge and accept that I have received my full and final settlement via
(Cheque # ______________ for 25,000, Cheque # ______________ for 25,000,
Cheque # ______________ for 25,000, Cheque # ______________ for 20,000, from
the company and hold no further claim / demands / outstanding / recoveries
towards them.
