ARTICLES OF ASSOCIATION
OF
AYOLEEZA CONSULTANTS PRIVATE LIMITED
PRELIMINARY
1. i. The regulation contained in table “A” to the first schedule to the companies
Act, 1956 or any statutory modifications thereof and so far applicable to private companies, shall
apply to this company subject to modifications, additions and alterations herein after contained
and so far as they are not inconsistent with any of the provisions contained in these regulations.
ii. The marginal notes here to shall not alter the construction hereof in these regulations
unless there be something in the subject or context inconsistent therewith.
“The Act” means the companies Act, 1956 or any statutory modifications thereof for the
time.
"Annual General Meeting” means meeting held pursuant to the provisions of section
166.
" Board” means the Board of Directors of the Company.
“ Dividend” includes Bonus.
" The Office “means the Registered office for the time being of the company.
“ Register” means the register of members to be kept pursuant to the Act.
“ Section” referred to in these regulation means the section of the Act.
"In writing and written” includes words printed, lithographed, represented or
reproduced in any visible mode or form. Words importing the masculine shall
include feminine gender. Words importing persons include Corporation.
iii. Subject as aforesaid word or expressions contained in these regulations shall bear
the same meaning as in the Act or any statutory modification thereof in force at the date
which these regulation become binding on the company.
2 The company being a private company within the meaning of Section 2
(35) & 3(I) (iii) of the Companies Act, 1956, “Private Company” means a
company which has a minimum paid-up capital of one lakh rupees or such higher
paid-up capital as may be prescribed, and by its articles :-
a. Restricts the right to transfer it shares, if any
b. Limits the number of its members to fifty not including –
i. persons who are in the employment of the company; and
persons who, having been formerly in the employment of the
company, were members of the company while in the employment
and have continued to be members after the employment ceased;
and
c. prohibits any invitation to the public to subscribe for any shares in, or
debentures of the company.
d. Prohibits any invitation or acceptance of deposits from persons other than
its members, directors or their relatives.
Provided that where two or more persons hold one or more shares in a company
jointly they shall, for the purposes of this definition be treated as a single member.

SHARES
3. The share capital of the company is RS. 10,00,000/- (Rupees ten lacks) divided
into 10,000 (Ten thousand) equity shares of RS. 100/- (Rupees One Hundred)
each and the share shall be at the disposal to such persons at such time and
generally on such terms and conditions as they may think fit or proper.
4. If by the conditions of allotment of any share the whole or part of the amount or
issue price thereof shall be payable by the person who for the time being and from
time to times shall be registered holder of the shares or this heirs, executors
administrators and legal representatives.
6. Save as permitted by Section 77 of the Act, the funds of the company shall not be
employed in the purchase of or lent on the security or the share of the company.
This Article shall not be deemed to effect the poser of the Company to enforce
repayment of loans to members or to exercise a lien conferred by the Article
hereafter.
7. As regards all allotments made from time to time the company shall duly comply
with the provision of Section 75 of the Act.
8. With the previous authority of the company in the general meeting and the upon
otherwise complying with section 79 of the Act the Board may issue at a class
already issued.
9. Members who are registered jointly in respect of a share shall be severally as well
as jointly liable for the payment of all installments and calls in respect of such
shares.
10. Save as herein otherwise provided, the company shall be entitled to treat the
member registered in respect of any share as the absolute owner thereof and
accordingly shall not except as ordered by the court of competent jurisdiction or
as by statute required, be bound to recognize any equitable or other claim to or
interest in such share or the part at any other person.

11. Shares may be registered in the name of any person, Company or other body
corporate. Not more than four persons shall registered jointly as members in
respect of any share.
CERTIFICATE
12. Subject to the provision or the companies (issue of shares certificates) Rules,
1960 or any modification or re-enactment thereof share-script shall be issued as
follows :-
b. Every member shall be entitled free of charge to one certificates for all the
shares of each class registered in name or if the Board so approves to
several certificate each for one or more of such shares but in respect of
each additional certificate the Company shall be entitled to charge as fee
Rs. 2/- or such less sum as the board may determine. Unless the conditions
of issue of any shares otherwise provide. The company shall within three
months after the date of either allotment and on surrender to the company
of etc. Letter making the allotment and on surrender to the company of its
coupons of requisite value (same in the case of issue against letter of
acceptance or renunciation or in cash of issue of bonus shares) or within
two months after the receipt of the application of the transfer of any of its
shares as the case may be complete and have ready for delivery the
certificates of such shares. Every certification of shares shall specify the
name of the person in whose favor the certificate is issued, the share to
which at relates and the amount paid up thereon. Particulars of every
certificate issued shall be entered in the register of member maintained in
the form set out in the Act or in a form as near there to as circumstances
admit, against the name of person to whom it has been issue, indicating
the date of issue. In respect of any share registered in the joint names of
several members registered jointly in respect thereof shall be sufficient
delivery to all such member's.

decrepit, worm out or where the pages in the reverse for recording
transfers have been duly utilized then, upon surrender thereof to the
Company, the Board may order the same to be cancelled and may issue a
new certificate in lieu thereof and if any certificate be lost or destroyed
then, upon proof thereof to the satisfaction of the Board and on such
indemnity as the Board things fit being given a new certificate in lieu
thereof shall be given to the party entitled to the shares to which lost or
destroyed certificate shall relate. Where a certificate has been issued in
place of a certificate which has been defaced, lost or destroyed, it shall
state on the face of it and against the stub or counterfoil that it is issued in
lieu of a share certificate or is a duplicate issued for the one so defaced,
lost or destroyed, as the case may be, and in the case of certificate issued
in place of one which has been lost or destroyed, on the face thereof. For
every certificate issued under this Article, there shall be paid to the
company the sum of Rs. 2/- or such small sum together with such out of
pocket expenses incurred by the company in investigations evidence as the
Board may determine.
d. Where a new share certificate has been issued in pursuance of the last
preceding paragraph, particulars of every such certificate shall also be
entered in the register and duplicate certificate including against the name
of the person to; whom the certificate is issued, the number and date of
issued of certificate in lieu of which the new certificate is issued and the
necessary changes indicated in the register of Members by suitable cross
reference in the “Remark” column all entries made in the Register of
Members or in the register of Renewed and Duplicate Certificate shall be
appointed by the Board for the purpose of the sealing and signing the
share certificate under paragraph (a) hereof.
CALLS
13. Subject to the provision of section 91 of the Act, the board of Directors
may from time to time, make cells, upon the members in respect of any
money unpaid on their shares and the members shall pay to the company
the amount called on his share at the time or times and place or places,
appointed by the Directors. No call shall exceed one fourth of the nominal
value of the shares and payable at less than one month from the date fixed
for last preceding call. The Director, however, shall be entitled to accept

from members, willing to advance the whole of the nominal amount of
any share or shares in advance.
14. Fourteen clear days notice shall be given to every member specifying the
time and place of payment, provided that a cell may be revoked bore
postponed at the discretion of the Board of Directors. A call shall be
deemed to have been made at the time when the resolution of the Directors
authorizing such call was passed and subject at the approval of the
director's call may be made payable by installments.
15. The joint holder of the share or shares shall jointly as well as severally, be
liable to pay all calls or installments due in respect of such shares.
16. If sum called in respect of a share or shares is not paid on or before the
day appointed or the payment thereof to the time of actual payment, the
interests shall be charged at the rate of 5% per annum or at such lower rate
as the Board may determine. The Board shall be at liberty to waive
payment of any such interest wholly or in part.
17. payment thereof the Board of Directors may at any time thereafter during
such time as any call or installment or any part thereof remain unpaid,
serve a notice on such member requiring him to pay the sum together with
interest that may have accrued as per clause 16 of these Article and any
expenses that may have been incurred by the company, by person of such
non-payment and notice shall name a day (not being less than fourteen
clear days from the date of such notice) and place or places on and at
which, the calls or installments or any part there of and interest and
expenses are to be paid. The notice shall also state that in the event of non-
payment on or before the day so named in the notice, the shares in respect
of which the call was made will be liable to be forfeited.
18. If the requisitions of such aforesaid notice are not complied with by the
member on whom the notice has been given, the shares may at any time
thereafter before the payment or any call or installments, interest and
expenses due in respect hereof, be forfeited by the directors, and such
forfeiture shall be recorded in the minute book of the directors. Such
forfeiture shall include all dividends declared in respect of the forfeited
shares and not actually paid before the forfeiture.
19. Where any share or shares shall have been so forfeited, notice of such
forfeiture shall be given to the member concerned and any entry of that
forfeiture with date thereof shall be me in register of members.

20. Any shares so forfeited shall be deemed to be property of the company
and the directors may sell, or otherwise dispose of the same in such
manners as they may think fit. At any time before a sale or disposal as
aforesaid, the Board may cancel the forfeiture on such terms and
conditions, as it may think fit.
21. Subject to the provision of Section 108 to 112 and 250 of the Act and
statutory modification thereof the transfer of share or shares shall be
effected by a duly stamped instrument of transfer executed by the transfer
or and transferee in the form prescribed under the Act.
22. The Director may without assigning any reason, decline to register the
transfer of any share of shares to transferee of whom they do not approve.
But eh directors may before the transfer is effected give permission in
advance for a contemplated transfer and such permission shall be binding
on the Company.
24. Except where the transfer is made pursuant to this Article, the person
proposing to transfer any shares hereinafter called the proposing
“transferor" shall give notice in writing hereinafter called the “transfer
notice” to the Company of his intention to transfer the share o shares and
such transfer notice shall specify the sum which the proposing transfer or
fixes as the far value and shall constitute the company as his agent for the
sale of the share or shares at the price so fixed.
25. If the company shall within a space of 60 days after being served with
such transfer notice find a member or person approved as aforesaid willing
to purchase the share or shares hereinafter called the “Purchasing
member” and shall have given notice to the proposing transfer or then the
proposing transferor shall be bound upon the payment of the fair value to
proposing transferor shall be bound upon the payment of the fair value to
transfer his shares to such member or person as selected by the directors.
26. In case no sum be specified in the transfer notice a fair value or in case the
proposing transferor and the purchasing member do no agree to the fair value of
the share or shares, then the auditor of the company shall, on the application of
either party, certify in writing the sum which in their opinion is the fair value and
such sum shall be deemed to be the fair value and so certifying the auditor shall
be deemed to be the fair value and so

certifying the auditor shall be considered to be acting as an expert and
accordingly the provisions of the Indian Arbitration Act shall not apply.
29. i. The person so becoming entitled under the Transmission Article shall elect
to be registered as member of the share himself he shall deliver or send to
the company a notice in writing signed by him standing that he so elects.
ii. If the person aforesaid shall elect to transfer the share, he shall testify his
election by executing an instrument of the share.
iii. All the limitation, restrictions and provisions of these articles relating to
the right to transfer and aforesaid as far shall be applicable to any such
notice of transfer as aforesaid as if the death, insanity, Bankruptcy or
insolvency of the member had not occurred and the notice of transfer
signed by that member.

same dividends and other advantages to which he would be entitled if he
were the registered member in respect of the shares provided that the
Board may at any time give notice in respect of the shares provided that
the either to be registered himself or to transfer the shares and if the notice
is not completed within ninety days the Board may thereafter with hold
payment of all dividends, bonuses or other money payable in respect of
the share until the requirement of the notice as complied.
31. The company in General meeting may, from time to time, by ordinary
Resolution increase the capital by the creation of new shares of such
amount and such classes as may be deemed expedient.
32. Subject to these Articles and to any special rights or privileges for the time
being attached to any shares in the company than issued, the new shares
may be issued upon such terms and conditions and with such rights and
privileges attached thereto, as the general meeting resolving upon the
creations thereof, shall direct and if no direction be given as the Board
shall determine and in particular such share issued with a preferential or
qualified right to dividends and in the distribution of assets of the
company.
33. Before the issue of any new shares, the company in general meeting may
make provisions as to the allotment and issue of new shares and in
particular may determine to whom the same shall be offered in the first
instance and whether at part or at a premium, subject to the provision of
section 79 of the Act, at a discount.
34. Any capital raised by the creation of new shares shall be considered part
of then existing capital of the company and shall be subject to the
provisions here in contained with reference to call and installments,
transfer and transmission, lien and otherwise.
35. If owing to any inequality in the number of new shares to be issued and
the number of shares held by members entitled to have the offer of such
new shares, any difficulty shall arise in the appointment of such new
shares. Such difficulty shall in the absence of any direction in the
resolution creation the shares or by the company in general is determining
by the Board.
36. The company may from time to time, by special Resolution, reduce its
capital and any capital redemption reserve account or share premium
Account may be used in any manner and subject to any incident
authorized and consent required by law.

ALTERATION OF CAPITAL
a. Consolidate and divided all or any of its share capital into share of larger amount
than its existing shares.
b. Sub-divide its existing share or any them into share of smaller amount than its
fixed by memorandum so however, that in the subdivision the proportion between
the amount paid and the amount if any unpaid on each reduce share shall be the
same as it was in case of the share from which the reduced share is derived.
c. Cancel any share, which at the date of the passing of the resolution have not been
taken or agreed to be taken person and diminish the amount of the share capital by
the share so cancelled.
38. The resolution whereby any share is sub-divided may determine that, between the
holder of share resolution from such sum-division. One or more such share have
some preference or special advantage as regards dividend, capital, voting or
otherwise over or shall compared with the others or other subject, nevertheless to
the provisions, of section 106 of the Act.
39. Subject to the provision of section 100 to 105 inclusive of the Act, the Board may
accept from any member the surrender on such terms and conditions as shall be
agreed to all or any, of the shares.
40. All or any of the rights and privileges attached to each class of shares may subject
to the provisions of section 106 and 107 of the Act be modified commuted,
affected, abrogated varied or dealt with by agreement between the company and
any person, purporting to contract or on behalf of that class provided such
agreement is (A) consented to in writing the holder of at least three forth of issued
share of that class or (B) sanctioned by a special resolution passed at the separate
general meeting of the Act and all the provisions hereinafter contained as to
general meeting shall mutates, apply to any class meeting, except that the quorum
thereof shall be not less than two persons holding or representing by proxy one
fifth of the nominal amount of the issue shares of the class. This Article is not by
implications to curtail the power of modification which the company would have
if this Article were omitted. The company shall comply with the provisions of the
section 192 of the Act as to forwarding a copy of and such agreement or
resolution to the Register of companies.
41. The Director may from time to time at their discretion borrow or secure the
payment of any sum or sums of money or machinery and other movable or
immovable properties under hire purchase agreement or other wise for the
purpose of the company, subject to the purpose of the company, subject to the

provisions of the Act, either from any Director and/or Industrial, Financial
Corporation of India, and/or state Financial corporation and or state aid to small
corporation, and/or National small industries corporation and/or Industries Credit
and Investment Bank, and or Corporation or Life Insurance Corporation of
India/or Indigenous and/or Foreign Bans, and/or State or Central Institutions
and/or other persons. Firms or Companies, on security or otherwise and may
secure the repayment or payment of any sum of sums in such manner and upon
such terms and conditions in all respects as the think fit, and in particular by the
creation of any mortgage or charge on the undertaking of the whole or any part of
the Properties present or future of the company perpetual redeemable charged
open the undertaking of all or any part of the property of the Company, both
present and future including its uncalled capital of the time being and the
Directors or any of them incurred by or on behalf of the company or any interest
payable thereon and any such guarantees as may be determine by the Directors
with power to Directors indemnify the guarantors from or against liability under
their guarantee by means of a mortgage or charge on the undertaking of the
company or upon of its properties assets or otherwise.
42. Subject to the provisions of the Act if any uncalled capital of the Company is
included in or charged by any mortgage or other security the Director may by
instrument under the company’s seal authorized the person in whose favor such
mortgage or security is executed or any other persons, in trust for him the make
calls on the members in respect of such uncalled capital and the provision
hereinbefore contained in regard to calls shall mutates mitandis apply to calls
made under such authority and such conditionally or unconditionally and either
presently of continently and either to the exclusion on the Director’s powers or
otherwise and shall be assignable if so expressed to be.
43. Debenture and other securities may be made assignable free from any equities
between the company and the person to whom the same may be issued.
44. Any debentures or other securities may be issued at a discount premium and with
any special privilege as to redemption surrender, drawings and with a right to
convert into shares in the company with the sanction of the company in General.
45. The Directors shall company with the provision of the Act, in respect of mortgage
or charges created by the Company and the registration thereof and the transfer of
debentures of the Company and register required to be kept in respect to such
mortgage and debenture.
GENERAL MEETING
46. The Company with shall hold the first annual general meeting in 18 months of its
incorporation.

47. Subsequent annual general meeting shall be held by the company in each year, but
more than 15 months shall elapse between the date of one general meeting and
that of the next subject to the provisions of section 166 of the Act.
48. The Business of Annual general meeting shall be that of receiving and
considering the Profit & Loss Account and balance sheet and Reports of the
directors and auditors, to elect directors in the place of those retiring to appoint
auditors place of those retiring, to appoint auditors and fix their remuneration and
declare dividend.
49. All General meeting other than annual general meeting shall be called
extraordinary general meeting.
50. All Business transferred at any annual meeting other then the business that under
these presents ought to be transacted at an annual general meeting and all business
transacted at extraordinary general meeting shall be deemed special.
51. At least seven days notice (exclusive of the day which the notice is served but
inclusive of the day for which notice is given) specifying the place the day and
hours of meeting and in case of special business the general nature of that
business shall be given in manner hereinafter mentioned or in such other manner
if any, as may be prescribed by the company in general meeting to such notice of
the company but the accidental omission to give or non receipt of notice by any
member shall not invalidate the proceeding at any general meeting.
52. A general meeting may be called on giving shorter notice than that specified in
Article if consent is accorded thereto.
b. In case of any other meeting by the members of the company holding not
less than 95 percent of the total voting power excisable at that meeting
provided that where any member of the company is entitle to vote only on
some resolution or resolutions to be moved at a meeting and not the other,
those members shall be taken into account for the purpose of this clause in
respect of the former resolution or resolutions and in respect of the letter.
53. The Board may, whenever it thinks fit call an extraordinary general meeting of the
company. The Board shall on the requisition of such members or members of the
company as it specified under Section 169(4) forthwith proceed to call an
extraordinary general meeting of the company and the provisions of section 169
shall apply to such meeting.

54. Two members entitled to vote present in person should be a quorum at a General
meeting and no business shall be transacted at a general meeting unless quorum is
present at the commencement of the business.
55. If within half an hour from the time appointed for holding a meeting of the
company a quorum is not present, the meeting if called upon the requisition of a
member, shall stand dissolved, in any other case the meeting shall stand adjourned
to the same day in the next week at the same time and place or to such other day
and at such other time and place as the board may determine if at the adjourned
meeting also quorum is not present within half an hour from the time of appointed
for holding the meeting the members present shall be a quorum.
56. The Chairman, if any, of the Board shall be the Chairman of the general meeting
of the company.
57. If the Chairman is not present with in 15 minutes after the time appointed for
holding the meeting or in unwilling to act as a chairman of the meeting the
Directors present may elect one of their members to be the chairman of the
meeting.
60. The chairman may, with the consent of any meeting at which a quorum is present
and shall, if so directed by the meeting adjourn the meeting from time to time and
from place to place. No business shall be transacted at any adjourned meeting
other then the business left unfinished at the meeting from which the adjournment
took place.
61. When a meeting is adjourned for thirty days or more, notice or the adjourned
meeting shall be given in the case of Original meeting.
62. Save as aforesaid it shall not be necessary to give any notice of an adjourned
meeting of the business to be transacted at an adjourned meeting.
63. Any business other than that upon which a poll has been demand may be
proceeded pending the taking of the poll.
64. In the Case of equity of votes, whether on a show of hands or on a poll the
chairman of the meeting at which the show of hands takes palace or at which the
poll is demanded shall be entitled to a second or casting vote.
65. a. Save and hereinafter provided, on a show of hands every member present

in person shall have one vote and every person present either as a proxy if
he is not entitle to vote in own right or as a duly authorized representative
of body corporated shall have one vote and upon a poll every member
present in person or by proxy shall have one vote for every equity share
held by him provided that no member will be entitled to vote so long as
any dues on his shares remain unpaid.
b. Save and hereinafter provided, on a poll the voting right of member shall
be as specified in section 87 of the Act. Provided that the company or
body corporate shall vote by proxy so long as a resolution of its Board of
Directors under th provisions of section 187 of the Act is in force and the
representative name in such resolution is present at the general meeting at
which the vote by proxy is tendered.
67. Any person entitled under the transmission Article to transfer any share may vote
and any general meeting in respect thereof in the same manner as if he were the
registered holder of such shares, provided that forty eight hour at least before the
time of holding the meeting or adjourned meeting as the case may be, at which he
proposes to vote he shall satisfy the board of his rights to transfer such shares,
unless the Board shall have previously admitted his right to vote such meeting in
respect thereof if any members be a lunatic, idiot or non compose mints, he may
vote whether on a show of hands of at a poll by his committee, curator bonus or
other legal curator and such last mentioned person may give their votes by proxy.
68. Where there are members, registered jointly in respect of any share, any one of
such persons may vote at any meeting either personally or by proxy in respect of
such share as if he were solely entitled there to and if more than one of such
members be present at any meeting either personally or by proxy that one of the
said member so present whose name stands on the register first in respect of such
share alone be entitled to vote in whose name any share is registered shall for the
purpose of the Article be deemed to be members registered jointly in respect
thereof.

69 The instrument appointing a proxy shall be in writing under the hand of the
appointer of his attorney duly authorized in writing or if such appointee is a body
corporate be under its common seal or the hand of its officer or Attorney duly
authorized.
70. The instrument appointing a proxy shall be deposited at the office of the company
not less than forty eight hours before the time of holding the meeting at which the
person named in the instrument purports to vote in respect thereof and in default
the instrument of proxy shall not be treated as valid.
71. A vote given in accordance with the terms of an instrument appointing a proxy
shall be valid not with standing the previous death or insanity of the principal of
which the vote is given, provided no limitation in writing of the death, insanity,
revocation or transfer of the share would have been received by the company at
the office before the vote is given. Provided nevertheless that the chairman of any
meeting shall be entitled to require such evidence as he may in his direction think
fit of the due execution of an instrument of proxy and that same has not been
revoked.
72. Every instrument appointing a proxy shall be retained by the company and shall
as nearly as circumstance will admit is in either of the forms in schedule IX to the
Act, or a form as near thereto as circumstance.
74. Any objection as to the admission or rejection of a vote either on a show of hand
or on a poll made in due time, shall be referred to the chairman who shall
forthwith determine the same and such determination make in good faith shall be
final and conclusive.
DIRECTORS
75. Unless otherwise determined by the special resolution the number of directors
including chairman shall be not less than two or more than eleven.
76. The persons hereafter named shall become the first Directors of the Company.

The First above named Directors of the Company are for life or until he/she
voluntarily resign or become incapable or disqualified.
77. The Directors may at any time and from time to time appoint any member as
director either to fill any casual vacancy or as an additions to the existing Board
but so that the maximum as fixed by Article 75 thereof shall not at any time; be
exceeded. Any director so appointed shall hold office only until the next annual
general meeting of the company.
79. The Directors shall not be required to hold any qualification share. Until
otherwise determined by the Company does he attend general meeting every
Director shall receive out of the funds of the company a sum not exceeding Rs.
250/- for each meeting. In addition to the above meeting fee the directors may be
paid all travelling and other expenses actually and properly incurred by him in
connection with attending the meeting of the Board.
80. If any director shall be called upon to perform extra services to make any special
exertion in going or residing abroad, or otherwise for any of the purposes of the
company shall subject to the provision of section 314 of Act, remunerate such
director either by fixed sum or by a percentage of profit or otherwise as may be
determined by the Board.
81. (a) The Board of Directors may, from time to time subject to the provisions of
Qsection 197 A of the company Act; 1956 appoint one or more of their
body to the office of managing Director/Directors and/or whole tie
Director/Directors for such period and on such terms of any agreement
entered into in any particular case, may revoke such appointment. His
appointment will automatically terminate if he ceases to be director.
82. The Director may appoint any of the Directors be the Chairman to preside over
the meetings of the Board subject to the provision of section 265 and 263 and
other applicable provisions of the Act.

iv. He is convicted by a court of any offence involving moral turpitude and
sentenced thereof in imprisonment for not less than six month ;
v. He fails to pay any call in respect of shares of the company held by him
whether alone or jointly with other within six months from the last date fixed
for the payment of the call unless the Central Government has by notification
in the official Gazette removed the disqualification incurred by such failure.
b. Notwithstanding any thing in clause (iii), (iv) and (ix) above, the
disqualification referred to those clauses shall not take effect.
i. For thirty days from the date of the adjudication, sentence or others:
ii. Where any appeal or petition is preferred within the thirty days aforesaid
against the adjudication, sentence or conviction resolutions in the Sentence
or order until the expiry of seven days from the date on which such appeal
a petition is disposed of ; or
iii. Where within the seven days aforesaid, any further appeal or petition is
preferred in respect of the adjudication sentence conviction or order and
the appeal or petition if allowed would result in the removal of the
disqualification, until such further appeal or petition is disposed of.
85. a. The company may be ordinary resolution remove a director (not being a
director holding office for life and a director appointed by the Central
Government in pursuance of Section 408 of the Act before expiry of his
period of office.

b. A director may at his will resign from the Board of Directors subject to the
acceptance of approval by the Board.
86. The Board of Directors shall be entitled to exercise all such powers and to do all
such acts and things as the company is authorized and do provided that the Board
shall not exercise any power to do any act or things, which is directed or required
by the act or any other provisions of the law or by the Memorandum of
Association of the Company or by the company in general meeting. No regulation
made by the company in general meeting. No regulation made by the Company
invalidates any prior act of the Board that would have been valid if that regulation
had not been made.
87. The Board may pay all such expenses preliminary to the establishment and
formation of the Company, as they may think fit.
88. The Board may appoint any person to act as alternate Directors for a Directors
during the latter's absence for a period of not less than three months form the state
in which the meeting of the Board are ordinarily held and such appointment shall
have effect and such appointee. While he holds office as an alternate director he
shall be entitled to have notice of meeting of the Board and to attend and vote
there at accordingly but he shall not require any qualification and shall also infect
vacate office if and when the Director in whose place the alternate director was
appointed returns to the state in which meeting of the Board are ordinarily held or
the Director vacate office as a director.
PROCESSING OF DIRECTORS
89. The Board of Directors may meet for the dispatch of business, adjourn or
otherwise regulate its meeting as it think fit, provided however, that the Board
shall meet at least once in every three calendar months.
90. The meeting Director of the company shall whenever necessary and upon the
request of any one of the directors convene a meeting of the Board of Director.
92. The quorum for a meeting for the Board shall be one third of its strength (any
fraction contained in that one-third being rounded off as one) or to directors,
whichever is higher.
93. Question arising at any meeting shall be decided by a majority of votes and in
case of an equality of votes the Chairman shall have casting vote.
94. Subject to the provision of section 292 of the Act and any statutory modification
thereof it shall be lawful for the directors, Managing Directors and other. All acts

done by a director shall be valid not with standing that it may after wards be
discovered that this appointment was invalid by reason of any defect of
disqualification or had terminated by virtue of any provision contain in the act or
any statutory modification thereof.
95. Subject to the provision of the Act in particular to the prohibition contained in
Section 292 thereof the Board may, from time to time interest to and confer upon
a Managing Director for the time being such of the powers exercisable upon a
Managing Director for the time being such of the powers exercisable at such
restrictions as it may think fit. Under these presents by the Board and it may
confer such powers, eight collaterally with or time to time revoke, withdraw, alter
or vary all or any such powers.
THE SEAL
96. The Managing Director shall provide for the safe custody of the seal and the seal
shall never be used except by the authority previously given by the Board or a
committee of the Board authorized by the Board in that behalf. Any two Directors
in presence of the Secretary or one director of such of the persons as the Board
may appoint shall sign every instrument to which the seal is affixed. Provide
nevertheless, that any instrument bearing the seal of the company and issued for
valuable consideration shall be binding on the company notwithstanding any
irregularity touching the authority of the Board to issue the same.
RESERVES
97. The Board may from time to time before recommending any dividend set apart
any such portion of the profits of the company as it thinks fit as reserve to meet
contingencies or for the liquidation of any loans, debts or other liabilities of the
company or for dividends, for repairing improving or maintaining any of the
property of the company and for such other purpose of the company as the board
in its absolute discretion things conductive to the provision of section 372 of the
Act invest the said sums so set aside upon such investment (other than shares of
the company) as the Board may think fit, and from time to time deal with every
such investment and dispose off all or any special funds as it thinks fit with full
power to employ the reserve or any part thereof in the business of the company,
and that without being bound to keep the same separate from the other assets.
98. All moneys carried to the Reserve shall nevertheless remain as profits of the
company applicable, subject to the provision being made for actual loss or
depreciation for the payments of dividends and such reserves and all other
moneys of the company not immediately required for the purpose of the company
may subject to the provisions of section 370 and 372 of the Act be invested b the

Board in on such investment or securities it may be kept in any bank on deposit or
otherwise as the board from time to time think proper.
99. Any general meeting may upon the recommendation of the Board resolve that any
money, investments or other assets, forming a part of the undivided profits of the
company standing the credit of the Reserves, or any capital redemption reserve
account or in the hands of the company and available for divided or representing
premium received on the issue of shares and standing to the credit of the share
premium Account be entitled to receive the same if distributed by way of
dividends and in the same proportions on the footing that they become entitled
thereto as capital and all or any part of such capitalized fund be applied on behalf
of such share holders in paying up in full any unissued shares of the company
which shall be distributed accordingly or in or towards shares, and that
distribution payment shall be accepted shall be accepted by such share-holders in
full satisfaction or their interest in the said capitalized sum provided that the sum
standing to the credit of a share premium account of a capital redemption reserve
account may for the purpose of these Article only be applied in the paying up of
unissued shares to be issued to members of the company as full paid bonus share.
100. For the purpose of giving effect to any resolution under the last preceding Article
the Board may settle any difficulty which may arise in regard to the distribution as
it thinks expedient and in particular may issue functional certificates and may
determine that cash payments shall be made to any members in order to adjust the
rights of the all parties and may invest such cash in trustee upon such trusts for the
persons entitled to the dividend or capitalized fund as may seem expedient to the
Board where requisite and proper contract shall be filled in accordance with
provisions of the Act, and the Board may appoint any person to sign such contract
on behalf of the persons entitled to the dividend or capitalized fund, and such
appointment shall be effective.
101. A general meeting may resolve that any surplus money arising from the
realization or any capital assets of the company or any investments representing
the same or any other undistributed profit of the company not subject to charge of
income-tax, be distributed among the members of the footing that they receive the
same as capital.
102. Subject to rights of members entitled to shares (if any) with preferential or special
rights attached to them the profits of the Company from time to time determined
to be distributed as dividend in respect of any years of other period shall be
applied for payment of dividend on the shares in proportion to the amount of
capital paid upon the shares provided that unless the Board otherwise determines
all dividends shall be apportioned and paid proportionate to the amount paid or
credit as paid on the shares during any portion or portions of the period in respect
of which the dividends is paid provided always that (subject as aforesaid any
capital paid up on a share during the period in respect of which a dividend is
declared) shall, unless the board otherwise determines of the terms of the issued

otherwise determines and provide as the case may be only entitled the holder of
such shares to an apportioned amount of such dividend as from the date of
payments but so where capital is paid up in advance of calls such capital shall not
confer a right to participate in profits.
103. The company in general meeting may declare a dividend to be paid to the
members according to their rights and interest in the profits, if any may subject to
the provisions of section 207 of the Act fix the time for payment.
104. No larger divided shall be declared than as recommended by the board, but the
company in general meeting may declare a smaller dividend.
105. Subject to the provisions of section 205 of the Act, no dividend shall be payable
except out of the profits of the company or out of money provided by the central
or a state Government for the payments of dividend in pursuance of any guarantee
given by such government and no dividend shall carry interest against the
company.
106. Subject to the provisions of the Act, the declaration of the Board as to the amount
of the net-profits of the company shall be conclusive.
107. The Board may deduct from any dividend payable to any member all sums of
money if any presently payable by him to company on account of calls or
otherwise in relation to the shares of the company.
108. The Board may, from time to time pay to the members such interim dividend as
appear to the board to be justified by the company.
111. No dividend shall be payable except in cash provided that nothing in the
foregoing shall be deemed to prohibit the capitalization of profits or of the
company for the purposes of issuing fully paid up bonus shares or paying up any
amount for the time being unpaid shares held by the members of the company.
A transfer of shares shall not pass the right to pay dividend declared thereon
before the registration of the transfer by the company.
112. The company may pay interest on capital raised for the construction of works or
building only when so far as it shall be authorized to do by section 208 of the Act.
113. No dividend shall be paid in respect of any share except to the registered holders
of such share or to his order or to his bankers but noting contained in these articles
shall be deemed to require the bankers of the registered shareholders to make
separate application to the company for the payment of dividend.

114. Any one or several person who are registered as the joint holders of any share or
shares may give receipts for all dividends and other payments in respect of such
shares or shares.
115. Unless otherwise directed in accordance with section 206 of the Act, dividend
interest of other money payable in cash in respect of share may be paid by cheque
or warrant sent through the registered address of the holders or in the case of joint
holders, to the registered address of that one of joint-holders who is the first
named in the register in respect of the holders or to such person and such address
as the holders or joint holders as the case may be, may direct and every cheque or
warrant so sent shall be made payable to the order of the person to whom it is
sent.
116. Subject to the provision of the act any dividend unclaimed shall be applied in the
manner as prescribed in the Act and the Companies Unpaid Dividend (Transfer to
General Reserve Account of the Central Government) Rule 1978.
BOOKS OF ACCOUNTS
117. The Board shall cause proper Books of Accounts to be kept in accordance with
Section 209 of the Act.
118. The Books of Accounts shall be kept at the office or at such other place in India
as Board may decide and when the Board so decides the company shall, within
seven days of the decision file with the Registrar a notice in writing giving the full
address of that other place.
119. The Books of Accounts and other books and paper shall be opened for inspection
during business houses by any Director, Registrar or any officer of the Central
Government authorized by the Central Government in this behalf.
120. The Board shall from time to time determine whether and to what extent and at
what times and place and under what conditions or regulations. The books of
accounts and books and documents of the company shall be open to the inspection
of the members not being Directors and no member (not being a director) shall
have any right to inspect any books of accounts or books or documents of the
company in general meeting.
121. The books of account of the company together with the vouchers relevant to any
entry in such book of account shall be preserved in good order for a period of not
less than eight year from date of incorporation of the company and after the said
period of eight years, the books of account of the company together with
vouchers, relevant to any entry in such books of account relating to period of not
less than eight years immediately preceding the current years shall be preserved in
good order.

BALANCE SHEET AND ACCOUNT
122. At every general meeting the Board shall lay before the company a balance sheet
and profit & loss account made accordance with the provisions of section 210 of
the Act and such Balance Sheet and Profit & Loss Account shall comply with the
requirements of section 210, 211, 212 and 216 and of schedule VI to the Act so
far as they are applicable to the company but, save as aforesaid the Board shall
not be bound to disclose greater details of the result or extent of the trading and
transactions of the company than it may deem expedient.
123. There shall be attached to every balance sheet laid before the company a report by
the board complying with Section 217 of the Act.
124. A copy of every balance sheet (including the Profit & Loss Account, the
Auditor’s Report and every document required by law to be annexed or attached
to the Balance Sheet) shall, as provided by section 219 of the Act, not less than
seven days before the meeting be sent to every such members, debenture-holder,
trustee and other persons to whom the same is required to be sent by the said
section.
AUDIT
125. Once at least in every year one or more Auditor or Auditors shall examine the
books of Account of the company.
126. The Board shall appoint the first Auditor or Auditors of the company within one
month after the date of registration of the company and the Auditor or Auditors so
appointed shall hold office until the conclusion of the first annual general meeting
of the company.
127. The company shall at each Annual General Meeting appoint an Auditor or
Auditors to hold office from the conclusion of that meeting until the conclusion of
the next Annual General Meeting and shall, within seven days of the appointment,
give instruction thereof to every Auditors so appointed unless he is or they are a
retiring auditor or Auditors. The appointment, remuneration, right, and duties of
the Auditor or Auditors shall be regulated by section 224 to 227 of the Act.
128. Where the company has a branch office the provision of section 228 of the Act,
shall apply.
129. All notice of, and other communications relating to any general meeting of the
company which any member of the company is entitled to have sent to him shall
also be entitled to attend any general meeting which he attends on any part of the
business which concerns him as Auditor.

130. The Auditor’s Report (including the Auditor’s Report as separate, special or
supplementary report if any) shall be read before the Company in General
meeting and shall be opened to inspection by the members of the company.
131. A notice or other documents may be given or sent by company in accordance with
the provisions of section 53 and 172 of the Act.
132. Every person who by operation of law, transfer or other means whatsoever shall
become entitled to any share shall be bound by every notice in respect of such
share which previously to his name and address being entered on the Register
shall have been duly given to the person from whom he derived his title to such

133. Subject to the provision of Act, any notice or document delivered or sent by post
or left at the registered address of any member in pursuance of the Article shall,
not withstanding such member be the deceased and whether or not the company
have notice of his deceased, be deemed to have been duly served in respect of any
registered share, whether held solely or jointly with other persons by such
member until some other persons be registered in his seal as the holder or joint
holder thereof and each service of such notice or document on his heirs, executors
or administrators and all persons, if any, jointly interest with him in any such
share.
134. Company shall duly keep and maintain at the office the various registers required
be keeping and maintaining under the Act or rules make there under.
135. The company shall comply with the requirements of the Act, as to the supply of
copies or Registers, deeds, documents, instruments, returns, certificates and
books.
136. Where under any provisions of the Act any person whether a member of company
or not is entitled to inspect any register, return, certificate, deeds, instrument or
document required to be kept or maintained by the company the persons so
entitled to inspect shall be permitted to inspect the same during the hours of 10.00
A.M to 12.00 Noon on such business days as the Act requires them to be open for
inspection.
137. The company may after giving not less than seven days notice by advertisement

RECONSTRUCTION
138. On any sale of the undertaking of the company, the board or liquidators on a
winding up may if authorized by a special Resolution, accept fully paid or partly

incorporated in India or not other than existing or to be formed for the purchase in
the whole or in part of the profits of the company, and the Board (if the profits of
the company permit) or the liquidators (in a winding up) may distribute such

wound such statutory rights, if any, under section 494 of the Act, as are incapable

SECRECY
139. Every director, Secretary, Trustee for the company, its members or debenture
holders, members of a committee, officer, servant, agent accountant or other
person employed in or about the business of the company shall if also required by
the board before entering upon his duties, sign a declaration pledging himself to
observe a strict secrecy respecting all transactions of the company with its
customers and the state of accounts with individual and in matters relating thereto,
and shall by such declaration pledge himself not to reveal any of the matter which
may come to his knowledge in the discharge of his duties except so far as may be
necessary in order to comply with any of the provisions in these Articles
continued.
140. No member or other person (not being a director shall be entitled to enter upon
the property of the company or to inspect, to examine the premises or properties
of the company without the permission of the board or information respecting any
details of the trading of the company or any matter which is not or may be in the
nature of a trade secret, mystery of trade or secret process or of any matter

141. If the company shall be wound up and the assets available for the distribution
among the members as such be insufficient to repay the whole of the paid up
capital, such assets shall be distributed so that as nearly as may be losses shall be
borne by the members in proportion to the capital paid up or which ought to have
been paid up at the commencement of the winding up the shares held by them
respectively and if in a winding-up the assets available for distribution among the

Independent Engineers services for short term improvements and Operation &
Maintenance of Mumbai Pune Expressway and Mumbai Pune section of NH-48 (old NH-
4)
The Mumbai Pune Expressway (officially Yashwantrao Chavan Expressway) is India's first six-lane concrete, high-speed,
access controlled tolled expressway. It spans a distance of 94.5 km connecting Mumbai, the capital of Maharashtra state
and the financial capital of India, with Pune, the cultural and educational capital of Maharashtra. The expressway, which
was fully operationalized in 2002, introduced new levels of speed and safety in automobile transportation to Indian roads.
The government of India had handed over the work of construction, Operation & Maintenance of NH-4 from km. 131/200
to 20/400 on BOT basis to MSRDC. In turn MSRDC had entrusted the work of four lining and improvement to Mumbai-
Pune section of NH-4 km 131/200 to 20/400 with self finance along with award of O & M and Toll rights on NH-4
and existing Mumbai-Pune Expressway to MIPL for 15 years concession period with effect from 09/08/2004. Only
Operation and maintenance work is presently carried out by Mhaiskar Infrastructure Pvt. Ltd. (MIPL) as per provision of
contract agreement.
Description of actual services provided by our staff:
The scope of work of the consultancy services broadly included the following major activities:
Act independently on behalf of both MSRDC/MPEL and the Contractor to supervise, review and monitor all activities
associated with toll monitoring and inspection and compliance with provisions of the contract agreement with the
concessionaire.
Visit, inspect and report to MSRDC/MPEL on various aspects of the toll monitoring and inspection activities as are
provided in the Contract agreement.
To assist 'MSRDC/MPEL' in co-ordination of work with different agencies and hold meetings for proper and timely
implementations of the any type of work related to toll monitoring and inspection activities

Review the Annual Maintenance Programme furnished by the Concessionaire and send its comments thereon to the
Authority and the Concessionaire within 15 (fifteen) days of receipt of the maintenance Programme.
Review the monthly status report furnished by the Concessionaire and send its comments thereon to Authority and
the Concessionaire within 7 (seven) days of receipt such report.
Inspect the Project Highway once every month, preferably after receipt of the monthly status report from the
Concessionaire, but before the 20th (twentieth) day of each month in any case, and make out an O&M Inspection
Report setting forth and overview of the status, quality and safety of O&M including its conformity with the
Maintenance Requirements and safety Requirements.
In respect of any defect or deficiency referred to in schedule-K, the IE shall, inconformity with good industry practice,

The proposed Nagpur – Mumbai Communication Super Expressway with Access Control would be first of its kind
development in India and will be beneficial for rapid transportation of the goods reducing travel time to almost half of the
current travel time with a design speed of 200Kmph. It will decrease the cost of the product due to rapid transportation
with low operation & maintenance cost.
The proposed Super Expressway finally shall have 3+1+1 lanes on either side of the median surfaced in concrete.

for the same. The length of the proposed Expressway is 750.00 kms. & the alignment is Jamtha - Buti Bori - Wardha -

Tamil Nadu Road Development Company Ltd. (TNDRDC) has been assigned the work of “Consultancy Services for the
preparation of Detailed Project Report (DPR) for construction of elevated road from Taramani to Siruseri under Phase-I
and from Siruseri to Mahabalipuram under Phase-II for a length of 45 km along OMR in Chennai, Tamil Nadu.
The main objective of the consultancy service is to establish the technical and environmental viability of the project and to
prepare the Detailed Project Report and bid document for construction. The scope of consultancy services included:

Detailed topographic surveys using Total Stations and GPS,
Traffic studies including traffic surveys and demand forecasting for next thirty years
Identification of alternate alignments, if any, particularly of existing bridges and toll plazas;
While studying the alignment, examine the Master Plan and Comprehensive Transport Plan prepared by the
Chennai Metropolitan Development Authority in order to integrate the alignment with future transport network
development. In this regard, special attention shall be given to the possibility of developing monorail and/or metro
along the corridor;
Propose multilevel grade separators at intersections where multi-modal development will have impact on the traffic
flow along the Corridor, keeping in view the adjacent land use.
Various engineering surveys will have to be conducted to generate all required design values for engineering design.
Detailed design of all the components of the project. The engineering design should be sufficient enough to arrive at
block cost estimate of the project to the extent of 10% variation in accuracy.
The environmental impact assessment should be conducted in such a way that TNRDC could obtain EIA clearance
from the respective organizations of the State and National Governments.
Using VOC sub-model of HDM-IV economic evaluation should be carried out.
The financial analysis should not only establish the financial feasibility but also the most optimal funding mechanism.
While evaluating the economic and financial feasibility, the impact of competing corridor of ECR should be kept in
view as ECR is under widening from 2-lane to 4-lane, which might reduce the through traffic potential of the
proposed elevated highway upto Mahabalipuram.
Propose corresponding changes to the design and cost based on the results of all the surveys envisaged and
consequent revision to the feasibility assessment in a conclusive manner
Address the proposed development of monorail and/or metro in a comprehensive manner illustrating the prevalent
configure elsewhere in the World so that a decision could be taken on how to integrate these multi-modal
developments in the elevated highway corridor design. More specifically merits and de-merits of different multi-
modal integration in relation to various options should be prepared.
Propose project implementation mechanism, time schedules and proposed tendering procedure under project
procurement plan, which should also include proposals for contract packages
Detailed engineering design of all aspects of the project as per relevant design code of practice as applicable in
India and adopt international design standards, if necessary.
The design should cater to the requirement of elevated corridor, the possible expansion for accommodating monorail
and or metro should be kept in view. In this regard, the Consultant should prepare a specific proposal of design
standards well in advance for the review of TNRDC.
The detailed engineering drawings will be prepared for all geometrics, both horizontal and vertical of the elevated
highways.
The detailing of all geometric and structural drawings including drainage and utilities shall be prepared as “Good-
For-Construction (GFC)”. It should be noted that proposals for drainage and utility shall be integrated with the
existing facilities and if necessary should make appropriate recommendations for capacity augmentation.
The tender documents should follow FIDIC conditions of contract in order to adopt international tendering. For each
of the contract packages identified, detailed Bill of Quantities along with appropriate schedules shall be prepared
with cost estimate at prevalent market prices.
Prepare draft NIT, RFP and contract evaluating procedure with clear matrices showing evaluation criteria for
selection of a successful contractor for each package.
The consultant should provide technical services for obtaining mandatory approvals/clearances from respective
Government organizations for implementing the project.
The Consultant should provide any clarifications sought on technical matters up to award of contract. If desired, the
Consultant should also participate in all the meetings along with representatives / TNRDC officials to render
technical advisory services.
