NOTICE INVITING e-TENDER WITH FORWARD BIDDING

INFORMATION AND GUIDELINES TO TENDERERS

e- Tender with forward bidding is invited through the Tamil Nadu

Government e-tendering portal by General Manager(Finance), Tamil Nadu
Minerals Limited, 31, Kamarajar Salai, Chepauk, Chennai - 600 005 for the sale
of Silica Sand having grain size 0.5mm to 0.09 mm (as is where is condition)
available at Ennore Factory, Chennai District, Tamil Nadu.

The tender-cum forward bidding process is through online at e-portal URL,

address https://tntenders.gov.in Aspiring bidders may download and go through
the tender document.

Prospective tenderers are advised to get themselves register at Tamil Nadu

Tender portal, obtain ‘login ID’ & ‘password’ and go through the instructions
available in the Home page after log in to the Tamil Nadu Tender Portal
https://tntenders.gov.in. They should also obtain Digital Signature Certificate
(DSC) which is essentially required for submission of their application.

TERMS AND CONDITIONS:-

1. Eligibilities to participate in the Tender:-

I. Bidders may be Proprietorship / Partnership Firm (including LLP)/Company as

defined under the Companies Act, 1956 and as amended Act 2013 and should
necessarily be an Income Tax Assessee and should be GST Registered
Company.

 II. Bidder should have valid PAN and GST numbers.

2. Tender Submission:

I. Tenders should be submitted online through e-portal URL, address

https://tntenders.gov.in.

II. Uploading of application in the location other than specified above shall not be
considered. Hard copy of application shall not be entertained.

III. The tender should be submitted through online at Tamil Nadu e-Tender portal.

IV. If any clarification is needed from the bidder about the deficiency in his
uploaded documents in Technical bid, Tenderer will be asked to provide it
through Tamil Nadu Tender portal. The bidder shall upload the requisite
clarification/ documents within the time specified failing which tender will be
liable for rejection.

V. Bidder has to select the payment option as “pay online” to pay the EMD amount.
Only after payment of EMD, bidder will be able to encrypt/upload their bids. In
order to avoid last minute lapses, it is recommended to make payment and
submit the bid as early as possible. The contracting authority is not responsible
for any sort of difficulty faced/failure in submission of bids online by the bidder.

VI. Technical Bid shall contains:

a) Annexure-1 (Form for submitting tenders) duly signed by the Bidder.

b) Annexure-2 (Status Report of the Bidder)

c) Annexure-3 (Min quantity indicated).

d) Copy of certificate of Registration of incorporation / proof of

constitution of Company, PAN card and GST registration certificate.

VII. Financial bid

The bidders have to quote rate for Silica Sand having grain size 0.5mm to
0.09mm (as is where is condition) from Ennore Factory per M.T ex-factory
basis in the BOQ format given in the e-tender portal in www.tntenders.gov.in.
The rate offered is exclusive of packing, transport & taxes.

VIII. If the bidder fails to comply with any of the above conditions, their offer/s will
be totally rejected.

IX. Rate shall be quoted in the format provided and no other format is acceptable.
The price bid has been given as a standard BOQ format with the tender
document. The same is to be downloaded and to be filled by all the bidders.
Bidders are required to download the BOQ file, open it and complete the
unprotected cells with their respective financial quotes and other details (such
as name of the bidder). No other cells should be changed. Once the details
have been completed, the bidder should save it and submit it online, without
changing the filename. If the BOQ file is found to be modified by the bidder, the
bid will be rejected.

3. A. e- tender:

a) TAMIN will not be held responsible for any sort of delay or the difficulties
faced during the submission of bids online by the bidders due to local network
issues.

b) If there are any clarifications, the same may be obtained online

through the e- Portal or through the contact details given in the tender document.
Bidder should take into account of the corrigendum published, if any, before
submitting the bids online.

c) The time that is displayed from the server clock at the top of the tender
portal, will be valid for all actions of requesting bid submission, bid opening,
forward bidding etc., in the e- Procurement portal.

d) All notices and correspondence to the bidder(s) will be sent by email only,
during the process till finalization of tender with forward bidding. Hence the bidders
are required to ensure that their email address provided at the time of registration
is valid and updated. Bidders are also requested to ensure validity of their DSC.

e) Bidders are advised to see the web site regularly to remain updated with
latest information to ensure that they do not miss out any corrigendum / addendum
uploaded against the said E-tender with forward bidding. The responsibility of
downloading the related corrigendum, if any, will be that of the bidders.

f) All electronic bids submitted during the E-tender with forward bidding
process shall be legally binding on the bidder. Any bid will be considered as the valid
bid offered by that bidder and acceptance of the same by the TAMIN will form a
binding contract between TAMIN and the Bidder.

 g) It is mandatory that all the bids are submitted with digital signature
certificate (DSC) otherwise the same will not be accepted by the system.

h) TAMIN reserves the right to cancel or reject or accept or withdraw or

extend the tender with forward bidding in full or in part as the case may be without
assigning any reason thereof.

3. B. Forward bidding:

i) The bidders shall first submit their E-tenders and then take part in the
forward bidding when the live Forward bidding is opened during the stipulated date &
time as in the critical data sheet Annexure-5 only Forward bids ie., increased rates
will be allowed in the bidding.

ii) The date & time period of Forward bidding will be intimated through the e-
procurement portal/ email after evaluation of the E-tenders.

iii) The Highest (H1) price quoted in the e-tender will be fixed as the basic
price for the Forward Bidding. The bidding will be forward and the bidders shall
quote higher rates. The bidders who have not participated in the e-tender cannot
participate in the forward bidding also.

iv) The server time shall be treated as final and binding. Bids recorded in the
server before the bid closing time will only be treated as valid bid. Bidders are,
therefore, advised to submit their bids well before the closing time of e-
tender/auction. If any bid reaches the server after the bid closing time as per server
time, the same will not be recorded and no complaint in this regard shall be
entertained.

v) Bidders are advised to exercise caution in quoting their bids in e-

Tender/auction to avoid any mistake. Bids once submitted can’t be recalled after bid
closing time.

vi) Tenders shall be subject to all the condition stipulated in the Tender
specification. Any other conditions of counter offers stipulated by the tenderers in
their tender will not be accepted.

4. Location of factories & Quantity offered.

The details of locations / quantity for Silica Sand having grain size 0.5mm to
0.09mm are indicated against the factory in Annexure-3 of the document.

5. Period of Contract:

The period of contract is 6 months from the date of award. TAMIN reserves
right to extend the period as per Tender Transparency Act 2020.

6. Opening of the Tender:

The tenders will be opened through online at the Registered Office of the
Corporation by the authorized Committee by the tender accepting authority
as noted below:
I. The Technical bid will be opened on 12.09.2023 at 1600 hours

II. The date and time of opening of Financial Bid will be communicated to
the bidders through online Tamil Nadu e-tendering portal.

III. The financial bid of eligible bidders alone will be opened.

7. Earnest Money Deposit:

a. Intending Tenderer should pay an EMD amount of Rs.3,50,000/-

(Rupees Three lakh fifty thousand only).

b. Online payment gateway has been enabled for Tamil Nadu Minerals
Limited, Chennai in TN Tenders Portal. All the payments for the
tenders will be carried out by bidders only through online payment
mode. Bidders shall select the option for payment of EMD as Online
[download the PDF document online payment] available from the
website https://tntenders.gov.in/ under Announcements (Bidder
Manual for Online Payment of Tender related Fees in e Procurement
Portal). The Announcements is available in left side of the Home
Page. The bidders should follow the Instructions step by step for
online payment submission.

c. The EMD amount should be the exact amount and no excess or less
amount should be transferred through online payment gateway. If
excess or short, the tender status will be shown as invalid.

d. The EMD will not carry any interest.

e. In order to avoid any issues and last minute delay in processing of

payment online, bidders should ensure payment of EMD, 72 hours in
advance. TAMIN will not be responsible for any sort of difficulties or
delay faced by the bidder during submission of bids online, due to
local issues.

 f. Any other mode of payment of EMD shall not be accepted.

8. Online payment mode:

i. During online bid submission process, bidder shall select SBI MOPS option and
submit the page, to view the terms and conditions page. On further
submission, bidder will be re-directed to MOPS gateway, where two options
namely SBI and Other Banks will be shown, here, bidder may proceed as
follows:

a) SBI Account Holder: Shall click ‘SBI’ option to view the Net Banking
Facility, where they can enter their internet banking credentials and transfer
the EMD amount.

b) Other Bank Account Holders: Shall click ‘Other Bank’ option to view the
bank selection page and select their respective bank to proceed with Net
banking Facility for payment of EMD.

Note - Bidders using “Other Bank” option under SBI MOPS payment Gateway
are advised by SBI to make online payment 72 hours in advance before tender
closing time.

ii. Any transaction charges levied while using any of the above modes of online
payment has to be borne by the bidder.

iii. The bidders will be evaluated only if payment status shows “Success” during
bid opening. It is necessary to click on “Freeze bid” link/icon to complete
the process of bid submission, otherwise the bid will not get submitted online
and same shall not be available for viewing/opening during technical bid
opening.

9. Refund of EMD of unsuccessful bidders:

The EMD paid by the bidder will automatically be deposited in the “Pooling
Account” of the State Govt. only and not in TAMIN’s account. Hence refund process
will be initiated automatically, once the bid is rejected by TAMIN during technical /
financial evaluation and TAMIN is no way responsible for refund of EMD of the
unsuccessful bidders.

10. Criteria for considering the Tender offers and Evaluation of theTender

i) The Tender shall be evaluated and awarded based on the highest rate
quoted and quantity proposed to be purchased.

 ii) TAMIN reserves the right to accept or reject any tender on the basis of
past performance of the party in TAMIN.

11. Security Deposit :

i) The successful bidder should pay a sum equivalent to 5% of the total

value of the contract as security deposit in the form of Demand draft
drawn on any scheduled bank in favour of TAMIL NADU MINERALS
LIMITED, payable at Chennai and execute an agreement in prescribed
form towards the fulfillment of this contract within 15 working days
from the date of sale award.

ii) The security deposit paid by the successful bidder, shall stand forfeited
if the successful bidder commits a breach of any of his obligations or if
he fails to lift the quantity undertaken by him within the time
stipulated.

iii) No interest will be payable on the above Security Deposit.

iv) The Security Deposit amount will be refunded only after successful
completion of the contract.

v) If the successful bidder drags TAMIN for any litigation or dispute, the
expenses incurred by TAMIN would be deducted from this amount.

12. Award of contract:

i) Award of sales will be made at sole and absolute discretion of the Tamil
Nadu Minerals Limited which shall be final. No correspondence will be
entertained in this regard with the unsuccessful bidders.

ii) TAMIN reserves the right to accept the tender in whole or in part, with
such modifications or without any modifications and the bidders shall be
bound by the same. TAMIN also reserves the right to apportion the
available material among various parties and for exports.

13. Agreement :

i) Any offer made in accordance with the terms of this tender when
accepted by Tamil Nadu Minerals Limited will constitute a contract
between the parties.

ii) The successful bidder will be required to execute an agreement on a

non-Judicial Stamp Paper to the value of not less than Rs.50/-

 incorporating the above all terms and conditions in the prescribed form
within 15 days from the date of sale award. The draft agreement will
be prepared by TAMIN and sent separately after finalization of tender.

14. Payment :

i) The successful bidder should make the 100% advance payment of the
sale value including taxes as applicable etc., by Demand Draft / RTGS /
NEFT drawn in favour of Tamil Nadu Minerals Limited, payable at
Chennai for the quantity available materials. The advance payment
should be made within seven days from the date of intimation /
proforma invoice. If the payment is not remitted within stipulated time,
the material will be allotted to the any interested buyer in lifting the
material.

ii) The buyer must arrange to make the payment immediately / within
seven days. After making payment, if any instruction is issued the buyer
shall oblige promptly to remove the material without any delay.

15. Inspection of Material

I. The successful bidder shall make their own arrangements at their own
cost to inspect the material at our factory before despatch. Rejection
of material outside our factory (or) at bidder’s destination cannot be
accepted for any reasons.

II. Materials once supplied cannot be taken back under any circumstance.

16. Transportation / Delivery:

i) The materials will be delivered on Ex-factory basis. The successful

bidder shall make their own arrangement to transport the quantity from
our factory to their destination during working hours on any working
day. Necessary machinery such as JCB is to be arranged by the
successful bidder.

ii) The cost of transportation and loading / unloading shall be entirely

borne by the successful bidder.

 iii) TAMIN cannot be made responsible for any loss of pilferage, loss in
weights, contamination, change of materials, change of quality and etc.
if any occurred during transit and goods once loaded from our factory
are at the buyer's risk.

17. Defaulter clause:

a) Successful bidder has to make payment within the time stipulated in the sale
award from the date of proforma invoice.

b) If no payment is received, successful bidder will be issued a warning letter

on the next day of expiry of time given for remittance (system generated) so as to
make payment within 7 days from issue of warning letter.

c) If no response for warning letter, 8th day from warning letter, show cause
notice (system generated) will be issued with 15 days to respond.

d) In spite of above warning letter & show cause notice, if there is

noncompliance, the sale award will be considered for cancellation based on the
merit of the case and the firm will be debarred from participating in future tenders
for the period of two years.

18. Force Majeure Clause:

Delivery is agreed upon in good faith and TAMIN shall not be liable for damage
or otherwise on either side for failure to carry out the obligation which may be
occasioned by ACTS OF GOD, War, Civil disturbances, Disorders, Strikes for want of
Labour Acts or Regulations of Government Authorities or Agencies, the rulings by the
Judicial authorities or similar circumstances beyond their control.

19. Arbitration:

Any dispute or difference whatsoever arising between the parties out of or

relating to the construction meaning and operation or effect of this contract or the
breach thereof shall be settled by Arbitration if both parties agree for in accordance
with the Arbitration and Conciliation Act, 1996 and the Award made in pursuance

thereof shall be binding on the parties. The venue of Arbitration shall be at Chennai
and the language is in English only.

20. Jurisdiction of Court:

The courts situated within Chennai alone shall have jurisdiction to decide all
disputes and claims that may arise between the parties.

21. Assignments:

The Contract is not assignable or transferable on either side.

22. GST:

i) GST as applicable from time to time (at present 5%)

ii) Any other statutory levies from time to time.
iii) TCS / TDS as per rules in force.

23. Acceptances of Tender Conditions:

The bidder must state while submitting the tender that he fully understands and
accepts all the above said terms and conditions. Tenders without such specific
acceptance will not be considered. The details of tenders should be written in
English only.

24. Validity of offer:

The offer should be valid for at least 60 days from the date of opening the tender.

25. Viewing of e-portal:

Intending bidders are advised to visit the Government website:

corrigendum / addendum / amendment.

26. Discretion:

i) The sale under this offer does not give any exclusive right to the
successful bidder for the entire quantity of Silica Sand having grain size
0.5mm to 0.09mm from Ennore, TAMIN reserves the right to sell part
of its products to others also at all times and in the case of default by

 the successful bidder in the manner as it decides to the advantage of
the Corporation by fixing any other buyers from time to time.

ii) The Managing Director, Tamil Nadu Minerals Limited reserves the right
of rejection of all or to any of the tenders without assigning any reason
thereof or split up the tender as he deems fit.

iii) The Managing Director, TAMIN reserves the right to cancel the bid even
after acceptance or during performance of the contract.

iv) The Managing Director, TAMIN reserves the right to alter/modify any of
the above tender conditions before the award of the contract in the
interest of the Corporation.

27. General

In the event of any dispute between TAMIN and the successful bidder, TAMIN
reserves its right to stop the supply irrespective of the quantity so far supplied and
the matter would be referred to the Indian Arbitration Council and during the said
dispute the successful bidder has no right for the specific performance of the
contract nor he will be entitled for damages or any action against TAMIN. The
successful bidder specifically agrees that in respect of any dispute arising out of
this contract, he will not pray for any interim order or restraint order against TAMIN
in any judicial forum.

i) If the successful bidder has got any trade representative, the said
representative will be utilized only for the purpose of trading activity and
NOT as the representative of the successful bidder in the arbitration
proceedings or in the court proceedings or in respect of any matter other
than the act of mere representative in the inspection of materials and other
allied subjects and the said agent will not have any right to represent the
bidder either to commence or to continue or to participate in any dispute or
litigation that may arise between the bidder and TAMIN.

 ii) The decision of The Managing Director, TAMIN will be final regarding the sale
of Silica Sand having grain size 0.5mm to 0.09mmfrom Ennore Factory.
