Dear Mr. Faisal and Mr. Najmul,
Following our extensive discussions and shared aspirations to expand the reach of Red
Professional Development Training Center LLC, this document formalises the foundation of our
operations in the Kingdom of Saudi Arabia and serves as the principal charter of
responsibilities, expectations, and implementation guidelines for the new KSA-based entity.
The new company will be incorporated under Saudi law and will be 100% owned by Mr. Faisal
Alayesh, operating under the same name and professional development activities as the UAE-
based centre. This initiative will replicate the proven success model of the Dubai entity and is
intended to establish a firm footprint in Saudi Arabia’s growing training and development
ecosystem.
I. KSA Entity Overview
Company Name: Red Professional Development Training Center – KSA
Legal Status: 100% Saudi ownership under Mr. Faisal Alayesh
Head Office: Location to be determined in KSA (with advisory input from UAE team)
Business Activity: Professional and vocational development, global certifications, and corporate
training services
II. Allocation of Responsibilities
A. Mr. Faisal Alayesh – Managing Director, KSA
Mr. Faisal will be responsible for:
1. Company Formation & Legal Compliance
o Registering the company under applicable Saudi regulatory frameworks
o Obtaining licenses from the Technical and Vocational Training Corporation
(TVTC) and other required authorities
2. Client Services & Operations
o Lead client engagement, proposals, and local partnership development
o Ensure smooth delivery of programs through coordination with Dubai-based
training team
3. Financial & Administrative Management
o Oversee financial operations including banking, invoicing, zakat, taxation, and
audit compliance
o Administer HR and administrative operations of the Saudi entity
4. Course Execution Management
o Organise venues, student onboarding, local logistics, and feedback capture for all
programs delivered in KSA
B. Mr. Najmul Hussain – Director of Training & Certification, UAE
Mr. Najmul and his Dubai-based team will undertake:
1. Academic Governance
o Provide academic structure and deliver training under existing international
accreditations:
PMI (ATP #5375)
CSSC (Six Sigma)
Qualifi UK (Accredited Centre)
2. Trainer Deployment
o Manage trainer rosters and assign qualified personnel based on client
requirements in KSA
3. Certification & Quality Assurance
o Ensure all programs meet global certification standards and compliance with
governing bodies
4. Proposal Development & Marketing
o Support the KSA entity with training proposals, brochures, and course material
o Guide Mr. Faisal on the correct categories of registration and licensing processes
III. Inter-Entity Collaboration Agreement
A formal business agreement will be signed between:
Red Professional Development Training Center – KSA (under Mr. Faisal Alayesh)
Red Professional Development Training Center LLC – Dubai (under Mr. Najmul
Hussain)
Key elements will include:
Scope of services provided by the Dubai entity
Commercial and licensing terms
Use of branding and intellectual property
Confidentiality, compliance, and non-compete clauses
