Databricks Consulting Partners are uniquely positioned to help our customers implement and scale
data engineering, collaborative data science, full-lifecycle machine learning and business analytics
initiatives. Through the Databricks Consulting & System Integrator Partner Program (“C&SI Program”
or “Program”) we offer a number of attractive benefits that allow Data & AI consulting providers to
grow their business and help deliver customer value. Partners who build their Databricks skills will be
positioned well with enterprises for new use cases and strategic project leadership.

Program Terms
This Program Overview provides the Additional Terms that, together with the Databricks Partner
Program Terms and Conditions at www.databricks.com/partnertcs, forms your Partner Program
Agreement for participation in the C&SI Program. Program Benefits, Requirements and terms may be
periodically updated per the Agreement and as described below.

Program Tiers

The C&SI Program includes three structured Tiers (Registered, Select, and Elite), plus one additional,
invite-only, designation (Global Elite) for certain Global System Integrator partners:

Tier Assignment and Re-Leveling

Partners are assigned an initial Tier based on their organizational characteristics, current
accreditations, and past performance. Partners can unlock additional Benefits as they satisfy
Requirements to move up through Tiers. Databricks may advise a Partner of a change in its Tier,
based on attaining or not satisfying Requirements. Generally movement upwards within Tiers is
effective immediately, and downwards movements are effective after 30 days notice. Note that
non-compliance with Program terms may result in the suspension or termination of individual
Benefits or, in the case of certain violations, participation in the Program.

New Logo Referral Fee Benefit - Details & Terms

Benefit
The New Logo Referral Fee sum indicated in the Benefits Matrix above.

Eligible Opportunity
Registered Opportunity for a New Logo that books within the Registration Period.

Process
Register. Submit completed registration application for each Lead via the Partner Portal.
Engage. If requested by Databricks, collaborate by:
●​ discussing opportunity in detail, providing commercial context and non-confidential
information;
●​ facilitating Databricks consideration of the lead by actively introducing Databricks,
arranging a meeting, conference call, or other means of engaging and communicating
with the end Customer.
Review. Databricks will try to respond to you on each submitted Lead within ten (10) business
days. Databricks may accept or reject a Lead in its sole discretion. Acceptances are
communicated via the Partner Portal.
●​ If rejected, Databricks will make reasonable efforts to explain the reason for rejection.
Reasons for rejection may include that the Customer is already or has been a Databricks
Customer. Submitted Leads are deemed rejected if no affirmative acceptance or
rejection is communicated to Partner within the 10-day target window.
●​ We may still collaborate on Registered Opportunities even if not eligible for New Logo
Referral Fee.

Close. For accepted Leads (Registered Opportunities) Partner continues to collaborate to
facilitate Databricks’ closing the transaction by booking within the Registration Period.
●​ Registration Period is 180 calendar days from date Databricks accepts submitted
registration request; registrations expire if not closed within the Registration Period
(unless Databricks approves extension in writing).
Payment. For Eligible Opportunities, New Logo Referral Fees are generally paid within one (1)
month following the end of the Databricks’ fiscal quarter in which Databricks books the
Customer’s order.

Additional Terms
New Logo means a Customer account that places its first commit order with a minimum 6
month term and minimum value to Databricks of $50,000 ARR (USD) in Databricks’ DBUs.
(Examples may include a PAYGO account which moves to a commit model, or a Customer that is
net-new to Databricks, provided the minimum deal value is met).
New Logo Referral Fee means the sum Databricks provides Eligible Partners for a Registered
Opportunity that results in an Eligible Booking and meets the other stated requirements for this
Benefit.
Payments. New Logo Referral Fees are paid to the Partner, not to individual personnel, or to
Affiliates who may have participated in submitting the opportunity. You are responsible for any
taxes that may apply, for assuring eligibility to receive this Benefit, and using the Benefit in a
manner that complies with all applicable laws, including laws governing public or commercial
bribery. New Logo Referral Fees may not be shared in whole or part with Customers or with
individual Customer personnel for any purpose, including serving as a discount or incentive to
engage with Databricks. If two or more Eligible Partners register the same Referral, Databricks
reserves the right in our absolute, good faith discretion to award the New Logo Referral Fee to
one Partner, or to allocate between Partners.
Rescission/Termination. A Registered Opportunity (and Partner’s eligibility for the Benefit) may
be rescinded if the Partner (a) intentionally provides incorrect or misleading information, or (b)
inadvertently provides information that is materially incorrect or misleading, or (c) does not
provide requested information to support incentive payments, or (d) is subject to an
Organizational Conflict of Interest associated with the lead. If Partner works with Government
Entity Customers, Partner agrees that it will comply with FAR Subpart 9.5 and similar
Organizational Conflicts of Interest (“OCI’s”) obligations in connection with Lead submission or
opportunity registration, and will notify Databricks immediately following identification of an OCI
associated with a Registered Opportunity. If Databricks terminates this Benefit or your
participation (for reasons other than your material breach or any of the preceding reasons
(a)-(d)), we will still pay for Eligible Opportunities that meet the requirements of this Benefit.
Non-cumulation with other incentive Benefits. From time to time, Databricks may invite
eligible Partners to participate in other optional Programs offering alternative incentive benefits
involving Registered Opportunities. Where the Benefit(s) provided under such other Programs for
a qualifying Registered Opportunity are equal to or greater than the New Logo Referral Fee(s), the
Benefits under both Programs do not cumulate. Instead, Partner will receive the higher of the
Benefits for which the Registered Opportunity qualifies.

Partner Account - Details & Terms

Benefit
Eligibility for access to a Partner Account* for Databricks Platform Services (serverless), only for
the Permitted Use defined below, for up to the value of the Credits granted by Databricks for
use in this Program Period. **Eligible Partners may receive one (1) Partner Account unless
otherwise allocated by Databricks in its sole discretion.

Permitted Use cases. All requests are subject to Databricks prior approval at its sole discretion.

Minimum administration skills

●​ Partner must provide a platform administrator with at least one Associate Level Certification
in one of the available Databricks Technical Learning Path.

●​ Partner must have an identified individual who is either designated as their Databricks
Champion, or is currently in the program to become a Partner Champion.

Setup

At the time of this Program Overview’s publication, Databricks is pleased to advise it is


transitioning and updating its Partner Account provisioning process to a new, enhanced
automation. Accordingly, details may change over time as communicated by Databricks
(including by published updates to this Program Overview). The transition will apply to both initial
setup of a Partner Account for new Partners, and for migration enablement of existing Partner
Accounts for existing Partners (where eligible for a Partner Account per the Benefits Matrix).

●​ Registered. The admin contact for Registered Partners will be notified by email regarding
account setup details, when available.

●​ Select and Elite. Existing Partners - send setup request to [email protected] to


receive email instruction.

Permitted Use
●​ Demonstration of the Databricks Platform Services to prospective Customers. Also, you may
copy, distribute, and display Databricks-published technical and marketing materials
concerning our solutions – available via the Partner Portal or Databricks.com – to
prospective Customers as part of demonstrating our platform.

●​ Training of Partner personnel (but not Customers).

●​ Test/development to support Partner’s internal research and development of solutions that


may integrate with or require use of Databricks Platform.

Exclusions – you may not upload or process any production data or Personal Data in your Partner
Account, nor allow anyone to access your Partner Account other than your employees or internal
consultants. You also cannot use a Partner Account to test/develop competitive products meant
to substitute for Databricks’ solutions, nor use it to train Customers.

Additional Terms
MCSA. Your Partner Account use is governed by the MCSA (meaning, Databricks’ then-current
terms of service for the Databricks Platform published at www.databricks.com/mcsa), as
modified and limited by this Program Overview including the Permitted Use terms described
above. You are responsible for assuring compliant use by Affiliates or anyone you give access to
your Partner Account. No warranties attach to your use of the Partner Account, but the
protections of Databricks indemnification in the event of third party Intellectual Property claims
(as set forth in the MCSA) apply to the Partner Account.

Credit. The Databricks award email detailing your Credit grant describes your Partner Account
allowance for the current Program Period. Any Platform Services used above such Credit value
may be made available via separate Databrick PAYG (Pay as You Go) arrangement (credit card
required), which is separate from and not part of the Partner Account or this Agreement.

Partner Responsibilities. If Partner fails to comply with these Partner Account terms and
limitations, including the MCSA terms and the Permitted Use restrictions described above,
Partner will (if Databricks requests) defend, indemnify, and hold harmless Databricks, Databricks’
personnel, and Databricks’ Affiliates (each and all of them, indemnified parties) against any
resulting claims, losses, damages or expenses (including reasonable attorneys fees) that
indemnified parties may suffer. Databricks may suspend or terminate Partner access to a Partner
Account at any time, on notice to Partner. If a Partner’s access to this Benefit is terminated, then
Partner will immediately stop accessing/using the Partner Account and related technical
materials.

Program Tiering
All partners must provide a named primary contact and business plan for Databricks business, in
addition to adhering to the Partner Value Score components for their Tier, below (including payment
of applicable annual Program Fee upon request, following acceptance to Program). In addition,
Databricks reserves the right to conduct customer satisfaction surveys of Joint Customers, to gain
insights on Partner capabilities and to guide our partner-enablement investments. Joint Customer
feedback may (at Databricks discretion) be shared with you on an anonymized basis.

Partner Training & Certification

Databricks Partner Academy


Our Partner Program for Consulting & SI Partners leverages partner training and enablement as a key
indicator of delivery readiness. We encourage our customers to look for Data & AI Service Providers
with delivery-ready consultants, with the skills and proficiency demonstrated by Databricks’
Technical Badges (Databricks-issued credentials awarded to an individual member of the Partner’s
organization who has completed training and proficiency requirements).

By attaining Databricks Academy Certifications, partners demonstrate the level of proficiency


required to deliver a customer solution, including cloud infrastructure, data migration, data pipelines
and ml modeling.

To support your partnership acceleration and Certification attainment, Databricks has built a
Databricks’ Partner Academy complete with three data persona learning paths:

●​ Machine Learning / Data Scientist

●​ Data Analyst

All Consulting & SI Program Partners are provided access to the Databricks’ Partner Academy, where
your consultants can participate* in unlimited self-paced training and (depending on Program Tier) a
limited number instructor-led training courses.

*Additional terms apply - See Additional Detail and Terms, below

Additional Detail and Terms


●​ Academy Certification. Each Academy Certification is earned as its training/testing
requirements are completed, and expire 24 months later. Academy Certification duration
accordingly does not map to the Program Period, and each Academy Certification must be
renewed as it expires.

●​ Updates and Renewals. Learning Paths, Academy Certification designations, and training
requirements may change from time to time as notified by Databricks’ updated information
published on Partner Academy. Accordingly, new and renewed Academy Certifications will
benefit from education founded on the latest updated technical content.

●​ Mobility. Academy Certifications are personal to a named individual and are


non-transferable between individuals. Academy Certifications may move with an individual if
their employment transfers to a new, eligible Partner, but in order to give the new employer

credit for the employee’s Technical Certification, Databricks Partner Operations must be
notified of the move (by email to [email protected]).

●​ Training Terms. Databricks Training Services are subject to our then-current Partner Training
Terms .

o​ Cancellations. Please review our Partner Training Terms and note that in order to
schedule and provide live Instructor-Led Training Services (whether in person or
virtual), For Instructor-Led Training, Databricks requires registered students to attend
or cancel at least 48 hours in advance.

o​ No-Shows. We reserve the right to charge for no-shows and to suspend or terminate
access to free partner training for repeated no-shows at Instructor-Led Training.

Sales Training
●​ In addition to technical training, Partner Academy also provides access to the latest in
Databricks Sales Training. The training's foundational knowledge and industry relevant use
cases will empower your organization’s success in positioning and selling the value of the
Databricks Intelligence Platform.

●​ In addition to classes, the Partner Portal provides customer-facing resources for use in sales
presentations. These resources are a curated collection of the most impactful tools used by
the Databricks field sales team. They are maintained to keep pace with our rapid evolution of
the Databricks Lakehouse platform as we introduce new features and products.

Other Non-Technical Training


Databricks strives to maintain the highest standards of business integrity in our work, and in our
partnerships. We expect our business partners to abide by the principles of our Code of
Conduct, and any successor partner-focused Code of Conduct of which we may notify you.

From time to time, Databricks may require that Partners complete additional training and/or
provide us certifications of compliance that we deem necessary to confirm alignment with these
principles or ensure compliance with laws.

Additional Program Definitions and Terms
Databricks Databricks-provided funding to Eligible Partners for qualified Customer
Customer projects that accelerate consumption of Databricks solutions. DCIF
Investment participation is subject to approval and additional terms.
Funding (DCIF)

Databricks The Databricks Intelligence Platform, Databricks’ industry-leading data and


Platform Services AI lakehouse platform, provided as software-as-a-service, excluding any
professional services or support.

DBU or A measure of unit by which Databricks prices and sells the Databricks
Databricks Unit Platform Services, which also may be expressed by other units of measure
depending on the product/feature used to process a workload (as more
specifically detailed at https://databricks.com/product/pricing).

Eligible Booking A value booked by Databricks from Customer orders that satisfy Program
eligibility criteria to qualify for Regional Requirements and/or Benefits. Two
kinds of bookings apply in the Program (see also more detailed discussion
under Opportunity Registration definition below, on tracking and crediting
Eligible Bookings):
●​ Partner-Sourced Bookings – Databricks’ bookings from Registered
Opportunities that were Partner-originated, meaning it is not in
Databricks’ pipeline (Salesforce system) at the time of registration
submission, or was otherwise later demonstrated to be
Partner-originated.
●​ Total Databricks’ Bookings – The total of both Partner-Sourced
Bookings plus bookings from Registered Opportunities that were
not Partner-Sourced Bookings, but in which the Partner added
material value or influenced/impacted closing the deal, as
determined by Databricks in its sole and reasonable discretion.
Note: only the value of Customer orders contracted with Databricks and
committing to usage of the Databricks Intelligence Platform (e.g. the Usage
Commit value) counts towards Eligible Bookings. Usage consumed via
PAYGO model, and other consumption outside of a Usage Commit
Databricks contract does not count.

Eligible Partner A Partner which satisfies the Program criteria to be eligible for a given
Benefit. Such criteria might include meeting Requirements for a given
Partner Tier, or completing Databricks’ process requirements.

Joint Customer A Databricks Customer where the consumption of Databricks Units (DBUs)
is recognized by Databricks as being impacted (enabled / influenced) by a
Partner, and for whom that Partner is recognized as implementation
partner or sales partner in Databricks systems.

Opportunity The mechanism via Databricks’ Partner Portal for registering deal
Registration opportunities. When accepted by Databricks, this results in a Registered
Opportunity.
Databricks believes in early engagement and encourages partners to share
insights on potential Customer projects or use cases as early as possible
by registering qualified opportunities with us. Doing so helps enable the
following:

Partner Account A Databricks Platform account provided to an Eligible Partner for


demonstration, internal training, and to support test/development efforts
for Databricks-compatible solutions – see Benefit Detail –
Demo/Training Partner Account for more information and additional
terms.

Partner-Sourced A new Databricks customer (a “Joint Customer”) that (i) begins generating
Activated Logo monthly recurring revenue (“MRR”) through a live workload or (ii) signs a
new business Usage Commitment contract (“Booking”), where the Partner
has played a material role in sourcing or enabling the opportunity.
Qualifying Partner activities may include, but are not limited to, lead
submission, technical win support, or delivery of pre-built solutions that
directly contributed to the sale or implementation. Final determination of
whether a Partner’s involvement qualifies as a Partner-Sourced Activated
Logo shall be made by Databricks in its sole and reasonable discretion

Partner Sourced “Partner-Sourced MRR” refers to the estimated monthly recurring revenue,
$MRR measured in USD (based on Databricks Unit or “DBU” usage), generated by
a live use case where the Partner has contributed meaningfully to the
opportunity. Qualifying contributions may include co-selling, technical
implementation, or enablement of a workload that goes into production.
Partner-Sourced MRR is used as a performance measure to evaluate
Partner impact within the Databricks Partner Program.

Program Fee The amount (in USD) due from each Partner enrolled in the Program, each
Program Period. Program Fees are not prorated (e.g., the same sum applies
regardless of the date on which a Partner enrolls during a Program Period)
and do not vary based on Partner activity level.

Partner Value Score The PVS evaluates partner performance across three pillars—Growth,
Customer Success, and Innovation—using metrics such as consumption
impact ($DBUs), joint customers, and technical certifications. Based on
their total PVS, partners qualify for tier statuses (Elite, Select, or

Registered), which reflect their contribution to business impact and the
development of shared capabilities.

Program Period The Program Period is the timeframe during which attainment of
Requirements and consumption of Benefits are measured. Each Program
Period is approximately 12 months long and (unless otherwise advised)
spans the Databricks’ fiscal year

●​ Example: Databricks FY23 is February 1, 2022 – January 31, 2023

Tier A Partner’s level in defined partner categories in Program, based on


attainment of relevant Requirements.

Velocity New Databricks-provided incentive eligible partners to register new


Logo Incentive opportunities in qualified accounts to drive adoption and consumption of
