THIS DEED OF DECLARATION of Public Charitable Trust is executed
at Dindigul on this the 23RD Day of June, 2025. BY Mrs. R. PREMALATHA
W/O Mr. M. MURUGESAN [AADHAR NUMBER: 7287 6600 2564], aged
about 40 years, residing at No 211, Varasiddhi Vinayagar Kovil Street, S.R.V.
Nagar, Thirunagar, Harveypatti, Madurai Madurai district in the State of Tamil
Nadu. (HEREINAFTER CALLED THE FOUNDER / AUTHOR OF THE
TRUST) AND his oath here by appoints the following persons as Board of

WHEREAS THE AUTHOR OF THE TRUST MRS. R. PREMALATHA
W/O MR. M. MURUGESAN a philanthropist hailed from a reputed family, she
promote this charitable trust for support new women entrepreneurs, known for
their charitable deeds now intend to engage in charitable work in Dindigul district
among the poor and needy women, young generation besides engage in every
activities uplift their socio-economic status irrespective of their caste, creed, color,
religion, community etc.
AND WHEREAS now it has decided that the work carried on by his should be
brought under a Public Charitable Trust named “SRI SPECIAL INITIATIVES
FOUNDATION” which comprises classic rules and regulations so that the work
carried on by his should be sustained and maintained on a regular basis.
AND WHEREAS for the aforesaid purpose, the FOUNDER OF THE TRUST
has set apart a such of Rs.10,000/- (Rupees Ten Thousand only) from and out of
his own funds towards the corpus of the Trust and has agreed that the income and
contribution that may be received further and in future, shall be spent, only towards
the promotional objects of the Trust and incidental works mentioned here under:
AND WHEREAS the said sum of Corpus Rs.10,000/- (Rupees Ten Thousand
only) has in anticipation of these presents has been already transferred paid and
handed over to the Trustees before the execution of these presents.
NOW THIS DEED OF TRUST, WITNESS:
The Author of THE TRUST confirms that he has set apart, transferred and
assigned in the trust the said sum of Rs.10,000/- (Rupees Ten thousand only) unto
the Trust to have and to hold the same as CORPUS by the Board of Trustees on
the following terms.
1. The name of the Trust shall be “SRI SPECIAL INITIATIVES
FOUNDATION ”
2. The Trust shall hold its office at rental premise, number L-59, RM COLONY 9TH
CROSS, DINDIGUL, DINDIGUL DISTRICT IN THE STATE OF TAMIL NADU,
INDIA. However the Trust shall change its office if situation warranted.

"Empowering children with special needs to reach their full potential through
personalized education, therapy, and support, fostering independence, confidence,
and a lifelong love of learning."

1. Provide holistic education: Deliver tailored educational programs that cater to

5. THE OBJECTIVES INCIDENTAL OR ANCILLARYTO THE ABOVE
MAIN OBJECTVIES ARE AS FOLLOWS
a) To raise funds to support the aforementioned objects from within
India and abroad as contemplated in Law governing the Trust Act
1882 and Income tax act.
b) To solicit, receive, hold and disburse funds to promote the objectives
stated above and to hold funds and investments in trust for the said
objective.
c) To open and operate accounts of any description with any Banks for
the Trust.
d) To appeal for and raise funds, subscription grants and loans as the
Board of Trust may think it.
e) To purchase, take on lease and license, hire or otherwise acquire and
to hold, manage, administer and otherwise deal with any movable
immovable properties, rights and privilege as the Board of Trustee
may feel deem necessary, expedient or desirable for the promotion of
any of the objectives of the Trust.
f) To sell, alienate, lease, hire out on lease on license, mortgages,
charge, pledge, hypothecate, transfer, surrender dispose of any or
otherwise deal with all of any of the movable and immovable
properties of any to be acquired in future, funds and assets of the Trust
without profit motive for the promotion of the objects.
g) To appoint agent’s representatives and employees such conditions as
may be thought fit by the Board of Trustees.
6. CONSTITUTION
[a] MRS. R. PREMALATHA W/O MR. M. MURUGESAN shall be the
FOUNDER/MANAGING TRUSTEE of the trust and she shall be entitled
to continue as such during her life time. She will be oversee of the trust
activities and she will be in charge of the day to day activities of the trust.
[c] The other trustees except the Founder / Managing Trustee shall act as
trustees for a period of 3 (three) years from this date. They may be appointed
for further periods on invitation by the Board of Trustee.
[d] The said Managing Trustee shall be entitled to nominate the next Managing
Trustee for life and thereafter the existing Managing Trustee shall nominate
their successors in succession. Should a vacancy arises in the office of the
Managing trustee, either by failure to nominate a successor or by non
acceptance of the office by the nominee or otherwise by efflux of times the
remaining trustees shall elect a Managing Trustee on such terms for such
period as may be specified by resolution of Board of Trustees.
[e] The Trustees other than the Managing Trustee shall be liable to retire after
the said period of 6 (SIX years) unless they are invited by the Board of
Trustees.
[f] In case of death, resignation etc., of the Trustees the Board of Trustees in
consultation with the Board of trustees has the power to appoint any person
to his / her place as Trustee.
[g] The number of Trustees including the Managing Trustee / Founder shall not
exceed 9 (Nine) at any time.
[h] It is agreed that the activities of the Trust will not be carried outside India.
[i] The Trust formed is a public charitable body open to all and intends to serve
its beneficiaries irrespective of their caste, color, creed, religion, sex,
language etc.,
[j] The trust formed is a non profit motive body and it will not and in no event
carry on any activity with the intention of earning profit.
[k] The corpus and the income to be accrued in future shall be solely utilized
towards the objectives and promotional activities of the trust and no portion
of it will be utilized for payment to Trustees or any one related to them, as
defined in section 13 (1) ( c ) of the Income Tax Act 1961, by way of
profit, dividend, interest, salary etc.,
[l] It is unanimously decided by the Board of Trustees that any purchase / sale
of any immovable properties will be done only in accordance with Law and
it will be done only with the prior permission of the Commissioner of
Income Tax.
[m] The Trust shall frame its own rules and regulations for its effective internal
Management.
7. THE BOARD OF TRUSTEES SHALL HAVE THE POWERS
[a] To have control over the assets of the Trust.
[b] To draw, make, accept, endorse, discount, negotiate, execute, cheque’s and
bills of exchange and other negotiable instruments.
[c] To institute, conduct, defend, compound withdraw or compromise, adjust,
refer to arbitrations or abandon any legal or legal proceedings, claim or
claims by or against the Trust or Trustees or against the officers or
employees concerning the affairs of the trust and to sign and verify,
vakalath, claims, plaints, statement, affidavits and other proceedings before
all courts, and government authorities both Central / State.
[d] To appoint from time to time and at any time to suspend, dismiss, remove
and discharge any person under his control including clerks, accountants and
other employees with such power and duties as recommended by the board
of Trustees.
[e] And to do such other acts or deeds consistent with powers concerned herein
and such other acts authorized by the Board of the Trustee by a resolutions.
[f] The Board of Trustees has full authority to terminate or remove advisory
board member if in her individual opinion is neither contributory to the Trust
nor offering her full co – operation for the welfare of the Trust.
[g] The Board of Trustees are empowered to do all other activity, matters and
things which may be deemed necessary for carrying out the objects of the
trust or its administration as directed by the Board of Trustees.
[h] The Board of Trustees may however delegate the powers to others if
situation warranted.
[i] Board of Members has rights to raise funds from a person / companies /
groups etc for the promotion of trust activities.
8. MANAGEMENT
[a] Subject to the provisions herein, the Board of Trustees shall be entitled to
exercise all such Power and do all such other acts and things are necessary to
carry out the above mentioned activities with men of ordinary prudence.
[b] The Board of Trustees shall meet at least once in a year for approving the
statement of Accounts.
[c] The Trust shall frame its own Rules and Regulation for its effective internal
management.
9. ADVISORY BOARD
[a] The Advisory Board members will be appointed by the Board of Trustees, to
make available their expertise with regard to any project of the Trust.
[b] Advisory Board members can attend the Board meetings, but they cannot
vote for any resolution.
[c] Their term of office shall be fixed by the Board.
[d] They are entitled for a reasonable honorarium fixed by the board from time
to time.
10. BANK ACCOUNT
THE BANK ACCOUNT SHALL BE OPERATED IN THE NAME OF
THE TRUST BY THE MANAGING TRUSTEE MRS. R. PREMALATHA
W/O MR. M. MURUGESAN ALONG WITH FINANCIAL TRUSTEE OR
ANY ONE OF THE TRUSTEE AS AUTHORIZED BY THE BOARD.
HOWEVER THEY MAY DELEGATE THIS POWER TO OTHERS, IF
SITUATION WARRANTED.
11. INVESTMENTS OF TRUST FUNDS
[a] The Board shall have power to invest the corpus or the income from the
Trust’s fund at their discretion in accordance with the provisions of Sec.
11(5) read with Sec. 13(1) (d) of the Income Tax Act. 1961.
[b] The Trust shall apply for registration with the Income Tax Commissioner as
a non profitable charitable organization.
12. ACCOUNTS AND AUDIT
The Trust shall maintain regular accounts and the accounts of the Trust shall
be annually audited by a Chartered Accountant appointed by the Board of Trustees
and the audited statement of accounts shall be placed before the Board for its
approval within three months of the close of the financial year.
13. MEETING OF THE BOARD
[a] In addition to the annual meeting, the Board may meet from time to time as
determined by the Board of Trustees.
[b] The meetings shall be convened by the Board of Trustees of the trust and the
Board of Trustees shall preside over the meetings as chair person. The
decisions of the Board of Trustees will be final.
[c] The Board shall transact any business that may be specified in the agenda or
otherwise that may be agreed to by the Board of Trustees.
[d] The Board also shall appoint an auditor at the annual meeting for the
subsequent year.
[e] Half of the Board members shall constitute the QUORUM.
[f] All decisions regarding the affairs of the Trust shall be carried out by the
majority decision of the board, but in the event of equality of votes, the
chairman presiding over the meeting shall have a casting vote.
[g] Any resolution in writing signed by all the Trustees shall be binding on the
board as if it has been passed at a meeting of the Board of Trustees.
[h] The meetings of the Board shall be convened after giving at least a week’s
notice unless those who are entitled to receive notice agree to accept a
shorter notice.
[I] The Board of Trustees may invite in consultation with all the Board of
Trustees other interested persons in the work of the Trust to attend the
meetings of the board, but they shall not be entitled to vote thereat.
14. AMENDMENTS
[a] If any alteration or amendment were necessary the same shall be effected
through supplementary deed/deeds with the prior permission from the
Commissioner of Income Tax and it/ these shall be read together with this
main deed.
[b] The Board may amend the clauses relating to the management at duly
convened meetings to the Board by a resolution passed by a ¾ majority of
which resolution passed by at least two week’s notice has been given but
these amendments would not extend to altering the basic character/objects of
the Trust and further no such amendments which may prove to be repugnant
to the provisions of Sec. 2(15), 11, 12 & 13 and 80 G of the Income Tax Act
1961 shall be made.
[c] The amendment shall be effected only after getting prior approval of the
commissioner of Income Tax who has got jurisdiction over the trust.
15. FINANCIAL YEAR
The financial year of the Trust shall be from 1st April to 31st March of the
following year.
16. DISSOLUTION
a. The Trust formed is irrevocable.
b. In the event of dissolution of this trust the entire trust funds shall be
realized and first be used for payment of liabilities of the Trust. The assets left if
any shall be disbursed to other Trusts or Association having similar objects and
enjoying exemption under section 80 (G) of the Income Tax Act 1961, at the time
of transfer. In no event it shall be appropriated either by the Trustees or any one
related to the Trustees.
The Board of Trustees unanimously authorizes the Author / Managing
Trustee to sign this deed on their behalf.
HERE I DECLARE THAT AT PRESENT THERE IS NO MOVABLE OR
IMMOVABLE PROPERTY IN THE NAME OF THE FOUNDATION
TRUST AT THE TIME OF THIS TRUST DEED REGISTRATION THE
CORPUS AMOUNT IS RS 10,000/-I WISH TO REGISTER THIS DEED
AT JOINT-I DINDIGUL SUB-REGISTRAR OFFICE, DINDIGUL
DISTRICT
