Charter Party AGREEMENT

IT IS THIS DAY 26TH October, 2009 as AGREED

Between

ALTRA FINANCE INTERNATIONAL LIMITED


Odudu Terminal, Nigeria
(Hereinafter referred to as HANDLERS)
Being Despondent Handlers of the good vessel called

MT TANGO
(Hereinafter referred to as “the vessel”)
Described as per Clause 1 hereof and

DOUBLE WIN LTD


(Hereinafter referred to as “Chatterers”)

Description and Condition of Vessel


1. At the date of delivery of the vessel under this charter and throughout the period of
the charter.
(a) She shall be classed: DNV
(b) She shall be in every way fit to carry crude petroleum and/or its products:
(c) She shall be tight, staunch, strong, in good order and condition, and in every way
fit for the
service, with her machinery, boilers, hull and other equipment (including but not
limited to
hull stress calculator and radar) in a good and efficient state:
(d) Her tanks, valves and pipelines shall be oil-tight:
(e) She shall be in every way fitted for burning at sea – fuel oil with a maximum
viscosity of 380
Centistokes at 50 degrees Centigrade for main propulsion, marine diesel oil for
auxiliaries in
port – fuel oil 280 Centistokes and marine diesel oil for auxiliaries if necessary.
(f) She shall comply with the regulations in force so as to enable her to pass through
the Suez
Canal by day and night without delay:
(g) She shall have on board all certificates, documents and equipment required from
time to
time by any applicable law to enable her to perform the charter service without
delay:

Period Trading

3. Owners/Handlers agree to let and Charterers agree to hire the vessel for a period of
30days firm.
Limits commencing from the time and date of delivery of the vessel, for the purpose
of carrying
All lawfull merchandise including in particular in any part of the world, as Charterers
shall direct,
except ports or areas with vessel age restriction or limits and subject to the limits of
the current
British Institute Warranties and any subsequent amendments thereof.
Notwithstanding the
foregoing. Charterers may order the vessel to ice-bound waters or to any part of the
world
outside such limits provided that Owners/Handlers consent thereto (such consent not
to be
unreasonably withheld) and that Charterers pay for any insurance premium required
by the
vessel’s underwriters as a consequence of such order. Charterers shall used due
diligence to
ensure that the vessel is only employed between and at safe places (which
expression when used
in this
charter shall include ports, berths, wharves, docks, anchorages. Submarine lines,
alongside
vessels or lighters, and other locations including locations at sea) where she can
safely lie always
afloat. Notwithstanding anything contained in this or any other clause of this charter.
Charterers
do not warrant the safety or any place to which they order the vessel and shall be
under no
liability in respect thereof except for loss or damage caused by their failure to
exercise due
diligence as aforesaid. Subject as above, the vessel shall be loaded and discharged at
any places
as Charters may direct, provided that Charterers shall exercise due diligence to
ensure that any
ship-to-ship transfer operations shall conform to standards not less than those set out
in the
latest published edition of the ICS/OCIMF Ship-to-Ship Transfer Guide. The vessel shall
be
delivered by Owners/Handlers on the issuing date of this charter party agreement.

Laydays/Cancelling Owners to Provide

4. The vessel is being delivered to Charterers on this 26 TH day of October, 2009 and
Charterers shall
have the option of canceling this charter if the vessel is not ready and at their
disposal on or
before this date. And shall terminate on the 25th of Nov., 2009.
5. Owners/Handlers undertake to provide and to pay for all provisions, wages, and
shipping and
Discharging fees and all other expenses of the master, officers and crew, for all
insurance on the
vessel, for all deck, cabin and engine-room stores, and for water; for all dry docking,
overhaul,
maintenance and repairs to the vessel; and for alt fumigation expenses and de-rat
certificates.
Owners’ obligations extend to all liabilities for customs or import duties arising at any
time during
The performance of this charter in relation to the personal effects of the master,
officers and
crew, and in relation to the stores, provisions and other matters aforesaid which
owners/Handlers
are to provide and pay for and owners/Handlers shall refund to Charterers any sums
Charterers
or their agents may have paid or been compelled to pay in Respect of any such
liability. Any
amounts allowable in general average for wages and provisions and stores shall be
credited to
Charterers insofar as such amounts are in respect of a period when the vessel is on-
hire.

Rate of Hire

7. Subject as herein provided, Charterers shall pay for the use and hire of the vessel
at the rate of $55, 000. USD Per day for 30 days, which shall amount to
$1,650,000. USD, and 30% of the total freight must be paid into a nominated
Account of the Handler, which shall amount to $495,000 USD, and the balance
of 70% shall be raise through a Bank Guarantee.
8. $30,000USD must be paid on signing on the Vessel.
