We thank you for having given us an opportunity to offer our services to you for the above-mentioned
project. It shall be our endeavour to provide you with best services.
We have been actively designing and getting executed Architectural Projects since 2010. We are a
multidisciplinary Architectural Firm. We have been designing,

We have a good team of Architects, Civil Engineers, and a panel of Contractors to execute your job with
required expertise.
We have designed and got executed similar bungalows for professionals like you in and around Pune, a
few of them in your society itself. A list of a few of them for your perusal is given below.
All the documents required for submitting the proposal to the local authority shall be provided by
you. If the same are to be procured by us it will be at extra cost as per schedule. Providing designs
for structural system, shall not be part of our services and shall be paid by you directly as per
terms agreed upon mutually.
Our charges shall be 7.5% of cost of project and 2.5% For Site Development Works
3 Stage 2 On submitting the required preliminary 20% of the total fees payable less
scheme for the Client's approval along with the payment already made at Stage 1
preliminary estimate of cost
4 Stage 3 a On incorporating Client's suggestions and 30% of the total fees payable less
submitting drawings for approval from the payment already made at Stages 1
Client/ statutory authorities, if required. and 2
Stage 3 b Upon Client's / statutory approval necessary 35% of the total fees payable less
for commencement of construction, wherever payment already made at Stages1
applicable to 3a.
5 Stage 4 Upon preparation of working drawings, 45% of the total fees payable less
specifications and schedule of quantities payment already made at Stages1
sufficient to prepare estimate of cost and to 3b

6 Stage 5 On inviting, receiving and analysing tenders; 55% of the total fees payable less

8 Stage 7 On submitting Completion Report and 100% of the fees payable less
drawings for issuance of completion/ payment already made at various
occupancy certificate by statutory authorities, stages and retainer
wherever required and on issue of as built
drawings
Note:
1. The above fee does not include GST tax @ 18% on total fees, and will be charged
separately.
2. No deductions shall be made from the fee of the Architect on account of penalty, liquidated
damages, part rates or other sums withheld from payment or recovered from
contractors/suppliers.
3. When the work is executed wholly or in part with old materials or labor or carriage is provided
by the Client, the percentage fees shall be calculated as if the work had been executed wholly by
the contractor supplying all labor and new materials.
4. Any revision in the drawings, tenders and documents, once approved, required to be made by
the Client shall be compensated as additional services rendered by the Architect and paid for @
50% of the fee prescribed for the relevant stage(s).
5. Any curtailment of the professional services, beyond Stage 2, shall make it obligatory for the
client to pay at least 20% of the fee for the remaining Stage(s) of the curtailed work/ Services
We hereby request you to kindly release the initial retainer so that we may proceed with making
alternative designs etc. Also attaching herewith, is a list of documents required before submission to
local authority.

1. MR. Arthur Cutinho, aged 35 years, residing at Aundh 41 Bhau Patil Road (Hereinafter
referred to as the Party of the FIRST PART).
AND
2. MR. Rahul Deshpande, aged 34 years, residing at Wakad Pune (Hereinafter referred to
as the Party of the SECOND PART).
AND
3. MR. Shrinivas Patil, aged 34 years, residing at Kaoregaon Park Pune (Hereinafter
referred to as the Party of the THIRD PART).
WHEREAS, the parties hereto shall mean and include their executors, administrators
and assignees.
AND WHEREAS, the parties hereto were carrying on the business/profession of Architects,
Landscape and Interior designers, town planners and urban designers etc. under the name
and style of M/s Environs and the said partnership firm is duly registered with the Registrar of
Firms.
AND WHEREAS, the parties hereto have decided to keep their profit/ loss sharing
ratio as well as the remuneration sharing ratio.
AND WHEREAS, the parties hereto are desirous of reducing the terms and conditions of
Partnership in writing.
1. NAME & STYLE: The partnership business shall be continued to be carried on under the
firm name and style of
5. DURATION: The duration of the Partnership shall be 'AT WILL'. The parties hereto cease
to be partners notwithstanding above on account of death or found to be of unsound mind or
applies to be adjudicated as insolvent or convicted by the court of any offence involving moral
turpitude. However, such cessation of any partner as partner shall not dissolve the firm, but
the firm shall be continued by the remaining or the surviving partners.
6. CAPITAL: The Funds required for the purposes of the Partnership business shall be
contributed or arranged by the partners in such manner as may be mutually agreed upon.
Additional Funds required from time to time for running the Partnership Business may be
borrowed from Banks, Financial Institutions and/or any other sources with or without security
as the parties hereto may mutually agree upon from time to time.
7. YEAR: The books of account of the partnership business shall be closed at the end of each
financial year (i.e. April to March) within a reasonable time and the share of profit/loss of each
of the partner shall be credited/debited to his/her capital account.
8. INTEREST ON CAPITAL: It is agreed by and between the parties hereto that no interest
on Capital shall be paid to the partners.
9. REMUNERATION TO PARTNERS: It is agreed by and between the parties hereto that all
the partners are the working partners of the firm and they shall devote their time and attention
to the business of the partnership. It is hereby agreed between the partners that they shall be
entitled to draw yearly remuneration as under.
The total yearly remuneration payable to the working partners shall be calculated as a
percentage of the book profits for each accounting year in the following manner.
a. In respect of first Rs. 50- of Book Profits Rs.50/- or at the rate of
or in case of a loss 10% of Book Profits which
ever is more.
b. In respect of balance of Book Profits At the rate of100%
Explanations:
a. For the purpose of this Clause the expression "BOOK PROFIT" shall mean the BOOK
PROFIT" as defined in section 40 (b) of the Income Tax Act or any statutory modification or
re-enactment for the time being in force.
b. The above referred yearly remuneration is as per the current provisions of Income Tax Act,
1961. Any amendment or modification in the said act regarding the yearly remuneration will
be applicable to this clause from the date as prescribed by the said amendment or
modification.
C. The remuneration payable to the working partners as above shall be credited to their
respective accounts on ascertainment of Book Profits in the following ratio:
d. The working partners shall be entitled to draw a sum not exceeding remuneration payable
to him and if his total withdrawals during the year exceed the remuneration payable to him,
such excess shall be refunded by him to the firm or adjusted against his share of profits.
10. PROFIT / LOSS SHARING RATIO: That the net profit or loss of the partnership business
as per the accounts maintained by the partners after deducting all the expenses relating to the
activities of the partnership including salaries and other establishment expenses as well as
interest and remuneration payable to the partners in accordance with this deed of partnership
or any supplementary deed as may be executed by the partners shall be divided and
distributed amongst the partners in the
following agreed proportion.

11. DUES, PENALTY ETC. Every partner shall be personally liable for all his liabilities, dues
and penalties arising out of the past, present and future separate activities not connected with
the business of this partnership firm.
14. BANK ACCOUNTS: The bank account of the firm will be operated as may be mutually
decided by the partners.
16. RESTRICTIONS: That no partner shall without the written consent of all other partners
1) Employ any of the money, goods, assets, right effects etc. of the partnership firm or pledge,
mortgage, hypothecate or otherwise transfer or offer as security, except in the ordinary course
of business of the partnership and only for the benefit of the partnership.
2) Assign, mortgage or charge his share of the partnership or any part thereof or make any
other person, partner with him therein.
3) Compromise or compound upon payment in full, release or discharge any debts, claim,
action etc. due to the partnership.
4) Stand surety for any person or knowingly do an act or abstain from doing an act whereby
the partnership property maybe endangered.
17. MODIFICATION: The partners shall be entitled to modify the above terms relating to
remuneration as well as interest on capital to partner and any other terms and conditions etc.
by executing a supplementary partnership deed /addendum and any such deed/addendum
when executed shall have effect unless otherwise provided from the first day of the accounting
period in which such supplementary deed is executed and the same shall form part of this
deed of partnership.
18. ADMISSION: The additional partner/s may be introduced in the firm on such terms and
conditions as may be mutually agreed to between the existing partners.
