RENTAL AGREEMENT

THIS RENTAL AGREEMENT is entered into, made and executed at


Bangalore on this the Fourth day of February Two Thousand and Twenty Five
(04/02/2025), BY AND BETWEEN:

Represented by Smt.J.S.Nalini.

Hereinafter called the ‘LESSOR/OWNER’ (which expression shall unless


excluded by or repugnant to the subject or context be deemed to mean and
include their legal representatives, administrators, executors and assigns) of
the One Part; AND

NYUKTI BUSINESS SOLUTIONS PRIVATE LIMITED

Hereinafter called “LESSEE/TENANT” (which expression shall unless


repugnant to the context or meaning thereof mean and include its successor
or successor and assigns), of the Other Part.
WHEREAS the LESSORS are the absolute owners of the premises bearing
Municipal No.6,ground floor, situated 7th main, Indiranagar 2 ND Stage,
Bangalore-560 038, which is more fully and particularly described in the
schedule hereunder written and herein after referred to as the ‘SCHEDULE
PREMISES’;

WHEREAS the LESSEE have approached the LESSORS to take the Schedule
Premises on rental basis for the purpose of undertaking all its professional
activities, executives and to use as their Company Office, and LESSORS have
agreed to give the LESSEE the schedule premises on rental basis for the
above purpose on the following terms and conditions:

NOW THIS RENTAL AGREEMENT WITNESSES AS FOLLOWS:

1. DURATION OF THE LEASE PERIOD:

This rental agreement is for three years initially commenced from 1st day of
November 2024, which can be extended on mutually agreeable terms for
further period/s, with the option to the LESSORS to renew the Rental
Agreement for the further term

of three years or with mutual discussion of both the LESSORS and LESSEE.

2. RENT:
(a) The LESSEE shall pay to the LESSORS a monthly rent of Rs.55,000/-
(Rupees fifty Five Thousand only) in respect of the Schedule Premises on
or before the 10th day of every English Calendar Month regularly without any
default. The rent shall be deposit equally to both owners. i.e Rs.27,500/- to
Mr. Sundaresh Siddiah S/B Account no. 89240100002743 Bank of Baroda
C.M.H Road ,Indiranagar Branch, IFSC-BARBOVJINBA AND Rs. 27,500/-
Mr.B.S.HARISH S/B Account No. 016901082736 ICICI Bank, C.M.H. Road
Indiranagar Branch IFSC-ICIC 0000169.
(b) The LESSORS shall issue to the LESSEE proper receipt as and when the
rents are received from the LESSEE.

3. SECURITY DEPOSIT AMOUNT:


The LESSEE shall pay Rs. 4,00,000/- ( Rs. Four Lakhs only) towards security
deposit to the LESSORS ( Two Lakhs each) through RTGS, which amount has
been received and acknowledged by the LESSORS. The above said security
deposit amount shall not carry any interest and refundable by the LESSORS
to the LESSEE at the time of vacating and handing over the schedule
premises, subject to deduction of the dues, if
any, like arrears of rent, maintenance charges, electricity or water charges,
and painting charges or any damages in fixtures and fittings.

4. PAYMENT OF ELECTRICITY & WATER BILLS:


(a) The LESSEE shall pay the electricity and water charges in respect of the
schedule premises with effect from1st November 2024. All electricity or water
bills pertaining to the schedule premises shall be settled and paid by the
LESSEE within the period prescribed for payment.
(b) Interest, penalty, and expenses to be incurred or incurred, if any, on
account of delayed or non-payment of electricity and water bills shall be
borne by the LESSEE only.

5. ENHANCEMENT OF RENT:
The LESSEE shall pay the enhanced rate of rent at 5% on the existing
monthly rent every year.

6. PAYMENT OF PROPERTY TAX:


The LESSORS ( property Owners)shall pay and discharge all the property
taxes, assessments, any other additional charges and levies levied on
schedule premises including periodical increase and enhancements and
additional cesses that are payable to Bangalore 5
Mahanagara Palika, Bangalore Development Authority, Bangalore Electricity
Board or any other authorities incidental to the ownership or for use of the
schedule property of Office use during the term of the agreement. The
LESSORS shall pay all the past, present and future municipal taxes and
property taxes in respect of the schedule premises.

7. STRUCTURAL ALTERATION NOT ALLOWED:


The LESSEE shall not carry out any structural alteration or modification to the
premises. However, the LESSEE can install any removable partitions and
other household fittings & interior works and remove the same on
termination of the lease period as mentioned herein.

8. PROHIBITION OF SUB-LETTING ETC.:


The LESSEE shall not sub-let the premises, or entertain paying guests, or part
with any part of the schedule premises in favor of any other person/s.
However, the LESSEE shall be entitled to share the premises with the
Employees of its group company (ies) only. On vacating, the LESSEE has to
hand over the schedule premises along with the fixtures and fittings in sound
order and conditions only to the LESSORS and nobody else.

9. PREMISES TO BE KEPT IN GOOD AND HYGENIC CONDITION:


(a) The LESSEE shall keep the schedule premises in good, hygienic and
decent condition throughout its occupation.
(b) The LESSORS or their representatives authorized by them shall be entitled
to and be at liberty to inspect the schedule premises at all reasonable time
with 24 hours notice and leave notice of the defects to be rectified.
(c) The LESSEE shall take reasonable care of the schedule premises and
maintain the same in good and tenantable condition, reasonable wear and
tear, damage by fire, earthquake, storm, floods, tempest, war or civil
commotion and other such acts of gods being excepted.

10. LESSEE TO OBSERVES RULES AND REGULATIONS:


The LESSEE hereby agree to strictly follow all the rules and regulations that
may be prescribed by the authority’s in-matter of consumption of electricity
and water and other rules and regulations prescribed by the Government or
any statutory authority/authorities.

11. PROHIBITED ACTS:


The LESSEE hereby agree not to make use of the schedule premises for any
illegal trade or act and the LESSEE shall not make use of the schedule
premises to store or trade or keep any
explosive, corrosive, inflammable or dangerous or prohibited goods.

12. RIGHT OF THE LESSORS TO ENTER POSSESSION:

(a) If the LESSEE commits breach of any of the terms and conditions specified
in this rental agreement, the LESSORS shall be entitled to terminate the lease
by giving three months notice to LESSEE and enter possession forthwith. In
such a situation the LESSEE shall not be entitled to raise any objection or
dispute against the LESSORS.

(b) The LESSEE/LESSORS can terminate the lease agreement during its
subsistence of period of tenancy by giving prior written 3 (three) months
notice.

(c) The Notice shall be deemed to have been served properly if send by
registered post with acknowledgement due to the addresses mentioned in
this Agreement unless change of address is notified to the concerned party.
Before terminating this rental agreement, the LESSEE shall give the LESSORS
three months prior written notice indicating its intention to terminate this
rental agreement.

13. SATISFACTION OF THE LESSEE IN RESPECT OF THE SCHEDULE


PREMISES:
The LESSEE has inspected the premises and is totally satisfied with every
part of the same.
14. NOTICE:

Notice shall be deemed to have been served properly if send by registered


post with acknowledgement due to the addresses mentioned in this
Agreement unless change of address is notified to the concerned party.
Before terminating this rental agreement, the LESSEE shall give the LESSOR
three months prior written notice indicating his intention to terminate this
rental agreement.

15. DISPUTES AND DIFFERENCES:

Disputes and differences, if any, between the parties to this Agreement, will
be referred to the Court/s of appropriate jurisdiction within the City limits of
Bangalore only.

16. GENERAL:

(a) The rights, obligations, claims, interests etc. of the parties to this
Agreement shall be strictly restricted to the expressed terms and conditions
specified in this rental agreement.

(b) This agreement is subject to the laws, rules, and statutory requirements
etc, for the time being in force.
(c)The LESSORS shall allow the LESSEE to display its name, signage,
promotional boards etc of reasonable size and of not objectionable matter
outside the schedule Property, by way of prior permission.
(d) The LESSORS shall give their consent and/or no objection to enable the
LESSEE to obtain trade license and other licenses or permissions that the
LESSEE may require for their business from the premises.

17. TERMINATION OF THE LEASE:

The Lease shall be terminable under all or any of the following


circumstances:
(a) In the event of non-payment of the rent by the LESSEE for a period of 2
(two) consecutive months.

(b) Both the parties may terminate the Lease by giving three months notice
in writing to other party, subject to clause (5) above.

(c) In the event of material breach by either party of the terms, conditions &
covenants hereof.

(d) If the LESSEE or LESSORS commit breach of any of the terms and
conditions specified in this rental agreement, the 10 LESSORS/LESSEE shall
be entitled to terminate the lease by giving 1(one) month notice

SCHEDULE OF PREMISES HEREINBEFORE REFERRED TO:


All that piece and parcel of immoveable property being a premises consisting
of 3 rooms, 1 Hall, 1 Kitchen and 2 bathrooms and toilet bearing No.6,
Ground Floor, 7th Main, Indiranagar2ND Stage, Bangalore-560 008 .
IN WITNESS WHEREOF, the parties to this agreement have signed and
executed the same on the day, month and year first above mentioned, in the
presence of the following witnesses:
