1. Introduction to Responsible Procurement in
Berger Paints Bangladesh Limited
Berger’s Supplier Code of Conduct embody our commitment to responsible, ethical,
transparent and sustainable business. The ethical and sustainability principles are in the core
of this Code of Conduct. Berger clarifies it’s expectation for supplier conduct in the areas of
human rights and labor, Health and Safety, business integrity and ethical practices, Social and
Environmental commitments. Berger’s Supplier Code is intended to complement the
company’s other policies and standards referenced therein.
This Supplier Code sets forth basic principles for supplier conduct when working with Berger.
Berger Paints Bangladesh Limited is committed to these principles and expects the same
commitment from its suppliers, vendors, contractors, consultants and other providers of
goods and services who do business with this organization.

2. Our Commitment to Suppliers:
Berger Paints Bangladesh Limited intends to engage in long-term relationships with
Suppliers that are committed to responsible, sustainable development.
Business Conduct
Berger employees shall exhibit company’s commitments to legal, ethical and moral standards
in all business dealings. Our internal guidance sets norms of behavior in procurement
activities in the areas of mutual respect, conflict of interest, corruption, competition law and
confidential information.
Category Management and Supplier Relationship Management
Berger conducts Category procurement management which guides the mutually respectful
and win-win relationships with Suppliers. These guidelines ensure a fair, competitive and
transparent engagement process, according to our policies and values.

Code of Conduct
1. General Legal Compliance:
Suppliers shall comply with all laws, rules and regulations applicable to their business
in their respective countries and all countries where their products or services are
sold, including labor, immigration, health and safety, trade regulation and
environment.
2. Human Rights and Labor:
a. Prohibit all forms of forced or compulsory labor: Berger suppliers shall maintain
and promote fundamental human rights and shall not use forced, involuntary or
slave labor.
b. Prohibit the use of child labor: Suppliers shall adhere to the minimum
employment age limit defined by national law or regulation.
c. Discrimination: Suppliers shall promote a diverse work environment and provide a
workplace free of discrimination, harassment and abuse, compliant with
applicable human rights and employment laws.
3. Environmental, Health and Safety Compliance:
a. Suppliers will comply with applicable environment, health and safety, and
transportation laws and regulations. Suppliers shall be committed to adhere to
applicable recognized environmental, health and safety consensus standards.
Suppliers shall have processes in place to ensure compliance and to drive
continuous improvement of their environmental, health and safety performance.
b. Suppliers shall provide its employees with safe and humane working conditions,
and maintain compliance with applicable laws, rules and regulations regarding
worker wage and hours worked, and facility safety.
4. Business Integrity:
a. No Bribery/Kickbacks: Suppliers will not engage in any form of bribery or
otherwise offer any incentive or kickback to any Berger employee, Berger
employee’s family or friends, or other representative of Berger in order to obtain
or retain Berger business or secure any business advantage with Berger.

b. Fair Competition: Suppliers will comply with applicable laws regarding fair
competition and antitrust.
c. Protect Information: Suppliers will protect Berger’s confidential information,
including personal information, and act to prevent its misuse, theft, fraud or
improper disclosure and will comply with applicable data privacy laws. Suppliers
must take all due care in handling, discussing or transmitting sensitive or
confidential information that could affect Berger, its employees, its customers, the
business community or the general public.
d. International Trade: Suppliers shall comply with applicable laws and regulation
governing international trade. Suppliers will provide Berger with all information
and documentation necessary for Berger to comply with import and export laws,
and will implement practices and procedures to ensure security of their supply
chain under applicable regulations.
e. Accurate Accounting and Business Records: Suppliers shall keep accurate books
and records of its business and financial activities in accordance with accepted
auditing principles, applicable laws, rules and regulations.
Compliance and Reporting:
Suppliers are expected to implement internal mechanisms to ensure compliance with
this Code of Conduct. For prioritized Suppliers, periodic assessment may be conducted
in the form of self-assessments, fact finding or audits as determined by Berger to verify
adherence to these standards. Failure to comply with this Supplier Code of Conduct
may result in corrective action, including possible termination of the business
relationship.
By continuing to do business with Berger Paints Bangladesh Limited, suppliers
acknowledge their commitment to these principles and agree to uphold the highest
standards of Environmental conservation, Social responsibility, and Ethical conduct.
This Code of Conduct is expected to be complied along with applicable Laws and
Regulations and Berger’s business engagement terms. Suppliers should also apply
these or similar principles to the subcontractors and suppliers they work with in
providing goods and services to Berger Paints Bangladesh Limited.
