THIS DEED OF SALE is made on this April 5, 2025 by
M/S ASGAR TEXTILE a partnership firm (registered under Section 9 of
Indian Partnership Act, 1932) having its Regd. Office at Euphoria
Shopping Complex, Rajpur Road, Dehradun through its partners namely
1-Shri. Shashwat Garg S/o Shri. Praveen Garg for self and acting

AND WHEREAS Shri. Jaimal Singh Bhidola sold a portion of land

AND WHEREAS the present Seller i.e. M/S ASGAR TEXTILE
become sole and exclusive owner in possession of the all that land
bearing land bearing Khata No. 18 pertaining to 1422-1427 Fasli
comprised in Khasra No 218 Kha Min measuring 0.0377 Hectare,
Khasra No. 219 Ka measuring 0.1030 Hectare, Khasra No. 200 Min
measuring 0.2373 Hectare, & Khasra No 219 Ka Min measuring 0.1440
Hectare measuring in total 0.5220 Hectare and the name of present
Seller i.e. M/S ASGAR TEXTILE was duly mutated in the revenue records
of Village Maichak Talai (Revenue Village Kaknawa Maichak Talai),
Pargana Parwa Doon, Tehsil Doiwala, Distt. Dehradun on the strength
of an order dated 08-10-2024 passed by Tehsildar Doiwala, Distt.
Dehradun in mutation case No. 1630/2024 as Bhumidhar in regard to
the said land. The Seller thus has all the undisputed and uninterrupted
transferable rights over the said land.
AND WHEREAS the present Seller M/S ASGAR TEXTILE after
acquiring the aforesaid land and some other land along with the owner
of adjacent land Shri. Vikas Thakur got the layout plan sanctioned from
the development authority MDDA i.e. Mussoorie Dehradun
Development Authority, Dehradun bearing Map No. L/0018/24-25,
dated 30-11-2024, and thereafter has got the said project registered
under the name & style of "IMPERIAL VALLEY" from the Uttarakhand
Real Estate Regulatory Authority, Dehradun bearing Registration No.
……………………….. and 1-Shri. Vikas Thakur along with 2-M/S ASGAR
TEXTILE had developed the said residential project.
AND WHEREAS the purchaser has approached the Seller to
purchase all that land i.e. Plot No. 65 area measuring 247.86 [Link].

situated in project "IMPERIAL VALLEY" Village Maichak Talai
(Revenue Village Kaknawa Maichak Talai), Pargana Parwa Doon, Tehsil
Doiwala, Distt. Dehradun, which is morefully described in the schedule
given at foot of this deed.
AND WHEREAS the said land mentioned in the schedule at the
foot of this deed is free from all kinds of liens, encumbrances, charges,
litigations, acquisition, court cases, cesses, taxes, mortgages
(either equitable or otherwise) etc. and the Seller has all the rights to
transfer the said land in any manner whatsoever.
AND WHEREAS the Seller has agreed to sell the said land
described in the schedule at the foot of this deed for a total sale
consideration of Rs. 19,35,000/- (Rupees Nineteen Lakh Thirty
Five Thousand Only) free from all encumbrances and the Purchaser
has also agreed to purchase the said land on the said consideration.
Hence this deed of sale is being executed.
NOW THIS SALEDEED WITNESSETH AS UNDER
[1] That in pursuance of the said deed and in consideration of
Rs. 19,35,000/- (Rupees Nineteen Lakh Thirty Five
Thousand Only) which has been received by the Seller in the
following manner:-

the receipt of the entire sale consideration is hereby
acknowledged by the Seller to their full and final satisfaction
before Sub-Registrar, Rishikesh, Dehradun.
[2] The Seller doth hereby convey, transfer, assign and sell all that
Land, which is more-fully described in the schedule at the foot of
the this Sale Deed TO HAVE AND TO HOLD the same to the
purchaser along with all rights, interests, titles, and easements
appurtenant thereto as absolute owner forever without any let or
hindrances from the Seller or any other person claiming through
or under him in any manner whatsoever.
[3] The Seller hereby covenant with the Purchaser as follows:
a) That the Seller has delivered the actual, physical and actual
vacant possession of the land to the purchaser of the said land
described in the schedule given at the foot of this deed.
b) That the Seller will at the cost of the person requiring the same
execute and do every such assurance or things necessary for the
further or more perfectly assuring the said land to the purchaser
their heirs or assigns etc. as may be required for peaceful
possession of the Purchaser thereof.
c) That all the rights enjoyed by the Seller regarding the said land
hereby sold are being transferred to the purchaser.

d) That the said land hereby sold is free from all charges,
mortgages, court attachments, liens and encumbrances. The
Seller has not done any act whatsoever whereby the said land or
any part thereof may be subject to any kind of lease, demands
and attachments.
e) That the purchaser will also be entitled to transfer the said land
hereby sold by way of sale, gift, lease, mortgage etc.
f) That all taxes, charges, and government dues etc. payable
against the said Land up-till the date of this deed shall be paid by
the Seller and thereafter the same shall be the liability of the
Purchaser.
g) that the Seller further covenants to keep the purchaser
indemnified in cast the purchaser is deprived of the said land or
its use, hereby sold or any part thereof on account of any defect
in the documents, title and ownership of the Seller or for any
other reason whatsoever.
h) That save and except in respect of the particular plot hereby
purchased by the purchaser, the purchaser shall have right to
use roads, common areas, open spaces, in the project "Imperial
Valley" but the same shall remain in the ownership of the Seller.
i) That the purchaser along with other plot holders in the project
"Imperial Valley" shall extend full co-operation in development
and maintenance of the project and shall pay regular
subscription, maintenance charges and other dues thereof.
j) That the Seller alone shall be entitled to obtain the refund of
various securities deposited by them with various
Government/Local authorities for electric, water and sewer
connections or any other deposits, etc. regarding development of
the project "Imperial Valley" as may be refundable.
[3] DETAILS FOR THE SUB-REGISTRAR OFFICE as follows:
i. That the said land is situated at a distance of between 51 meters
to 350 meters from main Thano Chowk to Boghpur Gate No. 1
River Pull and 09 Kms from main Dehradun Rishikesh Road in
Village Maichak Talai (Revenue Village Kaknawa Maichak Talai)
Pargana Parwa Doon, Tehsil Doiwala, Distt. Dehradun
ii. That the both the parties of this deed does not belong to any
Schedule Caste or Schedule Tribe.
iii. That there is no registered agreement between the parties.
iv. That the said land is not part of River bed, Dhang, Barren land,
Religious and Charitable Trust or Waqf Board.
v. That the said land is not enemy property.
vi. That the land hereby sold is not related to Golden Forest, Tea
Estate or PACL or their associate companies.

vii. That there is no construction, Tree, Boundary Wall over the said
Land.
viii. The said land is exempted from the provisions of Urban land
Ceiling Act, U.P. imposition of Ceiling and Land Holdings Act
1972. The said land is not under Land Acquisition proceedings.
ix. That the said land is situated outside the Municipal limits and
purchaser is purchasing the said land as per the provisions of
section 154 of the Uttaranchal (the Uttar Pradesh Zamindari
Abolition and Land Reforms Act, 1950) (Adaptation and
Modification order, 2001) Amendment Act, 2003 (Uttaranchal Act
29 of 2003).
x. The said project is duly registered under the provision of the Real
Estate (Building and Regulation) Act, 2016 by the Uttarakhand
Real Estate Regulatory Authority, Dehradun bearing Registration
No. ……………….. dated …………………...
xi. The Circle Rate of the said land is Rs. 9,000/- per Sq. Mtrs. and
said land is situated at 09 meter wide road due to which 05%
rider has been imposed over the above circle rate which comes
to Rs. 9,450/- per Sq. Mtrs. the schedule land consist of land area
admeasuring 204.69 [Link]. The value of the schedule land
comes to Rs. 19,35,000/-, hence stamp duty @ 5% is to be paid
which comes to Rs. 96,96,800.
