LEASE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE (hereafter the “Contract”) is made and executed at


Barangay Buenavista Zamboang City this 11 day of February, 2025 by and between:

David Lawrence O. Francisco of legal age, Filipino and with residence and postal address
at Purok 4 Barangay Buenavista, Zamboanga City, hereinafter referred to as the
“LESSEE”.

-and-

Luzbelen N. Bulanon, of legal age, Filipino and with residence and postal address at Purok
3 Barangay Buenavista , Zamboanga City, hereinafter referred to as the “LESSOR”.

WITNESSETH

WHEREAS, the LESSOR is the owner of a 100 square meter lot with a small house
situated at Purok 4 barangay Buenavista, Zamboanga city;

WHEREAS, the LESSOR desires to lease the above described property to the LESSEE and
the LESSEE desires to lease the same from the LESSOR;

WHEREAS, the LESSEE is a Young Farmers Challenge 2024 Grant Awardee and shall be
used the leased property for the implementation of his/her agribusiness enterprise entitled
RDR Green Crunch;

NOW THERFORE, for and in consideration of the foregoing premise, and of the mutual
covenants and stipulations herein contained, the parties agree as follows:

TERMS AND CONDITIONS

1. The LESSOR hereby lets and leases unto the LESSEE a commercial office space
located at Purok 4 brgy. Buenavista consisting of 100 square meter commercial
office space located at (hereafter the “LEASED PREMISES”) and the LESSEE
hereby accepts the same by way of lease, subject to the terms and conditions of
the Contract;

2. PURPOSES. The LEASED PREMISES shall be used exclusively by the LESSEE for
the implementation of his/her agribusiness enterprise as approved by the
Department of Agriculture;

By virtue of this Contract, the LESSOR shall allow herein LESSEE the use of said unit
including the use of the following appliances, furniture, and fixtures:

a. Appliances:
 Refrigerator
 Microwave
 Stove/Oven
 Dishwasher
 Washer and Dryer (if applicable)
 Air conditioning units (if applicable)
 Heater (if applicable)
b. Furniture:
 Chairs
 Tables (dining table, coffee table, work desks)
 Bed frames and mattresses
 Sofas/Couches
 Wardrobes/Closets
 Bookshelves
 Dressers
 Nightstands
c. Fixtures:
 Light fixtures ( ceiling fans, lamps)
 Built-in shelving
 Curtains or blinds
 Mirrors
 Sink and faucets
 Bathroom fixtures (e.g., towel racks, showerheads)

The LESSOR shall keep the LEASED PREMISES in good tenantable condition and
further agrees to maintain all furniture, fixtures and furnishing contained therein in
good working condition. The LESSEE agrees to replace fixtures (mechanical and
electrical), broken or destroy through gross negligence or willful malfeasance of the
LESSEE and upon expiration of the term of the lease, to surrender and restore the
LEASED PREMISES in as good as good and tenantable condition as they actually
found at the beginning of the lease, reasonable wear and tear excepted. The LESSEE
shall not be liable to pay any fee or charge for the maintenance of the LEASED
PREMISES;

3. TERM. The term of the lease is (3 ) years from March 25,2025 to March 31,2028
(the “Lease Period”). Upon its expiration, the lease may be renewed under such
terms and conditions as may be mutually agreed upon by both parties in writing.
Should LESSEE wish to renew the lease, written notice of intention to renew with
the lease shall be served to the LESSOR not later than seven (7) days prior to the
expiry of the period herein agree upon;

This Contract may be earlier terminated before its expiry. If the early termination
will be initiated by the LESSEE, a written notice will be made and served to the
LESSOR thirty (30) days before actually living the premises;

4. RENTAL RATE: The monthly rental rate for the LEASED PREMISES shall be in
PESOS: Fifteen Thousand Pesos (PHP 15,000), Philippine Currency,
exclusive/inclusive of water, electricity, telephone, internet, association dues, if any.

5. LESSOR’S RIGHT OF ENTRY: The LESSOR or its authorized agent shall, after
giving due notice to the LESSEE, shall have the right to enter the LEASED
PREMISES in the presence of the LESSEE of his/her/its representative at any
reasonable hour to examine the same or make repairs therein or for the operation
and maintenance of the building or to exhibit LEASED PREMISES to prospective
lessees of for any other lawful purposes which it may deem necessary;

6. RENOVATIONS/ALTERATIONS: The LESSEE shall not make any alterations in the


LEASED PREMISES without written consent from the LESSOR;

7. RULES AND REGULATIONS. The LESSEE shall comply with any and all reasonable
rules which may be promulgated from time to time by the LESSOR, provided that
the LESSEE is properly notified thereof. The LESSEE shall also comply with all the
rules and regulations, ordinances, and laws made by health or other duly
constituted local and international authorities arising from or regarding the use,
occupancy and sanitation of the LEASED PREMISES;

8. ASSIGNMENT, SUB-LEASE, TRANSFER OF RIGHTS: The LESSEE shall neither


assign, sub-lease nor transfer the LEASED PREMISES or any part thereof or any
interest therein without the prior consent of the LESSOR. Violation of this provision
shall serve as sufficient ground for the cancellation of this Contract;

9. TRANSFER OR OWNERSHIP: if ownership of the aforesaid property and/or the


LEASED PREMISES is transferred to a third party during the term of this Contract or
any renewal thereof, the LESSOR commits and undertakes to ensure that in the
transfer of ownership of the documents, the buyer or transferee therein
acknowledges and commits to honor, maintain, and respect the peaceful existence
and continuity of the LESSE’s occupancy of LEASED PREMISES for the unexpired
portion of this contract.

10. OBLIGATIONS AND WARRANTIES OF THE LESSOR: The LESSOR represents and
warrants the LESSEE that, at the time of the execution of this Contract and during
the Lease Period and any of its renewals:

a. The LESSOR is the absolute owner of the LEASED PREMISES and has an
indefeasible right to lease the same;

b. Excluding those already existing and annotated on the titles upon the signing of
this Contract, the LEASED PREMISES shall be free from any and all liens and
encumbrances which are in violation or inconsistent with any right of the
LESSEE under this Contract;

c. The LEASED PREMISES is in such condition as to render it for the use intended
by the LESSEE, and it shall maintain the LEASED PREMISES for the peaceful
and adequate enjoyment of the LESSEE, including unhampered ingress and
egress to and from thereto, based on the intended use by the LESSEE of the
LEASED PREMISES.

d. The LESSOR shall be responsible for repairs, replacements and maintenance of


the LEASED PREMISES (with respect to common area, parking area,
foundation or structural components thereof) within a reasonable time and
which are necessary to keep LEASED PREMISES in a tenantable condition;

e. The LESSOR shall be responsible for the payment of any real property tax on
the LEASED PREMISES. The term “real property tax” shall mean real estate
taxes imposed upon the land and building by the national, provincial and/or city
governments or authorities. Any and all taxes due under this Contract, such as
but not limited to documentary stamp taxes shall be for the account of the
LESSOR; and

In case of breach of any of the foregoing obligations and warranties, the


LESSOR shall indemnify and hold the LESSEE free and harmless from any cost
and damage arising from such breach, without prejudice to the exercise by the
latter of any other rights and remedies available to it under this Contract and
under the law.

IN WITNESS WHEREOF, the parties have hereunto set their hands this March 25,2025 at
Barangay Buenavista, Zamboanga City, Philippines.
