Memorandum of Understanding
The objective of the Memorandum of Understanding:
The Indore Software Association(at this moment referred to as 'Company') and
Entrepreneurship Cell, NIT Bhopal (at this moment referred to as 'E-Cell') sign this
Agreement on 27th January 2025.
WHERE IN, E-Cell will partner with your Company for the event Startup Expo’25 hosted by
E- Cell NIT Bhopal from 14th February 2025.
WHERE IN, the Company agrees to be the “Tech Community Partner” for Startup Expo
and to be identified with E-Summit’25 and receive other benefits provided for in this
Agreement in consideration for the services, details of which are attached herewith.
Deliverables from Indore Software Association:
• Dedicated social media posts on all of their social media handles (like LinkedIn, Facebook,
Instagram and Twitter) promoting the Startup Expo'25.
• Channeling our registration links through social media platforms such as WhatsApp
communities or other.
• Permission for E-Cell NIT Bhopal to use the Company's Logo for promotional
purposes.
Deliverables from E-Cell NIT Bhopal:
• Recognition of Indore Software Association as the 'Official Tech Community
Partner' with a dedicated post for Startup in all our promotional activities and materials.
• Social Media collateral in the favor of Indore Software Associationn on different social
media platforms (like Instagram, Facebook, LinkedIn and Twitter) and tag Indore Software
Association into them.
• Display of the Indore Software Association's Logo on the official websites of Startup
Expo’25 and E-Summit'25, with an active backlink for enhanced visibility.
• Brand promotion through social media stories shared by 100+ E-Cell Members on
platforms such as Whatsapp and Instagram.
• 3 VIP Tickets to be made available for the company if they wish to attend the event.
Sponsor Trademarks and Materials:
Subject to the terms and conditions of this Agreement, the Company grants E-Cell the right
to use the Partner's trade names, logo designs, and company descriptions as provided in
event marketing materials.
These assets may be used in any medium of advertising, promotional products, or
marketing materials distributed solely in connection with E-Summit’25. E-Cell agrees to
use materials according to Company’s trademark usage guidelines.
The Company agrees to offer the following materials for advertisement and promotional
purposes:
• Trade Name
• Logo
Confidentiality:
1. Any information, whether written, oral, or in any other form, furnished hereunder by one
Party to the other or its employees, representatives, or agents shall be considered
confidential by the receiving Party, which shall take all necessary precautions to keep
the personal information, secret and confidential.
2. Either Party may disclose the general terms of this Agreement (but not the commercials
or the specific details therein) for publicity subject to the Party's condition, so wishing to
declare gets the content published, publicized, or disclosed approved by the other Party.
Miscellaneous:
1. This agreement is valid from 27th January 2025 – 25th February 2025.
2. This Agreement will supersede any or all prior oral or written forms of understanding
between the Company and E-Cell. This Agreement may not be amended or modified
except when one or both parties execute amendments in writing and amendments are
signed by both parties.
3. If the company wish to attend the event on the mentioned dates, the organizing party
would be responsible for the accommodation of company executives.
4. E-Cell shall have the right to terminate this contract and cancel the partnership at any
time you fail to comply with any part of this contract and vice-versa.
5. This Agreement shall be governed by and executed in accordance with the laws of the
State of Madhya Pradesh applicable to agreements made and to be performed entirely
within this state.
6. NOW, THEREFORE, for and in consideration of the premises and other good and
valuable consideration received and at this moment acknowledged to be adequate, the
Company and E-Cell at this moment agree to sign this MOU.
