Resolution of the Board of Directors of Diva Collection Pvt. Ltd.

Subject: Opening of a Bank Account

WHEREAS, the Board of Directors of Diva Colletion Pvt. Ltd. (the "Company") deems it necessary and in the best
interest of the Company to open a bank account for the purpose of conducting its financial transactions; and

WHEREAS, the Board has considered various banking institutions and has determined that NIC Asia is a suitable
institution for the Company's banking needs; and

WHEREAS, the Board recognizes the need to designate authorized signatories for the operation of the said
bank account.

NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors hereby authorizes the Company to open a
Corporate bank account with NIC Asia, New Baneshwor Branch.
BE IT FURTHER RESOLVED, that the following individual(s) is hereby authorized to sign on behalf of the Company
for all transactions related to the said bank account:

BE IT FURTHER RESOLVED, that one of the aforementioned authorized signatories are required for any and all
transactions related to the said bank account.
BE IT FURTHER RESOLVED, that the Board authorizes the following documents to be provided to NIC Asia for the
purpose of opening the bank account:
• Copy of the Company's Certificate of Incorporation.
• Copy of the Company's Memorandum and Articles of Association.
• Copy of the Company's PAN/VAT Certificate.
• Copy of the Board Resolution authorizing the opening of the bank
account.
• Copies of the citizenship/passport of the authorized signatories.
• Signatures of the authorized signatories.
• Company Stamp.
• Any other documents requested by the bank.
BE IT FURTHER RESOLVED, that Sushil Khadka ; CEO is hereby authorized to take all necessary steps and actions
to implement this resolution, including but not limited to completing and submitting all required documentation to
NIC Asia Bank.

I, Sushil Khadka (CEO), hereby certify that the foregoing is a true and correct copy of a resolution duly adopted at a
meeting of the Board of Directors of Diva Collection Pvt. Ltd., held on 2081/11/28, at which a quorum was present
and acting throughout.
