Collaborator Contract
This Collaborator Contract (the "Agreement") is entered into on the 16th day of December, 2024, by and between:
Arka Studio
(hereinafter referred to as "Arka Studio"),
and
Name
(hereinafter referred to as the "Collaborator"),
collectively referred to as the "Parties."
1. Scope of Work
The Collaborator agrees to grant Arka Studio the right to use their artwork, as detailed in Appendix 1, and collaborate on future
projects based on mutual agreement.
2. Rights to Artwork
● Ownership of Original Artwork: The Collaborator retains full ownership and copyright of the original artwork. Arka
Studio is granted an exclusive, perpetual, and transferable license to use the artwork in any capacity, including but not
limited to marketing, branding, promotional materials, and incorporation into products or services for sale.
● Ownership of Designs Created for Arka Studio: Any derivative designs, modifications, or adaptations created by Arka
Studio using the Collaborator’s artwork shall be the sole property of Arka Studio, with full ownership and intellectual
property rights transferred to Arka Studio upon creation.
● Commercialization Rights: Arka Studio reserves the right to commercialize the licensed artwork by incorporating it into
products or services for sale without requiring additional permissions or royalties, as part of this agreement.
● Attribution: Arka Studio will provide appropriate credit to the Collaborator where feasible in marketing and promotional
uses, unless otherwise agreed upon in writing.
3. Profit Sharing
● Profit Sharing: If the artwork is used in a product, the Collaborator shall be entitled to 50% of the profits from the sale of
the product, after deducting all expenses related to production, supply chain, and marketing.
● Payment Schedule: The Collaborator will be paid their share of sales proceeds every 30 days, with payments disbursed
by the 5th of each month.
4. Ownership and Intellectual Property
● Exclusive Rights: Arka Studio retains exclusive ownership of all designs, work, ideas, or any other property (digital or
physical) developed.
● Permissions: The Collaborator cannot carry or use any intellectual property of Arka Studio outside the scope of this
Agreement without formal written permission from the company.
● Property Rights: All designs, work, and related outputs created during the collaboration period remain the sole property
of Arka Studio, irrespective of the Collaborator's involvement ending. The collaborator retains property rights over the
artwork, but grants Arka Studio the license and rights to, as detailed in section 2.
5. Confidentiality and Non-Disclosure Agreement (NDA)
● Confidential Information: For purposes of this Agreement, "Confidential Information" includes all company-related plans,
projects, designs, and other proprietary materials disclosed during the collaboration.
● Obligations of the Collaborator:
○ The Collaborator shall hold and maintain all confidential Information in strict confidence for the sole benefit of
Arka Studio.
○ The Collaborator must not disclose or share any confidential Information with outside parties, including future
employers or third parties.
○ The Collaborator shall not take or replicate materials, plans, or work conducted for Arka Studio.
● Survival: These obligations will survive the termination of this Agreement until such information no longer qualifies as
confidential as per a written notice given by Arka Studio releasing the Collaborator from confidentiality obligations.
6. Delivery Timeline
The Collaborator agrees to provide access to their existing artwork as outlined in Appendix 1 and ensure any additional artwork
contributions are delivered in accordance with mutually agreed deadlines.
7. Independent Contractor
The Collaborator shall perform their role as an independent contractor and not as an employee of Arka Studio.
8. Termination Clause
Arka Studio reserves the right to terminate this Agreement.
In the event of termination, Arka Studio will compensate the Collaborator for any profit shares due from completed sales prior to
termination.
9. Governing Law
This Agreement shall be governed by the laws of Bangladesh.
10. Entire Agreement
This Agreement constitutes the entire understanding between the Parties regarding the subject matter herein and supersedes all
prior agreements or communications, whether written or oral.
