 E-­‐commerce  Venture  Agreement  


 
1.      Modern  Sharp  LLC  will  advise  Tiffani  Chambers  in  all  aspects  of  launching  a  new  
e-­‐commerce  business  venture.  Modern  Sharp  LLC  will  provide  Tiffani  Chambers  
with  e-­‐commerce  consulting  services  (herein  after  referred  to  as  “consulting”)  as  
described  below.  
 
2.      The  consulting  services  will  begin  on  July  22nd,  2016  and  will  last  until  
October  22nd,  2016.  
 
3.      The  total  fee  for  the  Consulting  services  to  be  provided  is  $7,500.  All  fees  
must  be  paid  in  full,  prior  to  start.  There  will  be  no  other  additional  fees,  
expenses,  or  retainers  of  any  kind  paid  to  Modern  Sharp  LLC.  
 
4.      The  consulting  services  include  (but  are  not  limited  to):  
 
a.  Niche/Market  selection  
b.  Product  Line  selection  
c.  Branding  Strategy  
d.  Website  Development  
e.  Marketing  Strategy  
f.  Graphic  Design  
g.  Business  Management  
h.  Providing  contacts  
i.  Business  growth/scale  
j.  Answering  all  questions  
k.  Communication  via  Skype,  Email,  and  Phone  
l.  Supplier  Research  &  Identification  
m.  Private  Label  Development  
n.  Social  Media  Setup  
 
5.       To   protect   the   interest   of   Tiffani   Chambers,   the   consultant   shall   not   for   a   period  
of  three  years:  disclose,  re-­‐sell,  profit  from,  or  reuse  in  any  way,  shape,  or  form  the  
products  and  brands  developed  during  this  agreement.
