SilverLeaf’s Amenity Center, run by First Coast CMS (Property Management), hereby authorizes Vendor to set
up in the area specified by the Amenity Management and parDcipate in the Property Management event(s) on
the date(s) referenced above. Vendor’s parDcipaDon in the event and use of Property Management property
may be suspended or revoked at any Dme, with or without cause, at the sole discreDon of the Property
Management. In the event of such suspension or revocaDon, wriIen noDce of the suspension or revocaDon
shall be provided, which shall be effecDve immediately upon receipt of such noDce by the Vendor in quesDon.
Upon such suspension or revocaDon, Vendor shall immediately cease any acDviDes that encourage, promote or
otherwise may reasonably be foreseen to result in increased usage of the Property Management’s lands or
faciliDes by the Vendor’s patrons.

Vendor shall use all due care to protect the property of the Property Management, the Property
Management’s Patrons (as that term is defined in the Policies Regarding Silverleaf Amenity FaciliDes) and
landowners from damage, and require any of the Vendor’s Employees, Volunteers, or Agents to do the same.
Vendor agrees that they shall assume responsibility for any and all damage to the Property Management’s
faciliDes or lands as a result of the Vendor’s acDviDes in connecDon with this Agreement and other damage
which may be aIributable to an act or omission by the Vendor and Vendor’s employees, volunteers or agents.
Vendor is responsible for their own displays and any trash or waste generated by Vendor or its patrons.

In consideraDon of the Property Management’s agreement to permit Vendor’s use of Property Management
property, Vendor agrees to defend, indemnify and hold harmless the Property Management, its supervisors,
officers, employees, consultants and agents, from any and all liability, claims, acDons, suits, or demands by any
person, corporaDon, or other enDty for injuries, death or property damage of any nature arising out of, or in
connecDon with, the use of the Property Management’s faciliDes and lands by Vendor, their patrons and their
officers, agents, employees and guests, including liDgaDon with respect thereto.
