As a freelance Brand Ambassador to educate, download, sign up and activate Sasai Money Transfer and
Sasai users. Whereas the Brand Ambassador is agreeable to the provisions of those services on the follow-
ing terms and conditions
1. DEFINITION
1.1 In this Agreement:
1.1.1 “Agreement” means this Independent Brand Ambassador Contractor Agreement and includes
all schedules, appendixes and annexures attached to it.
1.1.2 ‘Sasai Money Transfer User” means a registered user on the Sasai Money Transfer App who uses
the app to send money and purchase airtime
1.1.3 “Sasai App User” means a registered user on the Sasai Money Transfer App who can use the app
to register, create orders and pay for their orders.
1.1.4 “Confidential Information” means all information relating to Sasai Money Transfer including
information in respect of know-how, processes, systems, business methods and techniques
used by Sasai Money Transfer in the conduct of its business; all information contained in any
document prepared by Sasai Money Transfer in connection with this Agreement; trade secrets,
data, profiles, designs, templates, formulations and all other information belonging to or in the pos
session of Sasai Money Transfer and used by it in its business; knowledge of details and
particulars in regards to Sasai Money Transfer Customers, including their personal information;
Sasai Money Transfer methods of conducting business, costs and related matters; and any other
information which relates to the business of Sasai Money Transfer which is not generally available
in the normal course of business to competition of that party and which may come to the
knowledge of the recipient;
1.1.5 “Data Subject” – any living identifiable person to whom personal information relates, which
includes, inter alia, customers.
1.1.6 “Expiry Date” means the date set out in item 2.2 of the Schedule.
1.1.7 “FICA” means the Financial Intelligence Centre Act, No. 38 of 2001, as amended.
1.1.8 “Independent Contractor” means the party described in Item 1 of the Schedule, hereinafter
referred to as a Brand Ambassador.

2. INTRODUCTION
2.1 The Brand Ambassador is willing and able to provide the Services to Sasai Money Transfer.
2.2 Sasai Money Transfer wants to appoint the Brand Ambassador to provide the
Sasai Money Transfer service, and Sasai Money Transfer wants to accept the appointment.
2.3 The Parties enter into this Agreement to record and regulate the terms and conditions of the
appointment and related matters
3. SCOPE OF APPOINTMENT
3.1 Sasai Money Transfer hereby appoints the Brand Ambassador to provide Sasai Money Transfer
Services, and the Brand Ambassador accepts the appointment.
3.2 Nothing in this Agreement shall:
3.2.1 give rise to an employer/employee, agency, joint venture or partnership arrangement in any
shape or form between the Parties; or
3.2.2 authorise either Party to incur any liability (such as debts or obligations) on behalf of the
other,
3.3 The Parties agree that the Brand Ambassador will always act as an Independent Contractor to
Sasai Money Transfer. Furthermore, the Brand Ambassador undertakes and warrants that he/she
has registered with SARS as an independent tax payer and accordingly indemnifies and holds
Sasai Money Transfer harmless in respect of any claim for income tax that may be successfully
levied against Sasai Money Transfer.
3.4 Notwithstanding the contents of this Agreement, should SARS claim any additional tax or amounts
from Sasai Money Transfer , Sasai Money Transfer shall be entitled to recover same from the
Brand Ambassador, alternatively, set-off such amounts against any monies due and owing to the
Brand Ambassador by Sasai Money Transfer from time to time.
4. COMMENCEMENT AND DURATION
4.1.1 This agreement shall be deemed effective and in full force from

and shall be reviewed every twelve (12) months
5. DUTIES AND OBLIGATIONS OF AGENT
5.1 The Agent Shall be responsible for:
• Signing Up and educating a minimum of 50 Sasai Money Transfer Users per week
• Achieve a minimum transaction revenue of R5000 per week.
• Attending to Sasai Money Transfer approved events as and when required to do so
• Undergoing training provided by Sasai Money Transfer on the remit product and regulatory
requirements
• Complying with all anti-money laundering and counter terrorist financing requirements stipulated by
Sasai Money Transfer in the training material.
5.2 The Agent shall only register a person if they have seen the person face-to-face and they have
verified that the person is the same person described in the client’s identity document.
5.3 The agent shall report any suspicious or unusual behaviour to the Sasai compliance officer.
The Brand Ambassador may not accept any payment from the customer and may not conduct
transactions on behalf of the client.

6. CONFIDENTIALITY
6.1 All information disclosed or received under this agreement shall be confidential and shall be treated
as such, unless a Party to this agreement gives written consent wavering its claim to
confidentiality in respect of particular information.
6.1 The Independent Contractor undertakes:
6.1.2 At all times during the term of this agreement and after its termination to keep confidential
any trade or business secrets or other confidential information supplied by Sasai Money
Transfer unless any such information is already in the public domain otherwise than by un
authorised disclosure by the Agent.
6.2.1 To treat all information obtained from the client as confidential and to only use it for the purposes of
registering the client as a Sasai Money Transfer client.
6.2.2 Not to provide client information to a third party, or sell it to a third party, or use it to register the
customer with any other service provider and to destroy all client information once it has been u
loaded onto the Sasai Money Transfer system.
6.2.3 Not without Sasai Money Transfer prior written consent, to communicate or disclose any Sasai
Money Transfer confidential information to any person.
6.2.4 Not to disclose any details of this agreement to any third party, or to use Sasai Money Transfer in
any promotion, marketing or announcement of orders, without prior written consent of Sasai
Money Transfer .
6.2.5 The obligations of the parties in terms of this clause shall survive any termination of this agreement
for a period of twelve (12) months.
7. TERMINATION AND BREACH
7.1 Termination of this agreement may occur forthwith if any of the parties commits a breach of the
terms or conditions of this Agreement, all which are declared to be material
7.2 Breach of any or all the terms and conditions above will also result in the complete server of the
relationship
7.3 Either party can terminate this relationship at any time upon giving the other party written notice of
such intention of no less than twenty-four (24) hours.
8. AGENT/ PARTNERSHIP/EMPLOYMENT CONTRACT
8.1 The Parties hereby acknowledge and agree that the relationship contemplated herein does not
create a principal and agent relationship as between Sasai Money Transfer and the Agent. Neither
does it create and employer/ employee relationship as between the Parties
8.2 The Agent undertakes under no circumstances to
8.2.1 Hold itself out to represent that it is the agent or representative of Sasai Money Transfer
save to the extent specifically provided for in this agreement
8.2.2 Bind or purport to bind Sasai Money Transfer in any respect whatsoever or
8.2.3 Make any representations or warranties or give any guarantees for and on behalf of
Sasai Money Transfer unless otherwise agreed to in writing by the parties.
9. INDEMNITY
The Operator hereby indemnifies and holds Sasai Money Transfer harmless against any losses, claims,
damages, actions or expenses of any nature whatsoever suffered or incurred by customers and third parties
pursuant to any breach by the Operator of any of the terms and conditions of this agreement.

10. PAYMENT FOR SERVICES
Payment of services under this relationship shall be commission based and is set as follows:
10.1 The Brand Ambassador will earn commission payable aligned with the Sasai Remit Commission
structure, which could be amended from time to time.
10.2 Commission will be payable monthly after the closure of a cycle that runs from the 16th of every
month to the 15th of the following month. Commission will be based on successful transactions
which has been collected on the second mile.
10.3 The Brand Ambassador commits to supplying Sasai Money Transfer with bank details in which
commission payments to be made.
10.4 The Agent shall be solely liable for and pay at its own expense when due, all taxes and duties
imposed by reason of the services to be performed by the Agent. The Agent shall comply with any
applicable Value Added Taxes (VAT) Laws.
10.5 The Agent agrees that Sasai Money Transfer , at its sole discretion, may not affect any payments
unless proper documents are submitted, and Sasai Money Transfer shall withhold any taxes or
payments to the Agent when so required by law.
