By placing an order with Electronics For Imaging, Inc. ("EFI Inc.") or a direct or indirect affiliate or subsidiary of EFI Inc. (each referred to herein as
"EFI"), you agree as follows. If you do not agree to the terms and conditions below, you may cancel your order without penalty, provided that you do
so on the date that you receive this confirmation or before the date your order ships.
(1) The following terms and conditions ("Terms") apply to your order and the transaction between you and EFI (collectively the "Transaction").
These Terms govern and control the Transaction and nothing contained in your purchase order or any other documentation or communication shall
in any way modify or supersede these Terms. If you have a current fully executed written agreement with EFI to which your order applies
("Agreement"), the Agreement shall govern the Transaction. If there is no such Agreement, then the following terms and conditions shall control
and govern the Transaction and no other terms and conditions shall apply.Failure by Customer to comply with any condition which materially
impairs Reggiani´s ability to perform the order, following a 14-days notification by Reggiani requesting the missing information or fulfilment of the
said condition, will entail Reggiani´s right to cancel the order.
(2) Our relationship is non-exclusive. All prices and delivery terms are Ex Works (as defined in 2010 IncoTerms) the manufacturing plants
designated by EFI. Delivery dates and prices are subject to change without notice. All upgrades and updates are charged items. You shall pay any
applicable tax relating to the Transaction. Tax shall be charged unless you have provided an appropriate proof of exemption or certificate. You must
prepay all Transactions unless you have current credit approval from EFI, in which case payment is due within the terms stated on this confirmation.
For late payments, you shall be liable for interest at the highest rate allowed by law and for all costs and legal expenses incurred by EFI to collect
any payment.
(3) EFI and its licensors and suppliers own all rights, title and interest, including all intellectual property rights, in all products and services and all
modifications and derivative works thereof. All rights are reserved. The standard EFI written license agreement accompanying the products and
services governs use of the products and services and no other license or rights are granted.
(4) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR THE EXPRESS WRITTEN WARRANTIES AND WARRANTY
RETURN PROCEDURES CONTAINED IN THE STANDARD EFI PRODUCT DOCUMENTATION, NO WARRANTIES OR REPRESENTATIONS ARE MADE;
ALL WARRANTIES AND REPRESENTATIONS ARE DISCLAIMED; AND YOU HAVE NO RIGHT TO A REFUND OR TO SEEK RETURN, REPLACEMENT
OR EXCHANGE OF PRODUCTS AND SERVICES.
(5) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EFI AND ITS SUPPLIERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY
COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS AND SERVICES, LOST PROFITS AND DATA, THIRD PARTY CLAIMS, OR FOR ANY
SPECIAL, INDIRECT, RELIANCE, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR INCIDENTAL DAMAGES, HOWEVER CAUSED AND ON ANY
THEORY OF LIABILITY, RELATED TO THE TRANSACTION AND/OR THE PRODUCTS AND SERVICES. THIS LIMITATION SHALL APPLY EVEN IF EFI
HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT
SHALL THE TOTAL AGGREGATE LIABILITY OF EFI AND ITS SUPPLIERS AND LICENSORS EXCEED THE AMOUNT PAID TO EFI FOR THE UNIT OF
PRODUCT AND/OR SERVICE AT ISSUE.
(6) YOU ACKNOWLEDGE AND AGREE THAT THE PRICE OF THE PRODUCTS AND SERVICES REFLECTS THIS ALLOCATION OF RISK AND THAT
THE FOREGOING LIMITATIONS OF LIABILITY AND DISCLAIMERS FORM AN ESSENTIAL ELEMENT OF THIS AGREEMENT, WITHOUT WHICH EFI
WOULD NOT HAVE ENTERED INTO THE TRANSACTIONS CONTEMPLATED HEREIN.
(7) This Transaction shall not be governed by the UN Conventions; rather, this Agreement shall be governed by the laws of the state of California,
U.S.A., regardless of conflict of laws principles. You consent to the exclusive personal jurisdiction and venue of the state and federal courts of
California.
(8) The products and services in this Transaction are subject to applicable export laws and regulations, including, without limitation, the U.S.
Export Administration Regulations. YOU SHALL NOT USE, DISCLOSE, DISTRIBUTE, TRANSFER OR EXPORT THE PRODUCTS AND/OR SERVICES
IN VIOLATION OF U.S. EXPORT LAWS AND REGULATIONS OR ANY OTHER APPLICABLE EXPORT LAWS AND REGULATIONS.
(9) You agree to defend and indemnify EFI for any claims, liabilities, damages, expenses and legal fees arising out of any wrongful act or omission
related to use and/or distribution of the products and services.
(10) If any portion of these Terms is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction, such invalid portion of the
Terms shall be severed from the remaining portion of the Terms, which shall continue to be valid and enforceable to the fullest extent permitted by
law.
(11) These terms have been drafted in the English language and any translation is furnished solely for your convenience. The original English text
will be binding and shall control and prevail in case of any variance between the English version and any translation.
