EMPLOYMENT AGREEMENT

This Employment Agreement (the "Agreement") is made as of this day the 14th of June
2024 (the “Effective Date”) between Kevin Alvarez Garzon and AKADEMIKS (each, a
“Party” and collectively, the “Parties”). The Parties agree and covenant to be bound by
the terms set forth in this Agreement as follows:

Employment.
Employer shall employ Employee as a PRODUCT ANALYST on a contract basis under this
Agreement. In this capacity, Employee shall have the following duties and undertake the
following responsibilities:
● Perform market research and analyse market data, identifying consumer
behaviour and trends
● Make recommendations and provide launch strategies based on analyses.
● Subsequently monitor sales numbers and gather customers feedback
● Monitor the performance of product over their life cycles.
● Evaluate products and find ways to improve performance.

The Employee agree that he we/she will faithfully and to the best of their ability carry
out the duties and responsibilities communicated to them by their Employer. The
Employee shall also comply with all company policies, rules and precedents always.

Performance of Duties.
Employee shall perform assigned duties and responsibilities in a professional manner, in
good faith, and to the best of Employee’s skills, abilities, talents and experience. From
time to time, the Employer may also add other duties within the reasonable scope of
the Employee’s work.

Project Timeline.
Employee’s employment under this Agreement shall begin on the 21st of June 2024
reporting to Jack Walker for as long as the project takes to get completed on at “at will”
basis. This project is going to run for 1-3 months with an opportunity to make it a
permanent position based on how well you perform within the first 3 months.
Expenses.
Employer will provide funds via check to Employee for the equipment which will include
a high-end laptop that will come with pre-installed company's software/applications an
advanced anti-malware software program, and a headset for easy communication with
other employees.

Work Schedule and Location.


Employee will primarily perform their employment duties at Home as this will be a
remote position.

Probationary Period:
⦁2 weeks of paid training applies to this role/project.
⦁During the first three days you will procure equipment from the company local vendor
nearest to your location (the project manager will guide you through the process), after
which you will receive training and guidance to help you become familiar with, and
competent in; performing the role you have been appointed.
Payment:
⦁You will be paid at a rate of $50.00/hr excluding Upwork service fee. Processing of
equipment and training will run for 2 weeks.
⦁Your salary will be paid weekly on Friday of each week via Upwork as your working
hours will also be calculated via Upwork, working hours 15-20 hours minimum weekly.
⦁All or any expenses associated with this project will be paid for by the company.
Schedule;
4 hours per day, Monday to Friday.
You’re allowed to work freely as long as you clock in at least 15-20 hours every week.

Work Location.
Employee will primarily perform their employment duties at Home as this will be a
remote position.

Confidentiality.
A. Confidential and Proprietary Information. In the course of employment,
Employee will be exposed to confidential and proprietary information of
Employer. Confidential and proprietary information shall mean any data or
information that is competitively sensitive material and not generally known to
the public. Employee acknowledges and agrees that the confidential and
proprietary information is valuable property of Employer, developed over a long
period of time at substantial expense and that it is worthy of protection.

B. Confidentiality Obligations. Except as otherwise expressly permitted in this


Agreement, Employee shall not disclose or use in any manner, directly or
indirectly, any confidential and proprietary information either during the term of
this Agreement or at any time thereafter, except as required to perform their
duties and responsibilities or with Employer’s prior written consent.

C. Rights in Confidential and Proprietary Information. All ideas, concepts, work


product, information, written material or other confidential and proprietary
information disclosed to Employee by Employer (i) are and shall remain the sole
and exclusive property of Employer, and (ii) are disclosed or permitted to be
acquired by Employee solely in reliance on Employee’s agreement to maintain
them in confidence and not to use or disclose them to any other person except in
furtherance of Employer’s business. Except as expressly provided herein, this
Agreement does not confer any right, license, ownership or other interest or title
in, to or under the confidential and proprietary information to Employee.

Termination. It is the intention of both parties to form a mutually profitable


relationship. However, this relationship may be terminated immediately by either party
at any time for cause or in the event should one of both parties violate any provision of
this Agreement.

This Agreement has been executed and delivered as of the date first written above.
If you agree this letter sets forth our understanding, please fill as appropriate and sign
the enclosed copy and return for our files.
