WHER EAS the lessors herei n is the absolute owner of the prem ises "Tej Enclave" situated at
TP Scheme Ellisbridge 3/5 Varied, [Link] 50 S'I , Taluka city, District Ahmedabad Opp.
Gandhigram railway station, Off Ashram Road, : lI isbridge. Ahmedabad-380 006, 3'd floor &
!llh floor total area admeasuring 45.000 (FOtiy fi\e thousand) Sq. feet Super built up area or
27,000 sq. feet of Carpet area approximately , inspection and joint measurement of the said
property done by both the parties and found fully satisfactory , fully described in the schedules
attached together with the fixtures, parking and a ll rights and interest thereon, hereinafter
referred to as the "Demised Premises" or "Said Premises", known as "Tej Enclave" as
descri bed above.

AND \.I,Ihereas the lessee had approached the les ors to give on lease to occupy and lise the
Demised Premises mentioned in the schedule h [eto for its company ' s business and related
activities to which the lessor has agreed.

Whereas the lessor agrees to handover the posse. ion of the Said Premises to the Lessee with
the required civil work as mutually agreed in the attached Schedules by Augllst 22"d. 2015. It
is also agreed that the Lessor shall allow to the Le see a I'ent-free period of 3 (Three) months
from the date of possession of the sairl premises [IS mentioned herein. Therefore, the rent shall
commence from November 23,d, 2015.

AND WHEREAS the lessor is willing to gi \ e the Demised Premi ses mentioned in the
schedules for business purpose to the lessee for duration of9 (nine) years on a monthly rent,
as set forth herein this agreement.

Both parties may renew this agreement of lease for a further period of9 (nine) years with the
mutual understanding and with new terms to both lhe party as may he agreed upon.

handover of th e premises is described in th e schedu les attached herewith.

NOW THJS INDENTURE WITHNESSTH and it is hereby agreed by and between the
parties hereto as follows:

1. The lessor hueby grants th e lessee tilt: Demised Premises as desc ribed In the
Sch edules hereto for its bu siness and other related purposes as stated above.

2. Th e parties agreed for the monthly rent of Rs. 9,00,000 (Rupees Nine lacs only) per
mo nth for the 1$I ( fi rst) year 0 f the lease i.e .. from 23- 1 1-20 I 5 to 22-1 1-20 I 6;

Rs. 9,45,000 (Rupees Nine lacs. fort y fiv e thousand o nly ) per month fo r the 2
(second) year of the lease i.e. , from 23-1 1-20 16 to 22 -1 1-20 17; Rs. 9,90,000 ( Rupees
Nine lacs, ninety thousand only) per mont h for the :;rd (third) year of the lease i.e"
from 23 -11- 20 17 to 22 -11-2018; Rs. 11.00 ,000 (E leven lacs onl y) per month for the
4'''(foLllth), S'h (fifth) and 6'h (si xth) years of the lease i.e., from 23-11-2018 to 22 -11­
202 1; and Rs. 12,65 ,000 (Twelve lacs, sixty fi ve thou sand onl y) per month for the 7'h
(seventh), 8111 (e ighth) and 9'h (ninth) years o f the lease i.e. from 23-11-2021 to 22-11­
2024, Municip al tax/ property tax, service tax, maintenance and all other prese nt and
future taxes related to Dem ised Premises shall be born and paid by the less ee as per
actual. And the original receipt of the ame will be g iven to the lessor when the

t payment is made. Th e payment of lease rent will be subject to Tax Deducted at


Source as may be applicable from tim e to time under th e applicable pro visio ns of

law.

In co nsid eration of lease, the lessee shall pay to the les so r every month a su m as
stated above as and by way of lease r nt. from the date as mentioned above. Such
I'ent, charges shall be payable accordin gl) to Engli sh cal endar and to be paid on or
before 7'h (seventh) day of commeliCe llll..' nt of the current mO:lth for which i; is
payab le. The rental however wi II be subj t:ct to charge of service tax by the Le ssee
and subject to Tax Deduction at Source by the Le see, as applicable from time to

time. In case of any delay in making p lyment of lease rent, the Lessor will be
entitled to recover the same with interest at the rate of 15% per-annum on dail y basis.

4. The said lease shall be initiall y for a period of 9 (nine) years commencing from the
date of stated herein above. During th i.; period the Lessor shall have no right to
terminate thi s agreement.

5. It is mutually agreed between the partie lhat the first 24 (Twenty four) month s of
thi s agreement f!"Om the date of comJr 21:cement date shall be considered as the
" Lock-in-period" from the Lessee., during this period the Lessee shall ha ve no right to
terminate this agreement. In the event of (he lessee being desirou s to terminate the
lease dU['ing the lock -in- period for reasons other than the breach on the part of th e
lessors, or the lessors terminating the It.::lse due to the default of the lessee as
provided in this agreement. the lessee w: I be liable to pay the Rent in respect of the

6. i) That a sum of Rs. 27,00,000 (Rupees Twenty seven Lacs only) by the lessee
for 3 (three) months interest free deposited with lessor before execution of
thi s agreement (Receipt whereof will be acknowledged by the Lessor) as
security deposit which will be refunded by the party of the one pal1 at the
time of vacating the said premises without an y inte,~ s t and handing over the
peaceful possession of the said premises after adju sting amount of any
unpaid utility or other bills and cos t of an y damage to the premi ses, usual
wear and tear expected.

ii) In the event the Lessors do not rdu nd the Security Deposit to the Lessee. at
the time thi s lease comes to an cll d. as aforesaid . then , the Lessee shall not be
obliged or required to V3cflte and hand-over possess ion of the Demised
Premises to the Lessors , and shall be entitled to continue to use and be in
possession of the Demised Pr'emi ses as the Lessee thereoe without being

liable to pay any Lease-Rent to the Lessors, until such time as the Lessors
refund to the Lessee the Security De posit in full:

iii) Upon the expiry/termination of thi s lease deed, if the Lessor is ready and
willing to refund the amount of security deposit in full and if the Lessee fails
to vacate the demised premise along with its furniture and fixtures,
belongings, chattels etc., then in that event the lessee shall be li able to pay to
th e lessor as penalty on pro-rata basis, double the monthly last paid lease rent
as applicable under this lease deed until tl1e Lessor receives absolute,
peace ful and vacant posse ss ion of the Demi sed Premises.

commencement date as advance rental for the first 6 (six) months of the rent period
and the same shall be adjusted with the reli t due during the first 6 month of the lease.
The payment of further rent will only co mme nce after adjustment of thi s advance rent

8. That the above rents shall be valid for the currency of lease; however, this lease shall
be renewed for further 9 (nine) yeal"s with new terms and conditions by mutual
understanding.

9. The le ssee shall be entitled to Llse the premi ses for ca rrying on their business and
other related activities in the name of the said company. and without the previous
consent ill writing of the lessor.

10. The lessee shall be entitled to make internal alterations, udditions; modifications in
respect of the Demised Premises for the purpose of their business at mly time dmillg
the validity of the lease period, but any maj or struct ural , alterations shall be done by
the lessee after getting written approval of the lessors.

1.1. The lessor has provided the bare shell with basic electrical fittings, water connection,
flooring, drainage, white washing. and shall complete all bathrooms & fittings,
partition walls. doors and windows and all repairs (including fixing all leakage
points), boundary \valls in the premises ilnu shall make over possession thereof after
getting all su ch repairs and renovation at the ex penses of the lessor, thereafter lesso r
will not be li able for anything. For clarity a detailed requirement list of the work to be
done by the Lessor before handover is described in the Annexure.

The lessee shall pay municipal taxes, fu ll education cess, service tax and other taxes
prevailing or impose by any Government or local bodies in future. The electricity
and water charges consumed during the pe riod of lease sh all be paid by the lessee as
per the bills or meter directly to the conce rned authorities against bill or to the lessor
for which necessary receipt shall be iss ued by the lessor. Lessee shall also pay the
maintenance charges in proportion to the use of the common services 1 facilities,
water, drainage etc. on actllal s upon pro vid ing of neCessary supporting and bills. As
informed by the Lessor, the same at prec;en l proportionately for each flool' calculates
at about Rs. 29,0001- per month, i.e. Rs. 58,0001- for the Demised Premises of both
I:' the floors.

l13. The lessee shall have all the rights to carry out any fit-out work and fixing up
furniture, fixtures, fittings or othel' appli ances. sign board, name plate, neon light at
prefixed place provided by the Lesso r. the del11 ised premises used by them without
dal11ages original structure or premises. AI! expenses in connection with any fit-out
or fixing of such app liances shall be ent irel y borne by the lessee. The Lessor agrees
to provide a prominent place (w ithout any cost whatsoever) in front of the building to
the Lessee for display the sign board of its choice, the space provided for display will
be between .3 ' 0 and 4'h floor above the an ot h '~ r current tenant (HDFe) display board.

14. At the termination of the agreement, the lessee shall have the right to take back such
of those furniture, fixtures, sign board, name plate, neon light display board, fitting,
temporary super-structures and other app liances fi xed by them without damaging the
said premises.

IS. The lessee shall not use the said premi _e:; for an y illegal or immoral purpose and
shall not store any explosives or inflam ma ble articles in the premises except cooking
materials like as gas connection / gas cylinder ! other fuel arrangement.

The Lessor shall obtain all insurance an d the other coverage relating to the Demised
Premises against all risk due to fir~ , riot, civil commotion, theft, burglary,
eallhquake, war, telTorism or any other loss or damages. All the insuran ce charges
for the premises shall be borne and paid by the Lessor.

(b) The Lessee will be responsible to take all insurance and other coverage relating to its
fumiture , fixture , interior, equipment, instruments, their other articles and things
lying in the Demised Premises against all risk , due to fire , riot, civil cOlllmotion,
theft, burglary, earthquake, war, terrorism or any other loss or damages. All the
insurance charges for the premi ses shall I c: borne and paid by the Lessee.

r 17. The lessor shall be entitled to inspect the said premises at any time cluring business

hours after giving prior intimation.

IS. The lessor allows the lessee the right to sublet or re-let or part with possession of the
leased premi ses or any pall thereof during the currency of the lease to his
subsicliaries, associates, undel1akings or its groups concerns etc. on such terms and
conditions as may be mutually agreed upon between Lessee and sub-lessee.
However, all liabilities and obligations of the Lessee towards the Lessor shall
continue same and similar. The Lessee agrees to indemnify the Lessor in respect of
the same.
19. During the period of this lease if the lessee is however unable to carryon the business
of using the premises of the purpose int ended by lessee because of their inability to
secure any permit, license, registration or other authorization from any statutory
authority or from the association or soci ety, it will be open to the lessee at their
option to terminate the lease by giving 3 (three) month notice or use it for any other
similar commercial activities, subject how ver to lock-in-period.

If during the subsistence of the lease period the lessee desires to vacate the premises
before expiry of the agreement period. they shall give the lessor 3 (three) month
written notice and then shall vacate the premises, in that event the lessee shall be
liable to pay the rent for the remaining months of the lock-in period and all kind of
taxes due for the period. In case of soo ner determination. if any unadjusted advance
amount of rent or security deposit is lying with lessors, the lessor shall refund the
same to the lessee at the time of handin g o ver the vacant possession of the premises
to the lessors.

21. The lessee covenants with the lessor that they will hand over the premises as far as
possible in original condition at the time of vacating the premises subject to normal
wear and tear.

r 22. The lessee shall be ['esponsible to carr. out minor repairs, if any, to the premises

(- during the period of lease. The lessor shall be responsible for maintaining the said
premises and the lessee is liable (0 pay mon(hly maintenance charges to take care of
common amenities like water, drainage. common lights, common security, cleaning

The lessee shall have right to park min. 300 (three hUlldred) two wheelers without
any extra charges, in the specific reser\'ed parking place (approximate area of 3,70 I
sq. ft.) provided by lessor for the Les ee and visitors of lessee as ~hown on the
parking layout plan annexed herewith.

24. The lessor shall give sign and consent to the lessee to obtain licenses. permission or

registr8tion or other 8uthorization from any statutory or local bodies fOI' the busin ess

of the lessee.

25. The lessor hereby declares that they have valid and perfect title to the De:nised

Premises leased out to the lessee and Lessor has due power and authority to ellter into

this Lease. The construction of the demised premises is as per sanctioned plan and

-..... Building Use Permission is duly obtain ed from Ahmedabad Municipal Corporation

(AMC) by way of regul81·ization of un-autho rised use from residential to commercial

under th~ Gujarat Regularisation of Un-authorised Development Act. 2011 as per

Certificate issued by the office of AMC, dated 26'h March, 20 J 3. The Lessor has

agreed to indeillnify and keep indemnifi ed the Lessee against any claim. action, suit.

proceedings, cost, charges and expens es in respect of these and other repre~entation

by the L,essors herein.

26. The lessee paying the rents and oth er cha rges in connection with the premises and

observing and performing the covenants (lnt! conditions of the agreement shall be

entitled to peaceful usc and enjoy the sClid premises without any obstruction or

hindrance from the lessors during the currell cy 01' this agreement.

27. The lessee has agreed to be a tenant after satisfying it-self that the monthly I·ent to be

lessee at any time refuses to ray the clue agreed monthly rent for :> (three)

29. The Lessors are in exclusive and un-i nterrupted use, occupation, possession and
enjoyment of the Demised Premi ses. The Lessors have good right. full power and
absolute authority to grant to the Lessee the lease of the Demised Premi ses in the

32. In case at any time hereafter as a resul! of war. eartllquake, riots, floocis, fire. tempest,

and cause thereof not attributable to tir e Less~e (herein referred to as "the Force

for occupation and rendered uninhabitabl . the Lessors shall take necessary steps to
carry out the repairs or replacement or restoratio n that may be necessary to the Demised
Premises, and till then no t'ent sha ll be payable. However, if the Demised Premises is
destroyed and is incapable of repait' and is required to be restored by new construction,
this Lease will come to an end.

After the exptry of the Lessee's Lock-in Period. the Lessee shall be entitled to
terminate this lease at any time by giving the Lessors 3 (th ree) month 's prior notice in
writing, without being obliged to assign i.1t1~ reasons therefore.

35. The lesso r shall have right at any point of time prese nt or during the period of lease

r or mortgage, encumber or di spose of the same or any part thereof in the manner as
the lessor may deem fit, provided that such disposal shall not affect or impair the
right of the lessee to continue and to occupy th e leased premises until the expiry or
sooner determination of thi s lease agree ment in accordance with this lease and term s
hereof, and the lesso r shall cause the transferee to recogn ize and accept the lessee
an d this lease agreement. The lessee shal l be bound by such transfer, etc.

36 . The Lessor and the Lessee wi II bear tamp Duty and Registration Charges , etc.
payable for executing and registering this lease deed and its Dupli cate and is renewal
in equal share.

37. Thi s agreement need to be registered in two counter pat1S, full stamped will be
\retained by lessot' and an ot her of the same will be retained by lessee.

38. Stamp duty has been paid on the amount of Rs. 1,68,40,0001-, cons;sting of Rs.
1,32,40,0001- being the average annllal rent, Rs. 27,00,0001- being security depo: it
and Rs. 9,00 ,0001- being annual approximate property tax.

(List of Job / Work to be completed by Lessor)

I. All Legal approvals like, BU Permission, Lifts Use Certificate and other regulatory
approvals have been provided by the Les or prior to signing of the Lease Agreement.

2. Provision for a dedicated elevator for Le see use, hence the cost of lift maintenance
and AMC are to be borne by the Lessee.

3. 24 x 7 site accessible to the Lessee staff.

4. Adequate structure for DG to be provi ded . PI inth or appropriate RCC structure for
installation of DG to be provisioned by the Lcssor Backup Diesel Generator wi II be
installed by the Lessee on the ground le vel possibly in the corner of the property near
the old unused gate near the car wash area .

5. 2' X 2' Vitrified Flooring of entire area under lease shall be done by the Lessor.

6. Removal of existing partition walls ane! creating other internal partition walls,
Aluminum Doors, Windows. Cabins, pi ter/ POP on all walls, punning on ceilings
and civil work as per lessee requirement in the attached plans in Schedule C, D and E
shall be done by the Lessor.

7. Water proofing on terrace and all leakage repairs to be done by the Lessor prior to the
handover of the premises to the Lessee.

8. 24 hours Water supply with Overhead tank and bore-well to pump water to the
overhead tank. In addition, Lessor will provide 10' x 10' space on the terrace to the
Lessee to put an overhead tank (Sintex similar brand) for emergency water supply .

9. . Lessor shall provide the premises with 'I hi te wash.

10. Adequate number of washrooms (M & F ) to be provided separately on the each Floor
as required by the Lessee as per the attached plans in Schedule C & D.

II. Bathroom Fittings - Jaguar spec/standard company specs ; Bathroom \\fC's & Urinals
- CERA spec/standard com pany specs.

12. Windows: Powdel' ceJated [Link] sl idi ng windows on exterior facing walls shall
be done by the Lessor.
