Sample Constitution

Young Entrepreneur Organization at Augusta University

Article I Name
Section 1 The name of this organization shall be Young Entrepreneur Organization at
Augusta University, located in Augusta, Georgia.

Article II Purpose
The purposes of this organization are to encourage students to explore their
Section 1 business ideas by giving them a platform as well as support from their peers. Our
goal is to create an innovative culture on campus by producing tangible results
that actualizes our members ideas. This may take form in a product, project, or
service but whatever it may be our members will have support from the club to
bring their visions to life.
Article III Authority
Section 1 This organization is a recognized student organization at Augusta
University and adheres to all campus policies as set forth in the
Student Organization Handbook and the Student Code of Conduct

Article IV Membership
Section 1 Membership in the organization shall be open to all students regularly enrolled at
Augusta University and students interested in furthering the purpose of the
organization. Each regular member has equal rights and privileges.

Section 2 The organization shall have no rules or policies that discriminate based on race,
religion, national origin, ethnicity, colour, age, gender, gender identity, marital
status, citizenship, sexual orientation, or disability.
Section 3 The organization shall make every effort to prohibit its members and officers from
engaging in acts of hazing or committing any act that endangers the safety of its
members or others.
Section 4 Members shall be required to pay dues

Section 5 Members shall be required to attend at least 1 meeting per project


period.

Article V Officers

Section 1 The officers of the organizations shall be the President, vice president, financier,
secretary, and student event coordinator.
Section 2 Powers and Duties of Officers
a. The President shall serve as the chief executive officer of the
organization, shall preside at all meetings of the organization, and shall
prepare the agenda for meetings. The President shall be the official
spokesperson of the organization, representing the policies, views, and
opinions of the organization in its relations with the campus and
community at large. The President shall appoint all committees and
committee chairs. The President must have served before in any office.
The President shall have such further powers and duties as may be
prescribed by the organization. The President shall complete the annual
student organization training.
b. The vice president shall preside at organization meetings in the
absence of the President. The vice president shall perform all legal
duties agreed upon with the President. The vice president shall assume
the office of President if the office becomes vacant. The vice president
has veto power to the President.
c. The Financier shall handle all financial affairs and budgeting of the
organization, maintain all necessary accounting records, and prepare
monthly financial reports for the membership. These records shall be
maintained in accordance with accepted accounting principles. The
Financier shall collect and deposit all dues and special assessments. The
Financier shall maintain bank transactions and accounting in the
Financier and
President for authorized disbursements.
d. The Secretary shall take minutes at all meetings of the organization,
keep these on file, and submit required copies to all organization
members. The Secretary shall be responsible for all organization
correspondence and shall keep copies thereof on file. The Secretary
shall maintain membership records for the organization. The individual
leads public relation strategies and recruitments. This individual
maintains connection with student body and communicates the wants
and culture of the campus.

f. The duties of the Student Event Coordinator are to take training
provided by Student Life and Engagement and once approved he/she
can make reservations through Event Management System (EMS). The
Student Event Coordinator is responsible for ensuring the organizational
membership is educated and meetings, activities, and events follow
required policies and procedures of the university.

Section 3
Qualifications necessary to hold office in this organization are as follows:

a. To be eligible for and to hold office, candidates must be currently enrolled


for the semester.
b. Additionally, candidates must be in good standing with a GPA of at least
2.0 and have been a member for at least one semester. They may hold office
for one academic year (fall- spring. There are no term limits but incumbent
officers who wish to stay in office, must be re-elected

Article VI Selection of Officers


Section 1 The president, vice president, financier, secretary, student event coordinator,
and public affair manager are elected for an academic year. Elections are
held at the end of each spring semester for the following year officers. It shall
take place at a regularly scheduled meeting of the organization at which a

meeting at which an election is to be held

Section 2 Positions shall be open to all members who are currently enrolled and
engaged with organization activities.

Section 3 Nominations for officers shall be made at the regular meeting immediately
preceding the election. Nominations may also be made from the floor
immediately prior to the election for each office. Members may nominate
themselves for an office.
Section 4 The officers shall be elected in this order: president, vice president, financier,
secretary, and student event coordinator.
Section 5
Officers shall be elected by majority vote. In the event that there is a tie for
the position of president, candidates can decide to share position, if other
wise and for all positions, a revote shall be conducted.

Section 6
Votes shall be cast anonymously by members. If there is only one candidate
up for a position, it may be granted to person by default.

Section 7
The position of project lead shall be appointed by the majority vote of the
officers. President has deciding power.

Section 8 Officers shall assume office in the fall semester following the election held at
the end of the spring semester. They shall serve for the academic year (fall-
spring) or until replaced by a successor.
Section 9

Officers may be recalled from position in the case of incompatibility or failure


to complete tasks. To initiate a recall election, a petition signed by one-third of
the voting members may be submitted at any time during a term to the
officers. The remaining officers shall cast a deciding vote.

Section 1
If the position of President becomes vacant as the result of resignation,
ineligibility or recall, the Vice President shall assume the office of President.
Vacancies in any other elected office shall be filled by a nomination or
redistribution of tasks amongst current officers. Nominations may be made at
the meetings or on organizations media platforms.
ARTICLE VII Advisor(s)
Section 1 The organization shall appoint an individual employed as a faculty or staff
member by Augusta University to serve as the
University advisor to this organization. Graduate Assistants and Student
assistants are not eligible to serve as advisors. The advisor shall fulfil the
responsibilities specified in the Student Organization Handbook. Advisors
shall serve on an academic year basis or until their successor has been
selected.
Section 2 The advisor has the power to veto/discontinue any project they see unfit for
the purpose of the organization.

ARTICLE VIII Finances


Section 1 Membership dues shall be $10 per academic year. A special assessment
may be required on a case-by-case basis for a given project. A majority of
the membership must approve the special assessment to make it
enforceable.
Section 2
Dues shall be paid by midterm of the first semester that a member joins
during a given academic year.

Section 4 Members who have not paid their dues by the due date shall be
considered as not being in good standing and shall lose the following
membership privileges such as voting for officers or pitching projects until
the dues are paid. They may still participate in the projects but will not
have access to organization resources and merchandise.
Section 5 The officers shall propose a budget for a project period as agreed upon
by the advisor. Any unbudgeted expenditures shall be approved in
advance by the officers. The Financier is authorized to approve
expenditures for approved projects if there is guarantee of 100% return on
money unless it is of charitable cause. Any other organization
expenditures should be vital and recorded.

ARTICLE IX Project Approval


Any member in good standing may submit their ideas to executive officers
for reviewing, then presented to the general body at a regularly
scheduled meeting for voting. At least three-fourth of the membership
Section 1 must vote to pursue a presented project. The consensus of the project
begins a project period.
Section 2
The individual who presented the idea gets precedence for the position of
project lead. If position is conceded the officers shall appoint the best fit.
The project lead identifies the goals of a current project. They are
responsible for the planning, procurement, and execution of a project.
The project lead may assemble a team to assist with tasks.

A project period begins after voting to pursue a project. It is made up of


three phases: planning, sourcing, execution.
a. Planning:
Establish a timeline, set goals, conduct research,
compose list of needed materials, propose a budget,

b. Sourcing:
Request funding, gather materials, reserve objectives
(location, time, etc.), test out project, refine, promote
project.
c. Execution:
Implement project, track finances, track output
d. Closing:
Conduct after-action report, return full funding back to
financier, split profit thirty-seventy, to organization and
project lead.

ARTICLE X Amendments
Section 1
Proposed amendments to these bylaws shall be presented to the
membership, in writing, during meetings or virtually. The officers shall
review and make recommendations on all bylaw revisions prior to
consideration by the membership.

Section 2 Bylaw amendments require approval by two-thirds of the voting members.


The amendment shall be effective immediately unless otherwise stipulated in
the amendment.

A copy of any amendments to these bylaws must be uploaded into the
student orga
Life and Engagement no later than two weeks after adoption.
This bylaws/constitution was adopted on January 13, 2022, and most recently revised on
January 13, 2022.
