DEED OF TRUST

BY THIS DEED OF TRUST is executed on this 15th Day of December 2017 by:

1. Mr. Vinodh (AADHAAR NO: 652874065265) aged about 31 years, s/o Mr.
Anandhan, residing at No.3/409, Veethikadu, Ettiveerampalayam,
Perumanallur, Tiruppur – 641 666,

2. Mrs. Jayashree (AADHAAR NO: 674033309972) aged about 28 years, w/o


Vinodh A, residing at No.3/409, Veethikadu, Ettiveerampalayam,
Perumanallur, Tiruppur – 641 666

are called “THE AUTHORS OF THE TRUST”, which expression shall unless
excluded by or repugnant to the subject and context be deemed to include the
Trustee or Trustees for the time being of these presents and /or survivor or
survivors of any of them and their successor or successors in office.

WHEREAS each of them are desirous of creating a Public Charitable Trust for
public purpose in the name and style of “GHANYASRI TRUST”.

WHEREAS for the purpose of implementing the desire, the “AUTHORS OF THE
TRUST” decided to make the first endowment with a view of forming a nucleus
for the trust and accordingly the “AUTHORS OF THE TRUST” above named have
set apart and endowed the sum noted below against their names totaling in all to
Rs. 2,000/- (Rupees Two thousand only) in Trust.

AND WHEREAS the above said “AUTHORS OF THE TRUST” of the trust are also
desirous of augmenting the resources of the trust by receiving donations to the
trust from public charitable depositions.

AND WHEREAS the “AUTHORS OF THE TRUST” consider it desirable to affirm the
endowment made by each of them and declare the objects of the public
charitable trust and define the powers and duties of the TRUSTEES for carrying
out the objects of the trust and its functions.

NOW THIS DEED OF TRUST IS WITHNESSETH AS FOLLOWS:-

1. This Trust shall be named as “GHANYASRI TRUST” and shall be deemed to


have come into existence on the 15th Day of December 2017.

2. The Office of the Trust shall be at No.3/206, Murugan Compound, Ration shop
street, S S Nagar 1st Street, Perumanallur, Tiruppur – 641 666.

3. The First Board of Trustees are as follows:

2. Mrs. Jayashree V Trustee

4. The “TRUSTEES” shall contribute Rs. 1,000/- each, totaling to Rs.


2,000/- towards the nucleus of the trust for the purpose of carrying out its
objects hereinafter enumerated.

5. THE OBJECTS OF THE TRUST ARE:


a. To run, maintain or assist any medical institution, nursing home or clinics
or to grant assistance to needy and indigent persons especially for children
(Male or Female) below or at the age of 10 years for meeting the cost of
medical treatment

b. To run, maintain or assist any educational or other institution for coaching,


guidance, counseling or vocational training or to grant individual
scholarships for poor, deserving and needy students for secondary, higher
secondary and under graduate education.

c. To take on lease, own and purchase estates, lands, buildings and other
properties and build and construct Halls, Library, School and Colleges,
Hospitals, Guest Houses, Roads, Culverts and wells for the members of the
general public

d. To print and publish books, papers and magazines in furtherance of any of


the aims and objects of the Trust and to all kind of advertisements and
propaganda work through dailies and periodicals, papers, exhibitions and
do all acts in connection thereof

e. To establish friendly relationship between all communities and to publish
literatures for distribution amongst the persons interested in the object of
the Trust

f. To arrange for lectures and demonstrations by experts on various subjects


and to cooperate with other Trust having similar aims and render mutual
help and undertake all kinds of relief operations

g. To take and receive any gift or money or property whether subject to any
special Trust or not for any one or more of the objects of the Trust

h. To do any other work of public welfare for the benefit of public at large

i. To establish, maintain, develop and donate for the establishment,


maintenance and development of books banks and libraries.

j. To invest, dispose of, transfer and otherwise deal with the subject matter
of the Trust in such manner as the Trustees should deem fit so as to enable
the society to carry on the objects of the Trust effectively.

k. To bring out, encourage and develop the inventive and research facilities
and to afford opportunities for research work in art, scientific and
industrial undertakings.

l. To charge fees and otherwise recoup themselves for the outlay and
expenses incurred in the upkeep and maintenance of institutions
established or about or to be established under this Deed.

6. THE POWER OF THE TRUSTEES:

1. The Trustees shall be fully empowered to buy, to sell or dispose, to


takeover, to receive donations, and gifts or construct or acquire by all
possible lawful means, movable or immovable properties, agricultural
lands, estates, buildings, sheds, plots, vehicles, machinery, furniture, tools,
plants and equipment to further the objects found in the objects clauses.

2. The Trustees shall be empowered to take on lease, to give on lease


movable and immovable properties to further the objects of the Trust.

3. The Trustees shall also be authorised to sell, dispose or demolish or


donate movable and immovable properties provided such actions are in
the beneficial interest of the Trust.

b. The Trustees shall be at liberty to receive public and private donations,


receive grants and aids, gifts, subsidies, fees, compensations, and raise
loans from public, Government and from national and International
Agencies, from banks and other institutions.

1. The Trustees shall also be authorized to conduct cultural and benefit
show and performances tournaments and competitions, exhibitions, video
and film shows, lucky tips, raffle schemes, carnivals, camps, nidhies and
chit finances and mutual benefit schemes to raise funds and gather
supports of furthering the objects of the Trust.

c. The Trustees shall also be authorized to make investments of surplus


money in movable and immovable properties, shares, bonds, securities,
insurance, unit trusts, and fixed deposits in bank accounts as spelt out in
the provisions of Sec. 11(5) of the Income Tax Act 1961.

d. The Trustees shall also be authorized to publish books, magazines,


periodicals, note books, notes, run stationery shops, books depots and
they shall also be entitled to run commercial enterprises which was
helpful and beneficial to further the objects of the Trust.

e. The Trustees shall have power to draw up such a scheme or schemes and
make and frame such bye-laws and rules as they shall in their discretion
think fit for the administration of the Trust hereby constituted and the
management of the properties of the Trust.

f. The Managing Trustee may look after the day-to-day administration of the
Trust. However, he can take any number of Trustees and experts and
subordinates or any persons to render help and assistance to him. He is
authorized to delegate his work to other Trustees and /or persons; he is
also authorized to spend the amount that is essential for the benefit of the
Trust or Institutions.

g. The board of Trustees in meetings or through circulars shall lay down the
General policies of the Trust. The Board of Trustees shall meet at-least
once in three Months and they can have their expenses re-imbursed in
addition to the sitting fees which may range from Rs.1,000/- (Rupees One
Thousand Only) or more per meeting per member as may be decided by
the Board from time to time. Otherwise the Trustees shall function
honorarily.

h. The Managing Trustees and other person to whom he delegates his


powers may use the vehicle, premises and food of the Trust on such
occasions while attending to the work of the Trust,

i. Bank Account may be opened in one or more Nationalised / scheduled


Banks and the same shall be operated by the Managing Trustee JOINTLY
with any other Trustee. If there be any change, which is necessary Board
may decide and authorize the persons to operate the Bank Account.

7. THIS TRUST IS DECLARED AS IRREVOCABLE

8. GENERAL CLAUSES:
a. The first meeting of the Trustees shall be held within three months from
the date of this Deed and shall be conveyed by Managing trustee by giving
a weeks notice to all other Trustees and shall be held at such time and
place as shall be specified in such notice and it shall be the first annual
general meeting of the Trustees.

b. That a General Meeting of the Trustees shall be held at-least once in every
year at which the accounts of the Trust hereby constituted shall be
presented and approved by a vote of majority.

c. That the Accounting year of the Trust shall be from 1 st April to 31st March.
The Accounts of Trust shall be audited every year by a chartered
Accountant or Chartered Accountants who shall be appointed by the
BOARD OF TRUSTEES.

d. The Trustees aforementioned shall be appointed for their lifetime, The


Managing Trustee for may-co-opt such new Trustee or Trustees for such
time and for such purposes as may be specified by him. The First
Managing Trustee shall hold office for his life time and the Managing
Trustee shall be succeeded by such person as may nominated by him and
recorded in the minutes of the Trust Board, In the absence of any such
direction the remaining Trustees, after the demise of the Managing
Trustee shall elect one from among themselves to the post of the
Managing Trustee and shall fix such person’s tenure of office.

e. That the AUTHOR of the Trust shall during his/her life time shall remain
as managing Trustee of this Trust and shall have privilege to preside over
the Meetings of Trustees, and shall not be competent for the Trustees by
any rule made or resolution passed by them to deprive him of this
privilege but he may waive such privilege when and so after as he may
please. The managing Trustee shall have a casting vote in the event of a tie
also. The minimum quorum for a Board of Trustees is “TWO” including the
Managing Trustee.

f. The Trust shall sue or be sued in the name of the president of the Board of
the Trustees or in the name of a Secretary whose appointment and Terms
of appointment shall be stated in writing by the president of the Board of
the Trustees.

g. It is hereby declared that this Trust is a public Charitable Trust, the Trust
hereby created is irrevocable and the beneficiaries under the Trust shall
not be restricted to any particular religion caste community or sex.

h. The income of the trust shall be solely utilized towards the objects and no
portion of the income of the Trust will be utilized for payment to trustees
by way of profit, Interest, dividends etc.

i. Any amendment to this Trust deed shall by carried out only with the
approval of commissioner of income Tax.

j. No activities of the Trust will be carried out outside India.

k. The Trust will not carry on any activity with the intention of earning
profit.

l. No movable or immovable properties have been affected by this Trust


Deed other than the Corpus Fund.

m. In case of dissolution of the Trust, the assets of the Trust shall be


distributed to any of the charitable Trust having similar objects.

n. The funds of the Trust shall be invested as envisaged in Section 12 (1) (d)
read with section 11 (5) of THE INCOME TAX ACT 1961 and as amended
from time to time.

IN WITNESSES WHEREOF THE AUTHOR OF THE TRUST AND THE TRUSTEES


HERETO HAVE SET THEIR RESPECTIVE HANDS ON THIS DEED OF TRUST IN
PRESENCE OF THE WITNESSES.
