AGREEMENT FOR VIDEO PRODUCTION SERVICES
This Agreement (“Agreement”) is made and entered into on this [Date], by and
between:
Parties Involved:
• DEVO EDUTECH PRIVATE LIMITED (CIN U80301KA2022PTC160866),
represented by its Director AJAYKUMAR AMRITLAL HANDA (hereinafter referred
to as “Devo”).
• [Arun's Full Name/Company Name], represented by [Arun's Full Name]
(hereinafter referred to as “Chief Video Producer"”).
1. Engagement and Term
• Devo hereby engages Arun to provide video production services, including
shooting, editing, and voice-over work, for a period of two (2) years commencing
from the date of this Agreement.
2. Scope of Services
• The services shall include:
◦ Video shooting in 4K quality, with proper lighting setup.
◦ Video editing, including color correction, music editing, and voice-over in
English, Hindi, and Kannada.
◦ Turnaround time for each video shall be two (2) weeks, with the team
simultaneously editing up to four videos at a time, potentially delivering
sooner.
◦ Up to three (3) revisions per video.
◦ Minor text-related effects will be included within the videos as required.
3. Raw Files Storage and Revisions
• Raw video les will be stored for ninety (90) days from the date of nal delivery.
Any revisions requested within this period will be carried out at no extra cost.
• Devo shall have the option to store raw les securely, and any post-delivery
revisions beyond ninety (90) days will incur additional costs.
4. Cloud Storage
• Arun will provide cloud storage for all video les for ninety (90) days from the
date of nal delivery, regardless of le size. It will be the responsibility of Devo to
manage storage beyond this period.
5. Music and Licensing
• Arun will secure a commercial license for all background music used, ensuring
compliance with copyright regulations. If necessary.

6. Fees and Payment Terms
• Devo shall pay ₹25,000 plus applicable GST for each video produced, covering
shooting, editing, color correction, voice-over, and minor text effects. (Further
details can be discussed between us)
• Payments shall be made within ten (10) days after video delivery and approval.
• Higher-level graphic work is not included as it is deemed unnecessary for Devo’s
current requirements.
7. Ownership and Intellectual Property Rights
• Devo shall retain full ownership of all produced content. Arun will transfer all
media assets, including nal videos, upon project completion.
8. Con dentiality
• Arun agrees to maintain the con dentiality of all proprietary information shared
by Devo.
9. Project Timelines and Milestones
• Each video’s turnaround time shall be in accordance with the agreed schedule,
with detailed pre-production planning set in advance.
10. Other Provisions
• Additional terms such as dispute resolution, termination, and non-solicitation
shall be included as per standard industry practices
