AGREEMENT “BETWEEN” PROJECT EMPLOYEE & COMPANY
Company Name : ASK-EHS Engineering & Consultants Pvt. Ltd.
Employee Name : Mr. Pankaj Sharma
AGREEMENT and ACKNOWLEDGEMENT between Mr. Pankaj Sharma and ASK-EHS Engineering &
Consultants Pvt. Ltd whereas, the Project Employee (Mr. Pankaj Sharma) agrees to give the undersigned
certain confidential information relating to the remuneration of the Company for purposes of:
1. Terms & Conditions :
a) Your services will be purely on contractual basis and as per requirement of our client.
b) Ensure the confidentiality of client EHS documents & procedures will not be shared to
anyone without prior permission to client M/s. Larsen & Toubro Limited, Hazira, Gujarat.
c) The company follows a holding policy for trainees/employee under which the company will
retain 3% of your Salary till the tenure of employment with us.
d) The retention amount will be returned to you within 60 days from your last working day in
any of the below conditions:
I. After the completion of projects in the client company of ASK-EHS
II. If you resign before the completion of your services in the company and complete the
notice period successfully.
e) EHS and security of Site EHS Officer & his belongings: ensure compliance of all general
safety norms. & security norms of customer site.
f) The regular working hours of the company are from 10 hours (The working hours/ reporting
time are may vary site to site considering work requirement at the Client worksite)
including a lunch break. And 6 days in a week. You will follow the timings and hours of work
applicable at the relevant time to the establishment or office where you are posted. The
client company my require you to work in shifts where it considers necessary for its
business needs. The company may change any such timings or hours of work to the fullest
extent permitted by Relevant Law.
g) The undersigned agrees to hold all remuneration confidential, shall not be used for any
other purpose or disclosed to any third party or Client.
h) The period on during the job, completion or termination of the employment, the
Employee/ consultant will not work directly or indirectly with the client company or any
contractor/ sub- contractor engaged at that project at least for Two years without specific
permission or obtaining No Objection Certificate from ASK-EHS.
i) The Contract is governed by the Laws of the Surat, Gujarat only.
j) You will be required to give at least 30 Days’ notice of resignation to the company or pay
to the company 30 Days salary in lieu of the notice.
k) Payments shall be made within 20-25 days from the date of receipt of the timesheet.
Approved Timesheet must be submitted by 1st or 2nd day of the month.

2. Termination of Service :
a) You will be governed by the laid down code of conduct of the company and if there is any
breach of the same or non conformance of contractual obligation or with the terms and
conditions laid down in this agreement, your service can be terminated as per the act;
notwithstanding any other terms and conditions stipulated herein the company reserves
the right to invoke other legal remedies as it deems fit to protect its legitimate interest.
b) If at any time in our opinion, which is final in this matter you are found non- performer or
guilty of fraud, dishonest, disobedience, disorderly behavior, negligence, indiscipline,
absence from duty without permission or any other conduct considered by us deterrent
to our interest or of violation of one or more terms of this letter, your services may be
terminated as per the act and on account of reason of any of the acts or omission the
company shall be entitled to recover the damages from you.
c) Upon termination of employment, you will immediately hand over to the Company all
correspondence, specifications, formulae, books, documents, market data, cost data,
drawings, affects or records belonging to the Company or relating to its business and shall
not retain or make copies of these items.
d) Upon termination of employment, you will also return all company property, which may
be in your possession.
e) Force Majeure event: - contracts that essentially frees both parties from liability or
obligation when an extraordinary event or circumstance beyond the control of the
parties. Such as a war, Pandemic, strike, riot, crime, epidemic or an event described by
the legal term act of God, prevents one or both parties from fulfilling their obligations
under the contract.
f) If you are caught using drugs, drinking alcohol or being intoxicated at work, you will be fired
immediately and will be unable to file any type of claim.
g) If you are found not performing allotted tasks properly and using unfair means in the
performance of your duties, your employment will be terminated, and you will be unable
to file any type of claim.
3. Anti-Corruption Policy :
a) Corruption means any types of bribery; an offering, giving, promising or agreeing to give,
demanding or accepting money, assets, or other inappropriate benefits from the
government officers, government sectors, private sectors, or responsible person either in
direct or indirect action so that such person could proceed or disregard his/her function in
order to acquire, retain the business, recommend specific company to the entity, or
achieve any improper benefits in business transaction. Exception shall be applied in case
of laws, regulation, statement, standard, custom, or business traditions enable to do so.
b) A person who commits the corruption is equivalent to misconduct in the ASK EHS
Engineering & Consultant Pvt. Ltd. Code of Conduct. This means such person is needed to
consider discipline followed by ASK EHS Engineering & Consultant Pvt. Ltd. standard.
Conviction on laws may be applied in case such act violates the laws.

4. Protection against misuse of social media :
a) If employee post any information which negatively affects the company reputation.
Such instances could lead to a possible defamation action under the civil and criminal
laws of India. Any statement is made by employee which causes harm to company
reputation, if an action for defamation is instituted and found to have been committed,
damages will be payable to company. The quantum of damage that a court may award
shall be case specific and will depend upon the facts of each matter.
b) Employees owe a duty of loyalty to the company. Employees also owe duty to protect
and maintain confidentiality. accordingly, it is inherent duty of an employee to use
social media only for his/her personal purpose and to ensure that they do not engage in
any activity which could defame their current and former employers or alternatively
lead to unauthorized disclosure. A breach of that could lead to disciplinary action,
including employment termination. it is also common to include confidentiality and
non-disparagement clauses in the employment letter and HR policies and in
termination documentation and other any agreements.
c) You will not publish any article or statement, deliver any lecture or broadcast or make
any communication to the press, including magazine publication relating to the
Company's products or to any matter with which the Company may be concerned,
unless you have previously applied to and obtained the written permission from the
Company.
d) You will be required to comply with all such rules and regulations as the Company may
frame from time to time.
e) Thereby, I also declare that, I or any of my family members and relatives, were and are,
not at all involved in any anti-social activities. And, if in future, I or my any family
members or relatives, are found to do so, then, ASK EHS Engineering and Consultants
will not be responsible for the same.
5. Leave :
Refer to the short term contract assignment, employee are entitled for 1 leave after completed
20 working days on earn basis.
▪ Applicable in calendar year only (January to December)
▪ Unused Leaves will be en-cashed in any circumstances.
▪ Balance Leaves cannot be adjusted in lieu of notice Period in case of resignation
▪ Sandwich Leave: - If you are taking preceding and post ceding leaves during weekend or
any holiday, in that particular case that weekend or any holiday will also be considered
as sandwich leave.
▪ If employee join in mid of the year leave applicable on pro- database only
▪ Unauthorized absence or absence without permission from duty for a continuous period
of 7 days would make you lose your lien on employment. In such case your employment
shall automatically come to an end without any notice of termination or notice pay.

6. Secrecy/Confidentiality :
You will not during the course of your employment with the company or at any time there after
divulge or disclose to any person whomsoever, make any use whatsoever for your own purpose
or for any other purpose other than that of the company, of any information or knowledge
obtained by you during your employment as to the business or affairs of the company including
development, process reports and reporting system and you will during the course of your
employment hereunder also use your best endeavor to prevent any other person from doing so.
7. Compliance with Regulations :
a) The Employee shall fulfill his duties to the best of his ability and shall at all times observe
the rules, regulations and instructions given from time to time by the Employer. The
Employee has to conduct himself in such a manner as not to bring discredit upon himself
or the Employer and abide by all general and local laws of the locality in which he is
working.
b) In particular, the Employee shall strictly adhere to any instructions or regulations on
safety in the performance of his work and shall be responsible for his any failure or
negligence of the said instructions or regulations and any accident attributable to him
except in the execution of the services.
8. Intellectual Property Right :
If during the period of your employment with us you achieve any invention, process
improvement, operational improvement, or other process/method likely to result in more
efficient operation of any of the activities of the company, the company shall be entitled to use,
utilize and exploit such improvement and you shall assign all rights thereof to the company for
the purpose of seeking any patent rights or for any other purpose. The company shall have the
sole ownership rights of all the intellectual property rights that you may create during the tenure
of association with the company including but not limited to the creative concept that you may
develop during your association with the company.
