Terms and Conditions


IMPORTANT – PLEASE READ CAREFULLY
The Withdrawal to Bank Account Service (the "Service") is offered by Payoneer Inc. This document
constitutes the agreement ("Agreement") outlining the terms and conditions under which the Service
shall be provided. Your use of the Service is governed by the following Terms and Conditions, along with all
policies and disclaimers provided herein (collectively, the "Terms"). "We", "us" or "our" mean Payoneer Inc., our
successors, affiliates or assignees. "Bank" means a bank account which may be located in any country, except
those sanctioned by the Office of Foreign Assets Control (OFAC). Payoneer may update and amend the list of
countries supported hereunder from time to time in our sole discretion. Access to and use of the Service is
subject to your acceptance of the Terms. Please read these Terms carefully and keep it for future
reference.
1. Using the Service
The Service is available only in conjunction with your Payoneer-branded prepaid debit card (the "Payoneer
Card"). Your Payoneer Card is issued by a financial institution pursuant to a license from the applicable card
scheme (the "Issuer") and your use of the Payoneer Card is subject to the terms and conditions you have
agreed to with that Issuer. The Payoneer Card is a prepaid card that allows you to access funds on the Card.
The Payoneer Card does not constitute a checking, savings or other bank account and is not connected in any
way to any other account you may have. The Payoneer Card is not a credit card. You will not receive any
interest on the funds on the Payoneer Card.

You may request by electronic or written instruction that Payoneer deduct a specific amount from the balance
available on your Payoneer Card (the "Withdrawal Amount") and deliver the Withdrawal Amount into a Bank
account you designate, subject to the following terms:

i. You agree to use the Service for lawful purposes only, and subject to the United States Uniform
Commercial Code;
ii. If you are a natural person, You must be at least 18 years old (or older if that is required by the country in
which you are domiciled), to register for the Service;
iii. You must first apply for this Service from your "My Account" application at Payoneer; Your Payoneer
Card must be in good standing for the Service to be available. If your Payoneer Card is blocked for
inactivity, suspicious activity or for any other reason, your application will be rejected. Payoneer reserves
the right to determine whether to approve your application at Payoneer's sole discretion. Payoneer may
ask you to provide additional information with respect to the source of the funds and/or any other
information which may be required under Payoneer's Know Your Customer policy or under any
applicable law or regulation. In the event that Payoneer decides to reject your application, Payoneer will
notify you of such application denial;
iv. You must be a valid, verified Bank account holder in good standing; Your Bank account MUST be under
the same name as your Payoneer Card;
v. If you are approved for the Service by Payoneer, you may only register ONE Bank account to withdraw
to per each Payoneer Card currency;
vi. You agree that you will be solely responsible for accurately entering Bank account information and
payment instructions to Payoneer. Failure to provide Payoneer with accurate information shall be your
sole responsibility. In the event that Payoneer receives inaccurate payment information which is later
rejected, you shall be charged payment rejection fees which may be deducted from your current
Payoneer Card payment or any future payments;
vii. Payoneer will initiate a withdrawal to your Bank account in the currency and in the amount you have
selected, less any applicable fees. Any bank processing fees, landing fees, currency exchange fees or
intermediary fees which may be charged by your Bank or any other Bank not directly associated with
Payoneer or the Service are not Payoneer's responsibility, Payoneer shall not be liable for such fees;
viii. You may not exceed the value available on your Payoneer Card or any other limits designated at
Payoneer's discretion, and may only use the Service until such funds are depleted and your balance on
the Card is 0 (after any applicable fees);
ix. Withdrawals to your Bank account MAY NOT be sent back into your Payoneer Card;
x. You will not be able to refund or charge-back funds transferred into your Bank account;
xi. Payoneer reserves the right to stop or suspend this Service at any time, at Payoneer's discretion;
xii. Any costs and expenses charged by your Bank shall be borne by you and are not Payoneer's
responsibility;
xiii. Payoneer will not be held responsible for any third-party fees incurred in connection with Withdrawals
that are rejected through no fault of Payoneer;
xiv. Payoneer reserves the right to reject or limit payments under this Service at any time at Payoneer's sole
discretion. Payments can be rejected for any reason, including but not limited to reasons related to
compliance with Payoneer's Anti-Money Laundering program or risk management. Additionally,
Payoneer may limit the amount which may be transferred under this Service in a single transaction, or
during any day, month etc. When rejecting a payment Payoneer will be under no obligation to disclose
the reason for the rejection;
xv. Payoneer, a counterparty financial institution or any regulatory, governmental, legal or other law
enforcement authority or agency ("Entity") shall be entitled to withhold funds or to pay money to a third
party at any time if Payoneer or any Entity has reasonable suspicion of fraudulent or criminal activity,
including without limitation money laundering, or if Payoneer or any Entity reasonably considers it is
required to do so under any Regulation, or at the direction of any regulatory or other competent authority.
The term Regulation includes any applicable laws, statutes, statutory instruments, acts, regulations,
orders, directives and guidance issued by relevant government agencies, regulators, self-regulatory
bodies and trade associations (including networks of financial institutions and payment gateway
providers) or any other relevant trade or industry body rules applicable to Payoneer or any Entity).
2. Fees:
To view the fees charged for the Service please refer to the Pricing and Fees page on your "My Account" at
www.payoneer.com, shown at the time of registration to the service. The fees that apply to the Service may be
modified from time to time at Payoneer's discretion and you will be notified of any modification to the fees in
your Inbox at "My Account" page at www.payoneer.com.
3. Information and Privacy.
It is our policy to respect your privacy. By agreeing to these Terms and Conditions, you acknowledge and
consent to Payoneer's Privacy Policy available on the Payoneer web site at www.payoneer.com/privacy.aspx.
Payoneer may ask you to provide "Personal Information" in connection with your use of the Service. "Personal
Information" means personally identifiable information such as your e-mail address, name, mailing and/or
billing address, telephone number, mobile phone number, government ID number and your bank account
information. You agree to provide accurate, current, and complete information required in the course of using
the Service. Payoneer may share your Personal Information or other information as follows:

a. with our Affiliates (entities which control, are controlled by or are under common control with us);
b. with our partners and third party entities with whom we contracted in connection with the Service;
c. as may be required by law, legal process or court order;
d. to protect the personal safety or property of you, our users, the public, our licensors or ourselves.

YOU ACKNOWLEDGE AND AGREE THAT PAYONEER RESERVES THE RIGHT TO ACCESS AND
DISCLOSE PERSONAL DATA RELATING TO YOU TO COMPLY WITH ALL APPLICABLE LAWS AND
LAWFUL REQUESTS FROM GOVERNMENT AND/OR OTHER REGULATORY AUTHORITIES, AND/OR TO
PROTECT PAYONEER, ITS CUSTOMERS AND OTHER USERS; AND TO DISCLOSE PERSONAL DATA
TO THIRD PARTIES IF PAYONEER HAS REASONABLE REASON TO BELIEVE YOUR USE OF THE
PAYONEER SERVICES IS IN VIOLATION OF THESE TERMS OR IF PAYONEER IS OTHERWISE OBLIGED
OR NEEDS TO DISCLOSE SUCH INFORMATION TO ANY RELEVANT AUTHORITY.
4. Security
Payoneer takes precautions to ensure that your personal Information is kept private. We use commercially
reasonable measures to protect information that is stored within our database, and we restrict access to your
information to those employees who need access to such information to perform their job functions, such as
our customer service personnel and technical staff. We will do everything that is commercially reasonable to
protect the security of your information, but please note that we cannot guarantee the security of your
information in case of unauthorized entry or use, hardware or software failure. Although Payoneer cannot
guarantee that users' information will not be subject to unauthorized access by hackers, Payoneer has
appropriate and tested security procedures in place to protect your Personal Information.
5. Disclaimers.
YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. THE PAYONEER SERVICE IS PROVIDED ON AN
"AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. PAYONEER HEREBY DISCLAIMS ALL
WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
6. Limitation of Liability.
IN NO EVENT SHALL PAYONEER, ITS AGENTS (IF ANY), REPRESENTATIVES, DIRECTORS, OFFICERS,
EMPLOYEES AND AFFILIATES BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY LOSS OR INJURY
OR ANY DAMAGES, EITHER DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL
OR OTHERWISE (INCLUDING, BUT NOT LIMITED TO LOST PROFITS OR LOST SAVINGS) RESULTING
FROM OR IN ANY WAY CONNECTED TO YOUR USE OF THE PAYONEER CARD OR THE SERVICE,
EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF
LIABILITY SHALL APPLY REGARDLESS OF WHETHER THE CLAIM ASSERTED IS BASED ON
CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE. IN NO EVENT SHALL
PAYONEER'S LIABILITY TO YOU AT ANY TIME EXCEED THE AMOUNT OF THE TOTAL FEES YOU PAID
TO PAYONEER FOR THE USE OF THE SERVICE. IN NO EVENT SHALL PAYONEER, ITS AFFILIATES,
AGENTS (IF ANY), REPRESENTATIVES, DIRECTORS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY
ACT OR OMISSION RESULTING FROM CIRCUMSTANCE BEYOND THEIR REASONABLE CONTROL.
YOU HEREBY WAIVE ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO YOUR
USE OF THE SERVICE BEYOND ONE (1) YEAR FROM THE FIRST OCCURRENCE OF THE ACT, EVENT,
CONDITION OR OMISSION ON WHICH SUCH CLAIM OR ACTION IS BASED.
7. Indemnification.
You agree to indemnify and hold Payoneer, its shareholders, subsidiaries, affiliates, directors, officers and
employees, harmless from any loss, claim, demand, or damage, including reasonable legal fees incurred by
Payoneer due to or arising out of your use of the Payoneer Card and the Service and/or breach of these Terms
and Conditions.
8. Termination.
These Terms are effective until amended or terminated by Payoneer. We reserve the right to change the
Terms, including the Fees, at any time and to notify you by posting an updated version of the Terms on this
Web Site. We reserve the right to cease offering the Service at any time. You are responsible for regularly
reviewing the Terms. Continued use of the Service after any changes to the Terms shall constitute your
consent to such changes. You may stop using the Service at any time.
9. Jurisdiction.
These Terms will be governed by and construed in accordance with the laws of the State of Wyoming.
Any disputes, controversies or claims arising out of or in connection with these Terms shall be referred to an
agreed binding arbitration to be held in the State of Wyoming. The parties agree to this method of dispute
resolution and waive any right to a court trial. You agree to waive any right you may have to: (i) a trial by jury,
and (ii) commence or participate in any class action against Payoneer related to the Payoneer Card and the
Service or these Terms and, where applicable, you agree to opt out of any class proceedings against Payoneer
or its affiliates.
10. Assignability.
You shall not transfer any rights or obligations you have under these Terms without the prior written consent of
Payoneer. We may assign any right or obligation under these Terms without your consent.
11. Miscellaneous.
If any part of these Terms and Conditions is determined to be invalid or unenforceable pursuant to applicable
law including, but not limited to, the warranty disclaimers and liability limitations set forth above, the remainder
of the Terms and Conditions shall continue in full force and effect. Unless otherwise specified herein, these
Terms and Conditions constitute the entire agreement between you and Payoneer with respect to the Service
and supersede any prior agreements between the parties with respect to the subject matter. The paragraph
titles in the Terms and Conditions are solely used for the convenience of the parties and have no legal or
contractual significance.
