MEDIA PRODUCTION RETAINER
AGREEMENT
Parties
- This Retainer Agreement (hereinafter referred to as the “Agreement”) is entered into on 10th
November 2023 (the “Effective Date”), by and between Cedar Femme Media, with an
address of The Hills Plaza , East Legon Hills, Accra, (hereinafter referred to as the
“Consultant”) and Tinaford Ltd , with an address of Atlantic Tower, Airport City Accra
(hereinafter referred to as the “Client”) (collectively referred to as the “Parties”).
Term
- This Agreement shall be effective on the date of signing this Agreement (hereinafter referred
to as the “Effective Date”) and will continue for a year ending on November 10th 2024.
- The terms of this agreement extend from November 10th, 2023 to November 10th 2024, until
either party advises in writing intent to terminate this agreement with a 30-day prior written
notice.
- Upon the end of the term of the Agreement, this Agreement may be automatically renewed for
a new term after negotiations and satisfactory work.
Scope of Services
- Hereby, the Consultant agrees to provide the services enlisted below (hereinafter referred to as
the “Services”):
1. Promotional Video Production
a. A maximum of four promotional Video recordings in a month which will include:
i. Products Videography
ii. Product Photography
iii. Shooting of Advertisement contents on designated locations.
iv. Event Coverage for Services (activations, discount promotions , special sales etc.)
b. Corporate Events Coverage for client including special events, awards and outdoor
outreaches.

c. Location for all production will be arranged for by the client and discussed with consultant
prior to commencement.
d. The Product and service productions will be based on the agreed concepts; scripted by the
consultant and approved by the client prior to the production.
2. Editing/Post Production
a. A maximum of 4 post production and editing outputs for the month to be delivered
within 5 days after coverage.
b. Final cut shall be delivered within 48 hours after the incorporation of final
comments by the client.
c. Post production shall include but not limited to the following ask which shall be
according to the specification of the client
i. Story editing
ii. color correction
iii. audio enhancement
iv. music
v. special effects/text
vi. motion graphics
vii. general visual enhancements
d. Specific copyrighted materials used in the post-production and final cut shall be
arranged by the client and such permissions granted to consultant for use
exclusively on the clients projects.
3. Special Assignments
a. Documentary projects on products and services and other subjects of interests to
client.
b. Special Animations to promote products and services of the client.
c. Interviews of stakeholders and other corporate partners of the client.
d. Feature programmes/films that will be requested for production by the client.
All special assignments shall be requested by client, which shall be budgeted for by
consultant as a special project.
Consultant in lieu of the retainer status shall then apply a 50% discount on non-
reimbursable items in the budget of the special assignment.

The Parties agree that the Client shall request for Services under this retainer agreement at
least 72 hours before the execution or commencement of the service and completed by the
date specified.
Retainer
a. The Client agrees to a monthly Professional Services Fee (retainer) of GHC 16,o00.00.
b. The Parties agree that the Client shall pay the invoice within 10 days upon presentation of
invoice.
c. The Parties agree that the Company will pay the invoice by means of cheque to be payable
to Cedar Femme Media.
d. The Agency shall provide the Client with a monthly retainer report by no later than the
fifteenth (15th) of the following month.
e. The consultant shall play the additional role of media advisor to the client and shall provide
the lead advice on media matters related to the scope of this agreement.
f. As far as practicable , the client shall
Expenses and Reimbursable
- The Parties agree that the Consultant is entitled to the reimbursement of all expenses incurred
in providing the service outside the general scope of the retainer agreement.
- The Client agrees to pre-approve all expenses that are outside the exclusive scope of the range
of services stated.
- Client shall pay all pre-approved expenses and reimbursable on condition that the Consultant
includes a proof of payment or a receipt for all the reimbursable expenses.
- Reimbursables include the following;
a. Travel outside the geographic scope of service retainer.
b. Accommodation and board outside geographic scope of service retainer.
c. Feeding outside the geographic scope of service retainer.
d. Equipment and software services procured outside the service scope of retainership.
Relationship Between the Parties
- The Parties agree that this Agreement is a retainer agreement, where the Consultant is an
independent contractor who provides the services specified in the Agreement.
- Under no circumstances shall the Consultant be considered an employee, representative, agent
or partner.
- This Agreement does not create any other partnership between the Parties.

Exclusivity
- The Parties agree that this Agreement is not an exclusive arrangement and that the Parties are
entitled to enter into other similar agreements with other parties.
- The client however shall retain the services of consultant the lead media advisor and shall seek
the input of consultant on media matters as far as practicable.
Termination
- This Agreement may be terminated in the event that any of the following occurs:
1. Immediately, in the event that one of the Parties breaches this Agreement or one of the
conditions set forth in this Agreement and does not amend them within a period of 30 days .
2. At any given time by providing a written notice to the other party 60days prior to terminating
the Agreement.
Dispute Resolution
- Any dispute or difference whatsoever arising out of or in connection with this Agreement shall
be submitted to Arbitration/mediation/negotiation in accordance with, and subject to the laws
of Republic of Ghana.
Ownership
- The Parties agree that all the work product that is created by the Consultant will remain the
exclusive property of the Client, as long as it is relevant to the performance of the Services set
forth in this Agreement.
Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of Republic
of Ghana.

Confidentiality
- All terms and conditions of this Agreement and any confidential information provided by the
Client during the term of the Agreement must be kept confidential by the Consultant, unless
the disclosure is required pursuant to process of law.
- Disclosing or using this information for any purpose beyond the scope of this Agreement, or
beyond the exceptions set forth above, is expressly forbidden without the prior consent of the
Client.
- The Consultant’s obligation to maintain confidentiality will survive termination of this
Agreement and will remain in effect indefinitely.
Severability
- In the event that any provision of this Agreement is found to be void and unenforceable by a
court of competent jurisdiction, then the remaining provisions will remain in force in
accordance with the Parties’ intention.
Entire Agreement
- This Agreement contains the entire agreement and understanding among the Parties hereto
with respect to the subject matter hereof, and supersedes all prior agreements, understandings,
inducements and conditions, express or implied, oral or written, of any nature whatsoever with
respect to the subject matter hereof. The express terms hereof control and supersede any course
of performance and/or usage of the trade inconsistent with any of the terms hereof.
Amendments
- The Parties agree that any amendments made to this Agreement must be in writing, where they
must be signed by both Parties to this Agreement.
- Accordingly, any amendments made by the Parties will be applied to this Agreement.
