Membership Rewards Terms and Conditions Eligibility 1.

The Membership Rewards Programme (The Programme) is available to Basic Personal Card, Gold Card, Platinum Cardmembers, the Business Card, the Business Gold Card, Centurion, Basic Cardmembers (ie those who do not have account numbers beginning with 3742 9), any Basic Optima Cardmember whose Optima Card account is associated with an American Express Card account enrolled in the Programme (Eligible Optima Card) and the Green or Gold Credit Card. Basic Corporate Cardmembers (ie those with account numbers beginning with 3742 9) may also enrol in the Programme unless their company has chosen not to participate in the Programme. Accounts or Cards not listed in this paragraph (eg Line of Credit Accounts, Personal Reserve, Business Travel Accounts, the Blue Card from American Express and other non-Card or special billing accounts) are not eligible for enrolment in the Programme. Supplementary Cards will automatically be included with the Basic Card on enrolment. Supplementary Cards cannot be enrolled separately from the Basic Card. 2. There is a 20 + VAT annual fee for participation in the Membership Rewards Programme, except as otherwise provided below. There is no fee for the Membership Rewards Programme for those who carry the Centurion Card or the Platinum Card. For Corporate Cardmembers (ie those with account numbers beginning with 3742 9) who enrol only the Corporate Card in the Membership Rewards Programme the annual fee is 30 + VAT. Basic Cardmembers may enrol all their American Express Card accounts of the types listed above in the Programme (Linked Accounts). Enrolled Corporate Cards from the same company cannot be pooled into one Membership Rewards Programme account. Any Points earned by a Corporate Card shall accrue to the respective Corporate Cardmember, and not the Corporate Account. 3. The annual fee for the Membership Rewards Programme will be billed to the Cardmembers account on the enrolment date, and thereafter, automatically each year on the enrolment date anniversary. The enrolment date will be considered the first day of the month in which the enrolment application processing is completed by American Express. The annual fee for the Membership Rewards Programme is not refundable. 4. All Linked Accounts must be in good standing (ie not overdue or in collection) at the time of enrolment. Any Card account which is not in good standing at the time of enrolment will not be eligible for enrolment in the Programme. 5. All Linked Accounts must be billed in Sterling to be eligible for enrolment in the Programme. Accrual of Membership Rewards points (Points) in the Programme 1. Each Cardmember enrolled in the Membership Rewards Programme will accrue one Point in his/her Programme account for virtually every full pound charged and billed on the Cardmembers Linked Accounts provided such charges are paid. 2. Optima Card and the American Express Credit Card charges will accrue when billed as long as the minimum payment is kept current. 3. The Cardmember will accrue Points in his/her Programme account for the Sterling amount of any charge processed and billed by American Express for 12-month periods commencing with the date on which charges begin to accrue Points.

4. Points accrued in a Cardmembers Programme account for any given year will be carried forward on the enrolment date anniversary provided all other conditions set out herein have been met. 5. The Cardmember will not accrue Points in his/her Programme account for the following: Express Cash American Express Travellers Cheques Foreign Exchange Cash Advances Balance Transfers Fees and Interest Charges for Dishonoured Cheques Finance Charges including OptimaSM Account and American Express Credit Card Finance Charges Late Payment and Referral Charges Fees/charges, including joining, annual Card fees and Membership Rewards fees. 6. Points accrued in any Programme account do not constitute property of the Cardmember and are not transferable by operation of law or otherwise to any person or entity and cannot be transferred to any other Programme account. 7. Credits posted to a Cardmembers Linked Account (other than Cardmember payments received), including those arising from returned goods or services, will reduce the Points accrued in the Cardmembers Programme account. 8. If a credit posted to any of the Cardmembers Linked Accounts reduces the Programme account balance below the minimum required to redeem or convert Programme Points into a participating Frequent Customer Programme American Express reserves the right to decline Cardmembers request.

9. Each Membership Rewards point has no cash redemption value, or other cash or monetary value except that American Express may in its sole discretion allow Cardmembers whose enrolled Linked Accounts are all in good standing to redeem (so as to reduce amounts owing under a Cardmember Agreement) points or to buy points, at values advertised from time to time.
10. From time to time, American Express will offer enrollees the opportunity to accrue extra Points for charges made at particular merchants which accept American Express Cards (such as Favourite Places) or during a specific period of time. Such offers will be subject to these Membership Rewards Programme Terms and Conditions. 11. The Rewards Plus Card is a small business card available to Establishments who have a card acceptance agreement with American Express. All defined terms in the card acceptance agreement will apply to this clause 11. A Cardmember with a Rewards Plus Card account will accrue one point for every ten pounds spent by other American Express Cardmembers in his Establishment less the American Express Discount Rate applied, any customer spend that is fraudulent, any credits (including those arising from returned goods or services) submitted by the Cardmember and any amounts owed to American Express under the American Express Card Acceptance Agreement or otherwise, provided the Cardmember has complied with the terms and conditions of the American Express Card Acceptance Agreement. Additional Membership Rewards points earned in this way are applied per individual service Establishment only.

Programme Account 1. Points accrued in the Cardmember's Programme account may be converted into Rewards provided all of the Cardmember's enrolled Linked Accounts are in good standing (which means not overdue or in collection) and not cancelled or terminated by American Express (due to such Linked Accounts being not in good standing), or by the Cardmember (except as provided below) at time of the conversion or redemption request. If any Linked Account is not in good standing, the Cardmember's Programme enrolment and the relevant use of Points may be suspended. In the event that an enrolled Linked Account is cancelled due to material breach by the Cardmember, the Cardmembers enrolment in the Programme may also be cancelled or Points accrued in the Programme forfeited if such cancellation or Points forfeiture is, in the reasonable opinion of American Express, proportionate. 2. If American Express reinstates cancelled Linked Account(s) within six months of cancellation, the related Points accrued in the Cardmember's Programme account may subsequently be redeemed for Rewards, in accordance with the provisions of these Terms and Conditions. 3. If a Cardmember has more than one American Express Card account enrolled in the Programme, voluntarily cancels any such Card account, and keeps at least one American Express Basic Card account (not including an Optima Card Account) enrolled in the Programme, any Points accrued in the Programme account as a result of charges billed to the cancelled Card account will remain valid in the Programme Account provided all other conditions set out herein have been met. 4. If a Cardmember voluntarily cancels Programme enrolment or cancels all Linked Accounts enrolled in a Programme, but keeps at least one American Express Card, the Cardmember will have up to six-months to re-enrol in a Programme in order to reactivate any Points previously accrued in the Programme account prior to such cancellation. 5. If a Cardmember cancels a Linked Account and cancels all American Express Cards all Points accrued in the Cardmember's Programme account and not redeemed at the date of cancellation will be forfeited, unless otherwise agreed at the time of such cancellation. 6. Once accrued Points in a Cardmembers Programme account have been converted into a Reward, the Points cannot be converted back into the Cardmembers Programme account. 7. If a Cardmember has not paid the sum due on their American Express Card Account or any Linked Account, by the date of the next billing statement, any Points accrued during the period for which payment has not been made as well as Points accruing subsequently to the payment due date whilst non-payment continues shall be forfeited, if such Points forfeiture is, in the reasonable opinion of American Express, proportionate. Rewards General 1. All Rewards are subject to availability. Certain Rewards are available only during the time periods described in the Programme communications. Certain restrictions apply to Rewards. Terms and conditions of each Reward are set forth in Programme communications. Merchants participating in the Programme and specific rewards are subject to change. Some Rewards have limited availability. Cardmembers are subject to and must comply with the terms and of Hotel Room Night vouchers issued. Some restrictions including restrictions on the availability of Hotel Room Night vouchers. For details of restrictions please contact the participating hotel directly.

2. Redeemed Rewards are not refundable, exchangeable, replaceable, redeemable, or transferable for cash, credit other Rewards, or Points under any circumstances, unless specifically permitted by these Terms and Conditions. All Membership Rewards Points redemptions for travel services are subject both to availability, and to service or airline ticket conditions. Membership Rewards Points redemptions for travel services are refundable if the conditions of the travel service itself allow for refunds and those conditions apply. Refunded travel services may be subject to an additional processing fee and American Express will disclose this possibility in advance of redemption. 3. By redeeming Rewards, the Cardmember releases American Express and its parent, subsidiaries, and affiliates from any and all liability regarding the redemption or use of Rewards, or other participation in the Programme. 4. Rewards must be redeemed in accordance with Programme communications. American Express and participating merchants are not responsible for replacing lost, stolen, or mutilated certificates or tickets. 5. American Express reserves the right to modify or cancel any Reward at any time. Any additional travel or accommodation arrangements made in connection with any Reward will be the sole responsibility of the Cardmember. A) Certificate Rewards 1. Membership Rewards certificates and vouchers (collectively Certificates) may not be combined with any other promotional offers from American Express or participating merchants. Unless stated otherwise on the Certificate only one Certificate may be used per purchase. 2. Certificates are valid at participating merchants only, until the expiration date printed on the front of the Certificate. 3. Certificates must be surrendered at redemption, and no photocopies of Certificates will be honoured. 4. Fulfilment of the Certificates is the sole responsibility of the participating merchant, not American Express. 5. Certificates are not valid toward previous purchases, and cannot be used as payment on existing account balances with either the participating merchant or American Express. 6. Certificates are not transferable unless otherwise noted on the Certificate. 7. Certificates are void where prohibited by law. 8. Unless otherwise stated on the Certificate, Certificates for Rewards offered do not include any taxes, which are the sole responsibility of the Cardmember. 9. Use of any Certificate is subject to any additional restrictions listed on the Certificate.

B) Car Rental Rewards 1. Car Rental Certificates may not be combined with any other Corporate Discount Programme number, discount, or promotional rates or programmes. 2. Local airport fees, surcharges, and optional services such as refueling, upgrades to higher car classes, extra-day and drop charges, additional driver fee, Collision Damage Waiver, and optional insurance such as Theft Protection may not be covered and are the responsibility of the Cardmember to check with the partner. 3. Renter must meet participating rental car establishments standard driver, credit, and age qualifications (minimum rental age is usually 25) in effect at time and place of rental. 4. All rentals are subject to availability and require an advance reservation. 5. Weekend rentals are available from collection at noon on Friday until noon on Monday. 6. Vehicles must be returned to renting location. 7. Certificates are valid at participating locations only. 8. Certificates are redeemable for the car class and rental length indicated on the face of the Certificate. 9. American Express assumes no responsibility for the provision of goods and services by participating hotels in relation to a Cardmembers use of room night vouchers or otherwise. C) Membership Rewards Classic Rewards Frequent Customer Programme and Points Transfer Partner Rewards are only available to Membership Rewards Classic Enrolees 1. Points accrued in the Programme account of Membership Rewards Enrolees may be converted into any one or more Participating Frequent Customer Programmes. The Cardmember must first join or be a member of the relevant Frequent Customer Programme prior to requesting conversion into a Frequent Customer Programme. 2. A Cardmember may convert Points in his/her Membership Rewards account to a Frequent Customer Programme in the Points increments indicated in Programme communications. 3. Cardmembers are subject to and must comply with the terms and conditions of the Frequent Customer Programmes of the participating airlines and hotels in which they are enrolled. 4. Some restrictions including restrictions on the availability of flights or hotel rooms, apply to participating Frequent Customer Programmes. For details of restrictions please contact the participating airline or hotel directly. 5. American Express assumes no responsibility for Points converted from a Cardmembers Programme account into a participating Frequent Customer Programme or for the actions of any participating airline or participating hotel group in connection with its Frequent Customer Programme or otherwise. 6. Any airline or hotels participation or any other Frequent Customer Programme availability in the Programme is subject to change with or without notice.

7. The Cardmember insurance programmes listed below will not apply to flights taken with frequent flyer tickets, even if such tickets were obtained by using Points converted from a Programme account. Insurance coverage will only be activated pursuant to the terms and conditions of such coverage. Travel Accident Insurance, Travel Inconvenience Insurance, Personal Liability General 1. American Express reserves the right to terminate the Programmes at any time. American Express also reserves the right to change Programme terms and conditions at any time including but not limited to conversion rates for Membership Rewards points into participating Frequent Customer Programmes or Points required for issuance of a Hotel Room Night Voucher or other Rewards. 2. The request for redemption or conversion of Points from Programme account must be made by the Basic Cardmember. Basic Cardmembers must initiate a request for redemption or conversion of Points by calling American Express on 01273 863863. 3. Fraud or abuse relating to the accrual of Points in the Programme or conversion of Points may result in forfeiture of accrued Points as well as cancellation of a Cardmembers Programme account and any American Express Card account. 4. American Express failure to enforce a particular Term or Condition does not constitute a waiver of that Term or Condition by American Express. 5. All questions or disputes regarding eligibility for the Programme or the eligibility of Points for accrual or conversion of Points will be resolved by American Express in its sole discretion. 6. The determination of tax liability arising out of the accrual or conversion of Points in the Programme, shall be the sole responsibility of the Cardmember. Cardmembers should refer to their tax adviser to resolve any queries. 7. In the event that a participating airline, hotel or other merchant intends to terminate its participation in the Programme, American Express may limit the number of Points convertible into Rewards or Frequent Customer Programmes offered by that airline, hotel or other merchant prior to termination. Use of Information In accordance with the American Express Cardmember Agreement, American Express may, at any time disclose information about a Cardmembers Programme account to companies within the American Express group of companies worldwide and to our suppliers and to organisations who accept the Card in order to administer and service your Programme account and manage any benefits in which you are enrolled. American Express may monitor and/or record telephone calls to and from us, either ourselves or by reputable organisation selected by us, to assure consistent, servicing levels and account operation.
