SPEAKER ENGAGEMENT AGREEMENT

This Speaker Engagement Agreement ("Agreement") is entered into on __, __, 2023, by

and between ________________________________________________________, hereinafter

referred to as the "Host," and Bruce Villarreal International, hereinafter referred to as the

"Speaker."

1. Event Details

The Host agrees to engage the services of the Speaker for a special event to be held on

one of the following dates:

1.a 2-day Event on Friday and Saturday, 13th & 14th October 2023, or

1.b 2-day Event on Friday and Saturday, 20th & 21st October 2023.

2. Special Pricing Engagement

In consideration for the services to be provided by the Speaker, the Host shall pay a one-

time special pricing engagement fee of $2,500. The full amount is due immediately upon the

execution of this Agreement and is non-refundable if the event is canceled by the Host . Payment

shall be made through the following account:

3. Non-Compete Disclosure

The Host acknowledges that the Speaker's team and leadership will be respected during

the event, and the Host agrees not to promote any other company during or after the event.

The Host is hiring the Speaker's services exclusively for this event.

4. Host's Responsibilities

The Host shall cover the following expenses:

4.a Airfare and transportation to and from the event location to the airport.

4.b Two meals per day for both event days (Lunch and Dinner) with a budget of $50 per

meal, including tips.

4.c Hotel accommodations for the Speaker for both event days, with no credit on file

required on the Speaker's behalf. If the meal budget is linked to room service and the Speaker

has to order from Room Service, the Speaker will be mindful of the $50 budget per meal. In

such cases, the Host must leave a credit on file. However, if the Host will be taking the Speaker

out to lunch and dinner, there is no need for room service.

5. Proposed Plan for Event and Venue

The event shall consist of the following:

5.a Friday Meeting Description:

The Speaker shall have following engagements in Friday Meeting:

5.a.a Meeting with existing and new Team leaders in Kenny’s Group to explain them

an opportunity of making 90-day commitment and the way to knock potential for MLM career

growth in next two to five years.

5.a.b Invitation to Kenny’s Events to Validate possibilities for "Spanish Market." And

promotion of Saturday's recruiting and kickoff opportunity meeting.

Provided that this is a Bonus from Speaker $2,500 Value for the host.

5.b Saturday Meeting Description:

The Speaker shall have following engagements in Saturday Meeting:

5.b.a Assistance in kicking off the opportunity meeting.

5.b.b Validation of the value of the Network Marketing Opportunity.

5.b.c Closing of packages and recruits.

5.b.d Discussion on the power of the Spanish Community.

5.b.e Sharing the Speaker's MLM success story particularly within the Spanish-

speaking market.

5.b.f Providing tools for building their business.

5.b.g Emphasizing self-development for personal and entrepreneurial growth.

5.b.h Interview with Kenny to validate his leadership.

6. Zoom Calls

There will be two (30-60 minute) Zoom calls scheduled before the event to prepare and

kick off the event, and two (30-60 minute) post-event Zoom calls to follow up on team

progress.

Furthermore, it is stipulated that the terms outlined herein include the scheduling of the

first two calls before the event for the purpose of meeting leaders and discussing the event and

our plans for the Spanish market. The last two calls will serve to follow up on success stories

and assess progress to ensure a strong conclusion to 2023 and a promising start to 2024.

Additionally, it is acknowledged that these calls constitute a bonus provided by the

Speaker, with a total value of $500 per Zoom call, totaling 4 Zoom calls, each individually valued

at $500.

7. Further Discussions (Planning for a 90-Day Latin Market Launch and Follow-Up)

We will plan a 90-day action plan with consecutive events to maintain our momentum.

Dates may be chossen from November (17th and 18th 2023) or December (1st and 2nd 2023), and

then in January 2024, we may focus on building up our business for 2024. Additionally, we may

discuss the details of a mentorship action plan.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the

State of ___________________, United States of America, without regard to its conflict of law

principles. Any legal action or proceeding arising out of or related to this Agreement shall be

filed exclusively in the federal or state courts located in the State of _________________, and

the parties consent to the personal jurisdiction of such courts.

9. Relevant U.S. Law References

The Host agrees to comply with relevant U.S. laws, including but not limited to:

9.a Section 365 of the U.S. Bankruptcy Code:

The Host acknowledges that Bruce Villarreal may terminate this Agreement in the event

that the Host becomes subject to bankruptcy proceedings under Section 365 of the U.S.

Bankruptcy Code.

9.b Section 75-1.1 of the North Carolina General Statutes (or applicable state law):

The Host agrees to comply with Section 75-1.1 of the North Carolina General Statutes

(or applicable state law) regarding unfair and deceptive trade practices, ensuring that Bruce

Villarreal's rights and interests are protected.

9.c Section 17200 of the California Business and Professions Code (or applicable state law):

The Host shall adhere to Section 17200 of the California Business and Professions Code

(or applicable state law) regarding unfair competition, ensuring that Bruce Villarreal is not

subjected to any unfair business practices.

10. Confidentiality

Both parties agree to keep all information exchanged during the event, including but not

limited to business strategies, trade secrets, and proprietary information, confidential. This

information shall not be disclosed to third parties without the express written consent of the

disclosing party.

11. Force Majeure

In the event that either party is unable to perform its obligations under this Agreement

due to circumstances beyond its control, including but not limited to acts of nature,

government restrictions, and unforeseeable emergencies, such non-performance shall not be

considered a breach of this Agreement.

12. Indemnification

The Host agrees to indemnify and hold harmless the Speaker against any claims,

damages, or liabilities arising out of the event, except to the extent caused by the Speaker's

gross negligence or willful misconduct.

13. Insurance and Liability

The Host shall maintain appropriate insurance coverage for the event, including liability

insurance, to protect against any unforeseen incidents or accidents.

14. Termination

Either party may terminate this Agreement in writing if the other party breaches any

material term or condition of this Agreement. Termination shall be effective upon written

notice to the breaching party.

15. Dispute Resolution

In the event of any dispute arising from or related to this Agreement, the parties agree

to engage in good faith negotiations to resolve the dispute. If a resolution cannot be reached

through negotiations, the dispute shall be submitted to binding arbitration in accordance with

law, and judgment upon the award rendered by the arbitrator(s) may be entered in any court

having jurisdiction thereof.

16. Successors and Assigns

This Agreement shall be binding upon and inure to the benefit of the parties hereto and

their respective successors and assigns.

17. Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an

original but all of which together shall constitute one and the same instrument.

18. Amendments

Any amendments or modifications to this Agreement must be in writing and signed by

both parties.

19. Entire Agreement

This Agreement contains the entire understanding between the parties and supersedes

all prior and contemporaneous agreements and understandings, whether oral or written.

20. Execution

The parties hereto have executed this Agreement as of the date first above written.
