Code of Conduct for Suppliers of the Linde Group

Dear Supplier,

At The Linde Group, we are committed to compliance with all applicable laws and regulations, to upholding
human rights and labour standards and to protecting the environment whether in our own operations or in
relation to our business partners.

We expect our suppliers to share this commitment. The Linde Executive Board has implemented a supplier
code of conduct with minimum requirements for all suppliers of the Linde Group ( www.the-linde-
group.com/en/images/Linde_supplier_Code_of_Conduct_tcm14-108831.pdf ). A copy of our supplier code of
conduct is attached.

We kindly ask you to affirm your organisation’s commitment to responsible business practices by filling in the
documentation form (also attached) and returning the signed form to us within the next four weeks.

Please make sure your employees are aware of the requirements of our supplier code of conduct.

In case of questions, please contact your responsible procurement manager at Linde.

Code of conduct for Suppliers of the Linde Group

At The Linde Group, we are committed to complying with all applicable laws and regulations, to upholding human rights and labour
standards and to protecting the environment – in our own operations as well as in relation to our business partners. Linde also supports
the principles of the United Nations Global Compact. We expect our suppliers to share this commitment. This Supplier Code of Conduct
defines the basic requirements to meet our standards.

Health and safety


— Comply with all applicable laws and regulations on occupational health and working safety.
— Commit to continuous improvements of occupational health and safety.
— Use or set up a reasonable occupational health and safety management system.

Human rights and labour standards


— Working time: Comply with the applicable law and sector-specific labour regulations concerning working time, including overtime
laws.
— Wages and benefits: Provide wages and benefits as prescribed by the respective national laws, including minimum wage legislation,
and in line with existing practice in the industry and local labour markets.
— Non-discrimination and fairness: Apply the principles of equal opportunity and fair treatment. Non-tolerance of any form of discrimi-
nation or verbal or physical harassment of employees.
— Freedom of association and collective bargaining: Recognise, as far as legally permitted, the right of free association and collective
bargaining of employees.
— No forced labour: Non-tolerance of any form of forced labour, including forced prison labour, indentured labour, bonded labour,
slave labour or any form of human trafficking.
— No child labour: Comply with minimum working age requirements prescribed by national laws and international agreements.

Legal compliance and integrity


Comply with all applicable laws and regulations, in particular:
— Prohibition of corruption and bribery: Do not engage in or tolerate any form of corruption or bribery, in particular any payment,
“kickback” or other form of benefit conferred for the purpose of influencing decision making.
— Competition and antitrust: Conduct business in compliance with all applicable competition/antitrust laws and regulations.
— Conflict of interest: Avoid all conflicts of interest or situations giving the appearance of a potential conflict of interest in business
dealings with Linde or third parties.
— Confidentiality: Keep Linde’s business, financial and technical data as well as business correspondence confidential; do not misap-
propriate Linde’s or other companies’ tangible or intellectual property.

Environmental protection
— Comply with all applicable laws and regulations and international standards relating to the protection and preservation of
the environment.
— Commit to continuous improvements of environmental protection.
— Use or set up a reasonable environmental management system.

Supply chain
Undertake reasonable efforts to encourage your own suppliers and sub-contractors to comply with the principles of this
Supplier Code of Conduct.

SIDE LETTER TO SUPPLY AGREEMENT/PURCHASE ORDER

Please sign and return this side letter to your contact person at The Linde Group within 14 days of receipt.

The representations in this Side Letter are made by PT DAYA INOVASI MANDIRI, a company incorporated
in Indonesia whose registered office is at JL. Padasuka Atas NO.252 RT.06 RW.01 Kel. Pasirlayung
(“Supplier”), for the benefit of PT. Linde Indonesia / PT. Gresik Gases Indonesia / PT. Gresik Power Indo-
nesia (“Linde”).

1. The Supplier has obtained an electronic copy of the Code of Conduct for Suppliers of the Linde
Group (“Supplier Code of Conduct”), which is available at www.the-linde-
group.com/en/images/Linde_supplier_Code_of_Conduct_tcm14-108831.pdf, and has read and under-
stood its content.

2. The Supplier shall, in addition to the commitments of its supply agreement /Purchase Order
with Linde (“Agreement”), fully comply with the principles and requirements of the Supplier
Code of Conduct.

3. The Supplier shall demonstrate compliance with the Supplier Code of Conduct (e.g. by providing
data or conducting self-assessments) at the request and to the satisfaction of Linde.

4. If Linde has reason to suspect that the Supplier is in material breach of the Supplier Code of
Conduct, Linde or a third party appointed by Linde may conduct inspections at the premises of
the Supplier in order to verify the Supplier’s compliance with the requirements of the Supplier
Code of Conduct. Further:
4.1 Linde shall use all reasonable efforts to ensure that all inspections will be conducted in
accordance with any applicable data protection law.
4.2 Linde shall neither unreasonably interfere with the business activities of the Supplier nor
violate any of the Supplier’s confidentiality agreements with third parties.
4.3 The Supplier shall reasonably cooperate with any inspections conducted.
4.4 Each party shall bear its own expenses in connection with such inspections.

5. In addition to any other rights and remedies that it may have, Linde shall have the right to ter-
minate the Agreement and any purchase order issued thereunder without any liability whatso-
ever if the Supplier is in material breach of the Supplier Code of Conduct or fails to remedy any
breach after written notification about the breach by Linde.

6. “Material breach” includes but is not limited to any incident of forced or child labour, corruption
and bribery, and any failure to comply with the environmental protection requirements of the
Supplier Code of Conduct.
