The Reverse Osmosis System is the latest state of art, which gives a mineral water
quality output without adding any chemicals for Water Treatment.

R.O. System ensures the filtration of all kinds of Bacteria , Virus and cryptosporidium.
Wherever the water is saline or hard , RO System converts the same into the mineral
water. Due to population explosion the quality of drinking water is question marked
therefore, majority of the organization are switching over to the new concepts.

A. Plant Capacity :

The Reverse Osmosis Plant has been designed to produce the desired
output of 250 Liters per Hour.

B. Raw Water analysis :

The Reverse Osmosis System is designed on following raw water

C. Plant Design Basis and Conditions :

 We have designed this system to produce permeate flow 250 Liters

per hour.
 The treated water quality as required i.e pH 7-8 after correction ,TDS
< 200 PPM & turbidity <1 can be achieve , subject to the feed water
quality is the same as specified above .In case of any change in the
quality of raw water it may have implication on operating parameters
or on end results of the system.
 The system of recovery is properly maintained corresponding to the
raw water TDS.
 RO feed water limiting conditions as mentioned below are strictly

All piping work from pure water tank to drinking source at various points. Like
various water coolers or drinking points etc.

3. Protection and safety

1. Client should manage the security and safety of plant from various wild
animals such as monkey etc.

2. Also client has to insure the protection from nature such as sun, rain, wind etc
and should provide proper shelter to plant like fiber shed or concrete room etc
as per site.

NOTE: Unloading and transfer of Plant and Machinery at site is in the Client’s Scope.

Payment Terms for Supply

 50% advance with the order.
 20% on delivery of material.
 20% after installation and commissioning.

Note:

1. All payment is to be made by a Crossed Demand Draft in favour of VODA

TECH INDIA, New Delhi, India.

2. The payments against Performa Invoice must reach us within a maximum of

15 days from the date of presentation of the same.

3. ST/CST/ECC Number must be intimated to us well in advance before

invoicing.

4. Any legal dispute arising out of the resultant contract will be subject to the
jurisdiction of the Delhi Courts, if the same cannot be resolved by mutual
consent.
1.1. Terms and Conditions for sale and supply of equipment
DELIVERY

The equipment will be supplied to the buyer within the stipulated period. This
period will be taken from the date when the technically and commercially clear
order along with the advance payment is received at our end.

ORDER CANCELLATION

 Order received and acknowledged by the seller shall not be subject to

cancellation either wholly or partly for any reason whatsoever without the
seller’s written consent.

 The amount already paid as advance will not be returned in case the order
is cancelled in whole or in part.

MANUFACTURING OF EQUIPMENT

Fabrication of the equipment will start only after receipt of the advance
payment at our end. The same is required for procurement of raw materials,
therefore on non-payment of the advance the project cannot start.

NON PAYMENT OF DUE AMOUNTS WITHIN THE SPECIFIED DATE

If there is any default from the buyer for payment of the payable amounts
within the respective due dates, then the buyer will have to pay interest on the
particular amount at a rate of 1% per month calculated on monthly basis and
taken from the day subsequent to the day when the due date gets over. This
amount will be in addition to the total price of the equipment.

NON-LIFTING OF THE EQUIPMENT

If the equipment is not lifted by the buyer within 15 days after intimation by
VODATECH that the equipment is ready, then the buyer will be liable to pay
demurrage at a rate of 0.5% per week to a maximum of 10% of the total
contract price for such delay before lifting of the equipment. Further, if it is not
lifted in next 3 months after intimation, then advance will be forfeited and the
equipment will be sold/disposed off to any other party.

CONSEQUENTIAL LOSSES

There shall be no liability for either party towards the other party for loss of
production, loss of profit, loss of use, loss of contracts or for any other
consequential or indirect loss whatsoever.

PRICE ESCALATION

The price quoted herewith in the quotation is based on the current prices of
steel in the market. In case, there is any escalation in the steel prices, we
reserve the right to change the price according to the following:

Price on Order Date = Price on Offer Date x (1 + 0.6 x ∆P/100)

where, ∆P = Percentage Increase/Decrease in Prices of Stainless Steel on date of

Order and on Offer Date.
 GUARANTEE

(a) Manufacturing: We undertake the responsibility to rectify any defect in

equipment supplied by us due to bad workmanship or defective material,
provided the defects are brought to our notice within 18 (Eighteen) calendar
months from the date of supply or 12 months from the date of commissioning
whichever is earlier. For any defects brought to our notice after the guarantee
period, we will not be held responsible and if we are called upon to rectify those
defects, extra charges will be payable to us. However, our guarantee does not
extend to electrical items including instruments, motors, cables, SFU etc.
(b) Performance: Our plant is guaranteed to meet the rated performance as per
our offer for a period of one year from the date of supply. We shall attend to any
faults within the guarantee period in case it is brought to our notice
immediately and rectify the problem.

SAFE STORAGE OF THE EQUIPMENT AND OTHER COMPONENTS: The buyer shall
provide safe storage facilities for the machineries and components till the
equipment is installed and commissioned. In case of failure, VODA TECH will
not be held responsible for such damages.

FORCE MAJEURE: Our offer is subject to Force Majeure clause. We shall not be
held responsible for any delay in execution of the work for causes beyond our
control such as war, revolution, and strike, epidemic, accidental fire, flood or
any other act of God.

JURISDICTION: Any legal dispute arising of the resultant contract will be subject
to the jurisdiction of the New Delhi Courts in case the same is not settled
mutually.

1.2. Terms and conditions for erection and commissioning

1. The client has to provide the following to VODA TECH, free of cost.

o Uninterrupted Power Supply at the site during the erection and

commissioning period for lighting, welding, grinding or for any such
operation that may require the use of electrical power.

2. Our offer excludes site unloading and shifting of material to site from unloading
place.

3. Our offer excludes all civil works such as masonry, foundation works for
structures, excavation, refilling, grouting, making holes, providing trenches etc.

4. The building and foundations must be ready in all respects for installation
before the erection and commissioning crew reaches at the site.

5. Lockable storage facilities must be provided to the erection and commissioning

crew for them to keep their tools, tackles, spare parts, etc.

6. The VODATECH personnel should be allowed the use of telephone/fax for

official communication with the head office, as and when the need arises.

7. VODATECH reserves the right to allot the erection and commissioning job to a
sub-contractor.

8. The buyer is expected to take over the plant from VODATECH, once its erection
and commissioning is completed, but only after the payment of the necessary
amount is made.
9. At the time of commissioning log sheet will be made by our commissioning
Engineer, which should be signed by your Engineer / Operator for each and
every trial. In case of non-compliance, VODATECH will have the right to
withdraw the commissioning personnel.

10. Free accommodation has to be provided to the erection and commissioning crew
during the period of the erection and commissioning.

11. VODATECH will perform continuous run per day for 7 days to prove
performance of plant. During this performance run uninterrupted supply of
services to be provided by buyer. After these runs joint report is required to be
made and plant hand over to be taken by buyer after issuing a commissioning
certificate. VODATECH shall depute our commissioning engineer to carry out
this work and rest of the operating personnel shall be provided by client.

12. TRAINING:

VODATECH’s crew will impart the necessary training to personnel from the
buyer’s side. However, these person selected by the buyer for the training
should be technically adequate for the same.

13. ACCEPTANCE OF GOODS

If the buyer refuses to accept the goods delivered to them, then they are bound
to return the same to VODATECH immediately. In such a case, VODATECH has
the liberty to divert these goods to some other buyer and allot a fresh delivery
schedule to the original buyer under the same terms and conditions.

14. CONSIGNMENT OF GOODS

VODATECH will dispatch the goods in part or in full, as is convenient, within

the stipulated delivery period. Under no circumstances will the part
consignment of goods give the buyer a valid reason to refrain from paying the
due amount.

15. FORCE MAJEURE

Our contract is subject to the Force Majeure clause and as such we will not be
responsible for delay in the delivery of equipment due to war, emergency,
revolution, accidental fire, floods or any such natural calamities which are
beyond our control.
