CONTRACT FOR FREELANCE DEVELOPMENT SERVICES
This Contract ("Build Online Shop") is entered into on September, 11, 2023 by and
between:
Wira Pramuja, as a ("Seller"),
AND
[Rayhandzikri] as a ("Buyer").
WHEREAS, the Freelancer is engaged in the business of providing development services,
and the Client wishes to engage the Freelancer to provide such services;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the
parties hereby agree as follows:
1. SCOPE OF WORK
1.1. Services: The Freelancer agrees to provide the Client with development services, as
described in Exhibit A attached hereto.
Include : Payment Gateway, review testimony from user, login user, filter and sorting, address,
history order.
1.2. Timeline: The project will commence on September, 11, 2023 and is expected to be
completed by October, 03, 2023 subject to adjustments as agreed upon by both parties.
2. PAYMENT
2.1. Fees: In consideration for the services provided, the Client shall pay the Freelancer a total
fee of Rp. 4.000.000/ $260.69 to be paid in accordance with the payment schedule outlined in
Exhibit B.
When a buyer places an order on Fiverr, the 20% fee charged to the seller becomes the
responsibility of the buyer. This means that if the total cost of the service is $500 USD, the buyer
will need to pay a total of $600 USD. The additional $100 USD represents the 20% fee that
Fiverr charges the seller for using their platform. So, the buyer pays the full amount, including
the platform fee, to complete the order.
2.2. Additional Costs: The Client shall be responsible for any additional costs or expenses
incurred during the project that are beyond the scope defined in Exhibit A.
3. OWNERSHIP AND INTELLECTUAL PROPERTY
3.1. Ownership: Upon full payment, the Client shall own the rights to the deliverables created
during the project.
3.2. Third-Party Materials: The Freelancer shall ensure that all third-party materials (e.g.,
images, software licenses) used in the project are properly licensed and will not infringe on any
copyrights.
4. CONFIDENTIALITY
4.1. Non-Disclosure: Both parties agree to maintain the confidentiality of any proprietary or
confidential information shared during the course of the project.
5. TERMINATION
5.1. Termination: Either party may terminate this Contract by providing written notice to the
other party if a material breach of this Contract occurs, subject to the cure period as specified in
Exhibit C.
7. ENTIRE AGREEMENT
7.1. Entire Agreement: This Contract constitutes the entire agreement between the parties and
supersedes all prior and contemporaneous agreements, understandings, negotiations, and
discussions, whether oral or written.
IN WITNESS WHEREOF, the parties hereto have executed this Contract as of the Effective
Date.
