FULL CORPORATE OFFER FOR GOLD DORE BARS

Attention: Buyer
We hereby confirm with full corporate responsibility, under penalty of Perjury, as Sellers, we are ready,
willing, and able with legal authority to deliver and offer for the sale of the following quantity of Gold.

PRODUCT: Raw Gold


ORIGIN: Uganda
QUANTITY: Minimum 100KGS - 300 KGS (First Shipment)
PURITY: min 97% Final assay to be made at and by buyer's refinery. Said assay value will be accepted by
both buyer and seller
PRICE: $ 45,000.00 PER KG
LOCATION: Uganda, if purity, after the final assay in buyer's refinery, is found to be less of 96%, then the
price will be adjusted to suit the buyer.
CURRENCY: Only US dollar offers are acceptable.
PACKAGING: In metal export boxes
MONTHLY DELIVERY: To be discussed after shipping first consignment.
DELIVERY PLACE: European, Asian, American airport or other country (if applicable)
CONTRACT: 100KGS-300KGS [With Rolls & Extensions to be negotiated by Both Parties].
Validity: 7 Days This FCO is valid for Seven Working days from the date shown above.

Documentation: Four (4) copies of Commercial Invoices in favour of the Buyer with this information The
gold has no connections with terrorist, terrorist organizations, are not of criminal origin and are free and
clear of any and all liens or encumbrances.

TERMS OF PAYMENT:
Direct TT (TWT) to Sellers A/C 24hrs after final assay report. Seller’s Warranty the Seller must warrant
that the product as described in the FCO is in his legal possession or that he has beneficial ownership of
the product and that he has the ability and the authority to sell it:
- Buyer to inspect the goods in Kampala Uganda, where he/she will take samples for initial tests at a
government testing laboratories. Goods are sealed ready for export.
- Seller representative will accompany the goods to Buyer’s refinery for smelting and final payment after
assay report.

PROCEDURE:

 Seller sends FCO


 Buyer and Seller sign the FCO.
 The Buyer or Buyer’s Representative will make arrangement to travel to Kampala, Uganda to meet
the Seller and view the goods physically.
 The Buyer can obtain samples from the total consignment for testing purposes only at government
testing laboratory, Uganda
 The Seller countersigns and completes SPA with all applicable banking coordinates, copies of
passport, certificate of incorporation, with POP (Video with the date newspaper) The final SPA will be
returned within three (3) working days.
 Buyer will procure the insurance policy cover of secured transportation and logistics, and
send it to the seller for seller to submit to the government for tax clearance and more.No
upfront payment to seller or his agent.

 Seller to export gold direct to the buyer's selected Airport. Prior to aircraft departure Seller will
notify Buyer, name of the airline, flight number, expected departure arrival date and time.
 Seller will pay for government taxes and duties, , custom/ handing charges security and Seller
will pay for flight costs directly to the Airline company and seller will deliver gold to Buyers
destination.

 Buyer pays the Sellers final payment of hundred percent (100%) of the pure gold contained as per
the assay, within 48 to 72 hours after issuance of final assay report.
 The ownership will not be changed and may not be changed until the final and total purchase money
payment has been made by SWIFT bank wire transfer to the Seller’s nominated bank account.

Seller to provide Buyer with collateral equal to the pre-delivery financial commitment fee of
Insurance Policy Certificate which will be held in a safety deposit box at an Attorney or security
company to be agreed upon by both Buyer and Seller.

Please note:
 The costs for smelting will be paid before smelting commences by the seller.
 After satisfactory inspection, Seller facilitate the payment of the Government taxes, certificate of
origin
 fees, customs clearance and freight costs to the Seller’s appointed shipping agent as calculated on the
Proforma invoice.

Payment:
 TT wire transfer (TWT) from buyer contracted authorized authority account as per instructions from
the Sellers defined in the FCO.
 After buyer pays the full payment of goods to the seller, minus costs he incurred to get an Insurance
Policy Certificate, the product and ownership will then be released to buyer.

Commission:
 All Intermediaries and mandates, will be paid a commission of 1000 USA Dollars per Kg.

Responsibility:
 Buyer will assist customs procedures at Airport of Destination Confidentiality.
 Seller, buyer or Intermediaries and Mandates shall keep any FCO or Contract in strict confidence and
shall instruct all persons involved in the completion of this contract to keep it in strict confidence.

Disputes Settlement:
 All disputes arising out of, or in connection with the FCO or contract with buyer including disputes on
its conclusion, binding effect, amendments and termination shall be resolved by ordinary court in
and/or as defined in the FCO.

Modifications and Amendments:


 All modifications and amendments to any FCO or contract with buyer must be made in writing and
are subject to the mutual writing approval of both parties.

Right to Refuse Shipment:


 Seller must certify that any and all Material sent to any of (buyer) refineries shall be free of
hazardous substances including but not limited to beryllium, cadmium, mercury and radioactive
material. Should a Seller know or suspect that the material may contain a hazardous Substance.
 The Seller undertakes to notify (buyer) refinery and (buyer) in advance of the shipment.
 It is understood that the refinery may take sample and test the material for the presence of
hazardous substances prior to processing.
 It needs be understood that the refinery shall have the right to reject material which, in the refinery’s
opinion, does not confirm to the description specified under subparagraph “a” or is, or
becomes,unsuitable or undesirable for handling, sampling and smelting whether for metallurgical,
environmental or other reasons.
