TERMS & CONDITIONS
1) Validity of terms: Marposs India Private Limited concludes orders of deliveries/ Services
with all customers as per its general terms of delivery and payment. At no point of time
these will be superseded by any term of customers, unless explicitly approved in writing
by the Managing Director of MIPL.
2) Price: Unless otherwise agreed and confirmed in writing all prices quoted are Ex-works
Manesar only. All subsequent costs including taxes, transport, delivery cost etc. shall be in
the customer’s account. Any statutory levy applicable at the time of delivery will be
charged extra to customer account.
3) Duties & Tax: Unless otherwise agreed and confirmed in writing all duties, taxes, cess and
levies are charged extra over and above the prices quoted in the quotation as per rates
prevailing at the time of issuance of invoice. Unless the concessional forms with regard to
tax and duties etc are provided to MIPL in advance, full rate of duty and tax will be
charged as and when applicable.
4) Insurance:
A) Unless otherwise agreed and confirmed in writing insurance will always be in the
customer’s scope.
B) In case of CIF terms, it is assumed that the material has reached the destination in
safe and sound condition, unless damages are reported in clear terms in the
acknowledgement given to carrier at the time of delivery.
5) Scope of Supply: The equipment / items will be supplied as specified in our quotation.
Any component/equipment/item, which is out of scope of supply, will be charged extra.
6) Logistics: Unless otherwise agreed and confirmed in writing, MIPL will always use the
carrier which it considers to be most efficient and cost effective. For all ex-works IMT
manesar consignments, the carrier will collect freight payment along with all taxes, duties
or levies etc paid in transit from the customer at the time of delivery.
7) Inspection: If desired can be arranges at out manesar works, prior to dispatch, by
customer’s authorized representatives. All expenses of representative for trials and
inspection should be borne by the customer.
8) Erection & Commissioning: Unless otherwise agreed and confirmed in writing installation
and commissioning are not [part of scope of supply. Whenever agreed, installation and
commissioning takes place during the business hours 0800 to 1700 on the normal working
days. National holidays and bank holidays are always excluded.
9) Reservation of ownership: MIPL reserve ownership of the goods supplied until all amounts
receivable under its business relationship with the customer – including any future
amounts – have been paid in full.
10) Payment: 100% against proforma invoice before dispatch. MIPL accepts all payments
by cheque/Banker Cheque/DD payable on New Delhi. The bank transfer to the account
of MIPL are also acceptable as per following details: Bank Account No.-

MIPL Do not accepts any payment in cash against its invoice.
11) Validity: Our offer is valid for 30 days from the date of the quotation. Thereafter it is
subject to our confirmation.
12) Variation in Scope: In the event of any additions and deletions, substitutions or omission
to the scope of work mentioned in the offer. The value of our offer shall be enhanced or
reduced by mutual negotiations and the payment shall be made in accordance with
the terms of payment along with the mutually agreed delivery date.
13) Liability: MIPL responsibility and the liability is limited to ordered item only. No indirect or
direct loss or gain to customer is a liability of MIPL.
14) Jurisdiction: Unless otherwise agreed and confirmed in writing the terms of contract, sales
and any dispute arising thereof, are subject to New Delhi JURISDICTION only.
