DEVELOPMENT AGREEMENT
THIS DEVELOPMENT AGREEMENT IS ENTERED INTO AT CHENNAI,
ON THIS DAY OF 2023,
BETWEEN
M/s.MANJU PROMOTERS PRIVATE LIMITED, [PAN: AAPCM0880Q], a Company
incorporated under the Indian Companies Act, 1956, having its registered Office at
No.8, Sapthaswara Apartments, 1st Avenue, Ashok Nagar, Chennai – 600 083,
represented by its Authorized Signatory Mr.K.KUMAR, (DL No.TN091991000 9481),
Son of Mr.Kasi, Hindu, aged about 49 years, residing at No.8, Sapthaswara
Apartments, 1st Avenue, Ashok Nagar, Chennai – 600 083, (Board Resolution Dated at
28.03.2023), hereinafter called as the “DEVELOPER” of the ONE PART;

Ms.R.SUGIRTHA, (Aadhaar No: 2878 2836 7084), Daughter of Mr.Rajasekaran, aged


about 32 years, residing at No.3, 21/3, Annapoorna Nagar Extension,
Ponniammanmedu, Tiruvallur, Tamil Nadu – 600 110, hereinafter referred to as the
“PURCHASER”

The term “DEVELOPER” and “PURCHASER”, wherever the context so means, requires
or permits, includes their legal heirs, representatives, executors, administrators,
nominees, successors-in-interest and assigns;

WHEREAS Mr.V.Babu & Ors are the absolute owners of the vacant houses in all
totally measuring an extent of 3,26,272 Sq.ft., comprised in Sy.Nos.362/3C, 362/3B,
361/4C, 362/3D, 362/2, 362/3B, 362/4A, 362/3A, 357, 361/2, 361/4A, 361/4B,
361/4D & 362/3F, in to layout of housing plots “AYYAN CITY”, Approved from
Chennai Metropolitan Development Authority vide PPD/LO No.32/2023 in Letter
No.L/15962/2022, dated 16/02/2023 and Planning Permit No.15302 on
16/02/2023 and subsequently approved by ‘Commissioner’ Poonamallee Panchayath
Union, vide RC.No.496/2023/A3 dated 24/02/2023, situated at Kavalcheri Village
[Voyanallur ‘B’ Village], Poonamallee Taluk, Thiruvallur District.

WHEREAS Mr.V.Babu & Ors entered into an MOU on 23.03.2023 with M/s.MANJU
PROMOTERS PRIVATE LIMITED, to carry out the activities viz., develop, market & sell
the housing plots in the aforesaid layout.

WHEREAS, the DEVELOPER herein, after careful consideration, agreed to develop,


market & sell the aforesaid Housing Layout named as “AYAAN CITY”, situated at
Kavalcheri Village [Voyanallur ‘B’ Village], Poonamallee Taluk, Thiruvallur District.

WHEREAS the VENDOR being the absolute owner and was in exclusive,
uninterrupted, continues possession of the vacant housing Plot No.259, measuring
an extent of 756 Sq.ft., comprised in Survey No.357, [Patta No.20], in the said layout
and the VENDOR has got right, title and interest and unfettered authority to convey
the above said property to anyone.

WHEREAS, with an intention to Purchase housing Plot No.259, measuring an extent


of 756 Sq.ft., comprised in Survey No.357, [Patta No.20], in the aforesaid Project,
more fully described in Schedule hereunder, the PURCHASER herein, approached the
DEVELOPER herein, with a request to develop the aforesaid Plot proposed to be
purchased, and agreed to pay a sum of Rs.7,93,800/- (Rupees Seven Lakhs Ninety
Three Thousand and Eight Hundred Only), to the DEVELOPER towards
Development Works as listed in the Annexure to this Development Agreement.

NOW, THIS DEVELOPMENT AGREEMENT WITNESSETH AS FOLLOWS:

1) Upon request from the PURCHASER, the DEVELOPER herein has agreed to
develop Plot No.259, measuring an extent of 756 Sq.ft., comprised in Survey
No.357, [Patta No.20], Approved from Chennai Metropolitan Development
Authorityvide PPD/LO No.32/2023 in Letter No.L/15962/2022, dated 16/02/2023
and Planning Permit No.15302 on 16/02/2023 and subsequently approved by
‘Commissioner’ Poonamallee Panchayath Union, vide RC.No.496/2023/A3 dated
24/02/2023, situated at Kavalcheri Village [Voyanallur ‘B’ Village], Poonamallee
Taluk, Thiruvallur District, more fully described in Schedule hereunder, for an
estimated Development Charges Rs.7,93,800/- (Rupees Seven Lakhs Ninety
Three Thousand and Eight Hundred Only), towards Development Works as listed
in the Annexure to this Development Agreement.
2) The PURCHASER has paid a sum of Rs.10,000/- (Rupees Ten Thousand Only) paid
as Advance, from out of the total estimated Development Charges, to the
DEVELOPER, to develop the Schedule mentioned Property.
3) The PURCHASER agrees to pay the balance remaining Development Charges
amounting to Rs.7,83,800/- (Rupees Seven Lakhs Eighty Three Thousand and
Eight Hundred Only), at the time of Registering the Schedule Property, or within
one month from the date of this Agreement, whichever is earlier.
4) THE DEVELOPER has agreed to complete the Development Works of the Schedule
Property within one month from the date of signing this Agreement.
5) During the pendency of this Development Agreement, if Taxes/Charges are revised or
additionally levied by the Government of the Day, and/or, by the Statutory

Authorities, the PURCHASER herein agrees to bear the same including any other
incidental expense/s incurred thereon.
6) THE DEVELOPER herein, agrees to arrange for the Registration of the Schedule
Property, in favour of the PURCHASER or her Legal Nominees upon receipt of the
entire Plot Cost at Guideline Value including the Development Charges.
7) The DEVELOPER herein, agrees to hand over the duly developed Vacant
Possession of the Schedule Property to the PURCHASER, after the Registration of
the Sale deed in respect of the Schedule Property.
8) Any dispute or difference arising out of or in connection with this Agreement, the
same shall be referred to Arbitration in accordance with the provisions of the
Arbitration and Conciliation Act, 1996. Arbitration will be conducted by a Sole
Arbitrator to be appointed by the Developer. The proceedings will be conducted in
the English language and the venue shall be in Chennai. The Courts in Chennai,
Tamil Nadu and Laws of India will have exclusive jurisdiction on any matter
concerning this Agreement.

SCHEDULE OF THE PROPERTY

All that piece and parcel of vacant housing Plot No.259, measuring an extent of 756
Sq.ft., comprised in Survey No.357, [Patta No.20], in the layout “AYYAN CITY”,
approved from Chennai Metropolitan Development Authority vide PPD/LO
No.32/2023 in Letter No.L1/15962/2022, dated 16/02/2023 and Planning Permit
No.15302 on 16/12/2023 and subsequently approved by ‘Commissioner’ Poonamallee
Panchayath Union, vide RC.No.496/2023/A3 dated 24/02/2023 and coming within
the Registration District of Thiruvallur and Sub Registration District of Poonamallee
and the said layout has been named as “AYAAN CITY”, and also approved by Tamil
Nadu Real Estate Regulatory Authority, Chennai, on 20/03/2023 under Project
Registration No.TN/02/Regularisation Layout/0949/2023 situated at Cents
situated in Kavalchery, Voyalanallur-B Village, Poonamallee Taluk, Thiruvallur District
and thereabouts,

BOUNDED ON THE:
NORTH BY : Plot No.260,
SOUTH BY : 4.8 M Road,

WEST BY : Plot No.268,
And with the following linear measurements:
East to West on the Northern side – 36’ 0”
East to West on the Southern side – 36’ 0”
North to South on the Eastern side – 21’ 0”

Situate within the Registration District of Thiruvallur and Sub-Registration District of


Thiruvallur Joint-I.

1) Removing shrubs and bushes from the Plot

2) Leveling of Plot

3) Conducting Survey of the Plot in tune with the relevant FMB

4) Fixing of Survey Stones/Painting/Marking of Plot Number

5) Arranging for Electricity Power Supply

6) Conducting Soil test

7) Formation of motorable Road leading to Plot

8) Drainage to the Project.
