T hisMainServicesAgreement(“Agreement”)isforYouruseoftheDeveloperServicestodevelopandmaintainapplications
and services that interoperate with or complement Our online platform and/or applications.

FORMTHATREFERENCESTHISAGREEMENT,ORBYACCESSINGTHEDEVELOPERSERVICES.BYACCEPTINGTHISAGREEMENT,
YOU AGREE TO ITS TERMS. IF YOU ARE ENTERING INTOTHISAGREEMENTONBEHALFOFACOMPANYOROTHERLEGAL
ENTITY,YOUREPRESENTTHATYOUHAVETHEAUTHORITYTOBINDSUCHENTITYANDITSAFFILIATESTOTHESETERMSAND
CONDITIONS,INWHICHCASETHETERMS“YOU”OR“YOUR”SHALLREFERTOSUCHENTITYANDITSAFFILIATES.IFYOUDO
NOT HAVE SUCH AUTHORITY, OR IFYOUDONOTAGREEWITHTHESETERMSANDCONDITIONS,YOUMUSTNOTACCEPT
THIS AGREEMENT AND MAY NOT USE THE DEVELOPER SERVICES.
You may not, without Our prior written consent, access or use the Developer Services:
• f or production purposes, or
• if You are Our direct competitor, or
• to monitor the availability, performance or functionality of the Developer Services, or
• for any other benchmarking or competitive purposes.
Y oumaynot,withoutOurpriorwrittenconsent,accessoruseanySalesforceservices,includingtheDeveloperServices,to
Commercially Distribute Your Application to third parties unless You are authorized to do so pursuant to a separate
agreementwithUs.AnyviolationoftheprecedingsentenceshallbedeemedamaterialbreachofthisAgreement.Youare
Commercially Distributing Your Application if installation, access, and/or use of any version of Your Application or its
featuresandcapabilitiesrequirethepaymentoffeesofanykindtoYou(including,e.g.,ifYourApplicationintegratestoor
makes use of anyapplicationorotherproductorserviceforwhichYoucollectfees,oriftheYourApplicationisprovided
under a “freemium” payment model).
T hisAgreementwaslastupdatedonOctober6,2023.ItiseffectivebetweenYouandUsasofthedateofYouacceptthis
Agreement.
1. DEFINITIONS
“ Affiliate” means any entity which directly or indirectly controls, is controlled by, or is under common control withthe
subjectentity.“Control,”forpurposesofthisdefinition,meansdirectorindirectownershiporcontrolofmorethan50%of
the voting interests of the subject entity.
“ AppExchange” means the online directory of applications that interoperate with the Developer Services, located at

“ BasicDeveloperServices”meanstheDeveloperEdition,andanyotherversionsWedesignateasdeveloperversions,ofthe
online, Web-based applications and platform We provide via http://www.salesforce.com, http://www.force.com,
http://developer.force.com, and/or http://developerforce.com, as described in the User Guide, that We make generally
availabletoOurdevelopercommunityatnocharge,excludingtoolsandresourcesaccessibleoutsidetheabove-described
applications and platform and excluding Developerforce Content and Third-Party Applications.
“ Developerforce Content” means the content, information, resources, documentation, code, tools, toolkits, developer
environments and/or communities, contests, promotions and/or programs accessible via http://developer.force.com,
and/or http://*.developerforce.com, excluding Developerforce Content.
“Developer Services”means Basic Developer Services and Supplemental Developer Services.
“ Malicious Code” means viruses, worms, time bombs, Trojan horses and other harmful or malicious code,files,scripts,
agents or programs.
“ OrderForm”meanstheorderingdocumentsforanypurchasesofSupplementalDeveloperServiceshereunder,including
addendathereto,thatareenteredintobyYouandUsfromtimetotime.OrderFormsshallbedeemedincorporatedherein
by reference.

limitations are specified in the User Guide.
.6. Use of Developerforce Content. You may use Developerforce Content in connection with the Developer Services

3. THIRD-PARTY PROVIDERS
.1. Your Acquisition of Third-Party Products and Services. To use the Developer Services, You must have a supported

computer device, Web browser and Internet connection; no purchase of any other third-party products or services is
required to use the Developer Services. We may offer Third-Party Applications for sale under Order Forms. Any other
acquisition by You of third-party products or services, including but not limited to Third-Party Applications and
implementation, customization and otherconsultingservices,andanyexchangeofdatabetweenYouandanythird-party
provider,aresolelybetweenYouandtheapplicablethird-partyprovider.Wedonotwarrantorsupportthird-partyproducts
or services, whether or not they are designated by Us as “certified” or otherwise, except as specified in an Order Form.
.2. Third-Party Applications and Your Data. If You install or enable Third-Party Applications for use with Developer

Services,YouacknowledgethatWemayallowprovidersofthoseThird-PartyApplicationstoaccessYourDataasrequiredfor
the interoperation of such Third-Party Applications with the Developer Services. We shall not be responsible for any
disclosure, modification or deletion ofYourDataresultingfromanysuchaccessbyThird-PartyApplicationproviders.The
Developer Services shall allow You torestrictsuchaccessbyrestrictingUsersfrominstallingorenablingsuchThird-Party
Applications for use with the Developer Services.
.3.DeveloperServiceFeaturesthatIntegratewithThird-PartyServices.TheDeveloperServicescontainfeaturesdesigned

to interoperate with third-party services (which may include, for example, Google, Facebook andTwitterservices).Such
Developer Service features depend on those third-party providers continuing to make their services, including their
application programming interfaces (“APIs”) where applicable, available for the Developer Services. If any of those
third-partyserviceprovidersceasestomakeitsapplicableservicesorAPIsavailableonreasonabletermsfortheDeveloper
Services, We may cease providing the corresponding features without entitling You to any refund, credit, or other
compensation.
4. NO FEES FOR DEVELOPER SERVICES
ecurrentlyprovidetheDeveloperServicesatnocharge.WereservetherighttochangeourpricingpoliciesforDeveloper

Services at any time in our sole discretion. We will provide you reasonable notice of any such changes.
5. PROPRIETARY RIGHTS
.1.ReservationofRights.Subjecttothelimitedrightsexpresslygrantedhereunder,Wereserveallrights,titleandinterest

in andtotheDeveloperServices,includingallrelatedintellectualpropertyrights.NorightsaregrantedtoYouhereunder
other than as expressly set forth herein.
.2.Restrictions.Youshallnot(i)permitanythirdpartytoaccesstheDeveloperServicesexceptaspermittedherein,inan

OrderFormorintheUserGuide,(ii)createderivativeworksbasedontheDeveloperServices,(iii)copy,frameormirrorany
partorcontentoftheDeveloperServices,otherthancopyingorframingonYourownintranetsorotherwiseforYourown
internalbusinesspurposes,(iv)reverseengineertheDeveloperServices,or(v)accesstheDeveloperServicesinorderto(a)
build a competitive product or service, or (b) copy any features, functions or graphics of the Developer Services.
.3. Your Applications and Code. You authorize Us to host, copy, transmit, display and adaptYourApplicationsandany

programcodethatYouoranyUsercreateusingtheDeveloperServices,solelyasnecessaryforUstoprovidetheDeveloper
Services in accordance with this Agreement.Subjecttotheabove,Weacquirenoright,titleorinterestfromYouorYour
licensorsunderthisAgreementinortoYourApplicationsoranyprogramcodecreatedbyYouorbyathirdpartyforYou,
including any intellectual property rights therein.
.4.CustomerData.SubjecttothelimitedrightsgrantedbyYouhereunder,Weacquirenoright,titleorinterestfromYouor

Your licensors under this Agreement in or to Your Data, including any intellectual property rights therein.
.5. Suggestions. We shall have a royalty-free, worldwide, irrevocable, perpetual license to use or incorporate into the

DeveloperServicesandotheronlineservicesanysuggestions,enhancementrequests,recommendationsorotherfeedback
provided by You, including Users, relating to the operation of the Developer Services.
.6. Federal Government End Use Provisions. We provide the Developer Services, including related software and

technology, for ultimate federal government end usesolelyinaccordancewiththefollowing:Governmenttechnicaldata
andsoftwarerightsrelatedtotheDeveloperServicesincludeonlythoserightscustomarilyprovidedtothepublicasdefined
inthisAgreement.ThiscustomarycommerciallicenseisprovidedinaccordancewithFAR12.211(TechnicalData)andFAR

and DFAR 227.7202-3 (Rights inCommercialComputerSoftwareorComputerSoftwareDocumentation).Ifagovernment
agencyhasaneedforrightsnotconveyedundertheseterms,itmustnegotiatewithUstodetermineifthereareacceptable
termsfortransferringsuchrights,andamutuallyacceptablewrittenaddendumspecificallyconveyingsuchrightsmustbe
included in any applicable contract or agreement.
.7. Competitive Applications. Subject to Our and Your respective rights and obligations under this Agreement, We

acknowledgethatYoumaydevelopandmakeavailableproductsandservicesthataresimilartoorotherwisecompetewith
Ourproductsandservices,andYouacknowledgethatWemaydevelopandmakeavailableproductsandservicesthatare
similar to or otherwise compete with Your products and services.
6. CONFIDENTIALITY
.1.DefinitionofConfidentialInformation.Asusedherein,“ConfidentialInformation”means,inthecaseofinformation

disclosed by Us to You, the Developer Services; and in the case of information disclosed by Youto Us,YourData,and
informationregardingapplicationsorothermaterialsdevelopedusingtheDeveloperServicestotheextentdisclosedtoUs
by the hosting of such applications or materials on our platform or to the extent disclosed to our Customer Support
organization.However,ConfidentialInformationshallnotincludeanyinformationthat(i)isorbecomesgenerallyknownto
the public without breach of any obligation owed to the disclosing party (the “DisclosingParty”),(ii)wasknowntothe
receivingparty(the“ReceivingParty”)priortoitsdisclosurebytheDisclosingPartywithoutbreachofanyobligationowed
totheDisclosingParty,(iii)isreceivedfromathirdpartywithoutbreachofanyobligationowedtotheDisclosingParty,or
(iv) was independently developed by the Receiving Party.
.2. Protection of Confidential Information. Except as otherwise permitted in writing by the Disclosing Party, (i) the

Receiving Party shall use the same degree of care that it uses to protect the confidentiality of its own confidential
informationoflikekind(butinnoeventlessthanreasonablecare)nottodiscloseoruseanyConfidentialInformationofthe
Disclosing Party for any purpose outside the scope of this Agreement, and (ii) the Receiving Party shall limit access to
ConfidentialInformationoftheDisclosingPartytothoseofitsemployees,contractorsandagentswhoneedsuchaccessfor
purposes consistent with this Agreement and who have signed confidentiality agreements with the Receiving Party
containing protections no less stringent than those herein.
.3. Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party if it is

compelledbylawtodoso,providedtheReceivingPartygivestheDisclosingPartypriornoticeofsuchcompelleddisclosure
(to theextentlegallypermitted)andreasonableassistance,attheDisclosingParty’scost,iftheDisclosingPartywishesto
contestthedisclosure.IftheReceivingPartyiscompelledbylawtodisclosetheDisclosingParty’sConfidentialInformation
aspartofacivilproceedingtowhichtheDisclosingPartyisaparty,andtheDisclosingPartyisnotcontestingthedisclosure,
the DisclosingPartywillreimbursetheReceivingPartyforitsreasonablecostofcompilingandprovidingsecureaccessto
such Confidential Information.
7. LIMITED WARRANTIES AND DISCLAIMERS
E achpartyrepresentsandwarrantsthatithasthelegalpowertoenterintothisAgreement.EXCEPTASPROVIDEDINTHE
PRECEDING SENTENCE AND IN SECTION 11.5 (WARRANTIES) BELOW, NEITHER PARTY MAKES IN THIS AGREEMENT ANY
WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND EACH PARTY SPECIFICALLY
DISCLAIMSALLIMPLIEDWARRANTIES,INCLUDINGANYWARRANTIESOFMERCHANTABILITYORFITNESSFORAPARTICULAR
PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
8. INDEMNIFICATION
Y oushalldefendUsagainstanyclaim,demand,suit,orproceeding(“Claim”)madeorbroughtagainstUsbyathirdparty
alleging that Your Data, or applications or other materials developed by You using the Developer Services, infringe or
misappropriate the intellectual property rightsofathirdpartyorviolateapplicablelaw(totheextentsuchinfringement,
misappropriation or violation do not arise from the Developer Services), and shall indemnifyUsforanydamagesfinally
awardedagainst,andforreasonableattorney’sfeesincurredby,UsinconnectionwithanysuchClaim;provided,thatWe(a)
promptlygiveYouwrittennoticeoftheClaim;(b)giveYousolecontrolofthedefenseandsettlementoftheClaim(provided
thatYoumaynotsettleanyClaimunlessthesettlementunconditionallyreleaseUsofallliability);and(c)providetoYouall
reasonable assistance, at Our expense. The foregoing states Your sole liability and Our exclusiveremedyforanytypeof
Claim described in this Section.
9. LIMITATION OF LIABILITY
.1. Limitation of Liability. IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS

PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES
HOWEVER CAUSED, WHETHER INCONTRACT,TORTORUNDERANYOTHERTHEORYOFLIABILITY,ANDWHETHERORNOT
THEPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.THEFOREGOINGDISCLAIMERSHALLNOTAPPLYTO
THE EXTENT PROHIBITED BY APPLICABLE LAW.
10. TERM AND TERMINATION
0.1.TermofAgreement.ThisAgreementcommencesonthedateYouacceptitandcontinuesuntilallUserSubscriptions

granted in accordance with this Agreement have expired or been terminated.
0.2. Term of BasicDeveloperServiceUserSubscriptions.UserSubscriptionsforBasicDeveloperServicescommenceon

the date you accept this Agreement and continue until terminated by either party in accordance with Section 10.3
(Termination of Basic Developer Service User Subscriptions).
0.3.Termination.YoumayterminateBasicDeveloperServiceUserSubscriptionswithoutcauseatanytimeuponwritten

notice to Us. We may terminate Basic Developer Service User Subscriptions (i)atanytimewithoutcauseupon60days’
writtennoticetoYou,(ii)uponnoticetoYouifYourBasicDeveloperServiceshavenotbeenaccessedbyaUserfor6months
orlonger,or(iii)upon7days’writtennoticetoYouofamaterialbreachofthisAgreementifsuchbreachremainsuncured
attheexpirationofsuchperiod.Notwithstandingtheabove,totheextentanyBasicDeveloperServiceUserSubscriptions
are required to use Supplemental Developer Service User Subscriptions, the parties’ rights to terminate such Basic
DeveloperServiceUserSubscriptionswillbegovernedbySection11.7(b)(TerminationofAgreementforCause)insteadof
this Section.
0.4.ReturnofYourData.UponrequestbyYoumadewithin30daysaftertheeffectivedateofterminationofaDeveloper

Servicessubscription,WewillmakeavailabletoYoufordownloadafileofYourDataincommaseparatedvalue(.csv)format
alongwithattachmentsintheirnativeformat.Aftersuch30-dayperiod,Weshallhavenoobligationtomaintainorprovide
anyofYourDataandshallthereafter,unlesslegallyprohibited,deleteallofYourDatainOursystemsorotherwiseinOur
possession or under Our control.
0.5. Loss ofApplicationsandMaterials.UPONANYTERMINATIONOFTHISAGREEMENT,ALLAPPLICATIONSANDOTHER

MATERIALSDEVELOPEDBYYOUUSINGTHEDEVELOPERSERVICESANDHOSTEDONOURPLATFORMWILLBEPERMANENTLY
LOST.
0.6. Surviving Provisions. Sections 5 (Proprietary Rights), 6 (Confidentiality), 7 (Limited Warranties and Disclaimers), 8

(Indemnification), 9 (Limitation of Liability), 10.4 (Return of Your Data), 11.4 (Confidentiality of SupplementalDeveloper
ServicesTermsandPricing),11.5(WarrantiesRegardingSupplementalDeveloperServices),11.6(IndemnificationbyUsfor
Supplemental Developer Services), 12 (Who You Are Contracting With, Notices, Governing Law and Jurisdiction) and13
(General Provisions) shall survive any termination or expiration of this Agreement.
11. ADDITIONAL TERMS APPLICABLE TO SUPPLEMENTAL DEVELOPER SERVICES
1.1. Terms Limited to Supplemental Developer Services. The provisions in this Section 11 (Terms Applicable to

SupplementalDeveloperServices)applyonlytoSupplementalDeveloperServicesorderedhereunder,andareinadditionto
the other provisions in this Agreement.
11.2. Supplemental Developer Services.
a. P
rovisionofSupplementalDeveloperServices.WeshallmaketheSupplementalDeveloperServicesavailabletoYou
pursuant to this Agreement and the relevant Order Forms during a subscription term. You agree that Your
purchasesofSupplementalDeveloperServicesareneithercontingentonthedeliveryofanyfuturefunctionalityor
features nor dependent on any oral or written public comments made by Us regarding future functionality or
features.
b. U
serSubscriptions.UnlessotherwisespecifiedintheapplicableOrderForm,(i)SupplementalDeveloperServices
maybeaccessedbynomorethanthespecifiednumberofUsers,(ii)additionalUserSubscriptionsmaybeadded
during the subscription term at the same pricing as that for the pre-existing subscriptions, prorated for the
remainderofthesubscriptiontermineffectatthetimetheadditionalUserSubscriptionsareadded,and(iii)the
added User Subscriptions shall terminate on the same date as the pre-existing subscriptions.
11.3. Fees and Payment for Supplemental Developer Services.

serFees.YoushallpayallfeesspecifiedinallOrderFormshereunder.Exceptasotherwisespecifiedhereinorin
anOrderForm,(i)feesarequotedandpayableinUnitedStatesdollars,(ii)feesarebasedonservices purchased
and not actualusage,(iii)paymentobligationsarenon-cancelableandfeespaidarenon-refundable,and(iv)the
numberofUserSubscriptionspurchasedcannotbedecreasedduringtherelevantsubscriptionterm statedonthe
Order Form. User Subscription fees are based on monthlyperiodsthatbeginonthesubscriptionstartdateand
eachmonthlyanniversarythereof;therefore,feesforUserSubscriptionsaddedinthemiddleofamonthlyperiod
will be charged for that full monthly period and the monthly periods remaining in the subscription term.
b. InvoicingandPayment.YouwillprovideUswithvalidandupdatedcreditcardinformation,orwithavalidpurchase
order or alternative document reasonably acceptable to Us. If You provide credit card information to Us, You
authorize Us to charge such credit card for all Developer Services listed in the Order Form for the initial
subscription term and any renewal subscription term(s) as set forth in Section 11.7a (Term of Supplemental
Developer Service User Subscriptions). Such charges shall be madeinadvance,eitherannuallyorinaccordance
withanydifferentbillingfrequencystatedintheapplicableOrderForm.IftheOrderFormspecifiesthatpayment
willbebyamethodotherthanacreditcard,WewillinvoiceYouinadvanceandotherwiseinaccordancewiththe
relevant Order Form. Unless otherwisestatedintheOrderForm,invoicedchargesareduenet30daysfromthe
invoice date. You are responsible for maintaining complete and accurate billing and contact information with Us.
c. O
verdueCharges.IfanychargesarenotreceivedfromYoubytheduedate(exceptchargesthenunderreasonable
andgoodfaithdispute),thenatOurdiscretion,(a)suchchargesmayaccruelateinterestattherateof1.5%ofthe
outstanding balance per month, or the maximum ratepermittedbylaw,whicheverislower,fromthedatesuch
paymentwasdueuntilthedatepaid,and/or(b)WemayconditionfuturesubscriptionrenewalsandOrderForms
on payment terms shorter than those specified in Section 11.5 (Invoicing and Payment).
d. C
harges 30 or MoreDaysOverdue.IfanychargeowingbyYouunderthisoranyotheragreementforDeveloper
Services is 30 or more days overdue (except charges then under reasonable and good faith dispute), We may,
withoutlimitingOurotherrightsandremedies,accelerateYourunpaidfeeobligationsundersuchagreementsso
thatallsuchobligationsbecomeimmediatelydueandpayable,andsuspendDeveloperServicesuntilsuchamounts
are paid in full.
e. T axes. Unless otherwise stated, Our fees do not include any taxes, levies, duties or similar governmental
assessmentsofanynature,includingbutnotlimitedtovalue-added,sales,useorwithholdingtaxes,assessableby
any local, state, provincial, federalorforeignjurisdiction(collectively,“ Taxes”).Youareresponsibleforpayingall
Taxes associatedwithYourpurchaseshereunder.IfWehavethelegalobligationtopayorcollectTaxesforwhich
Youareresponsibleunderthisparagraph,theappropriateamountshallbeinvoicedtoandpaidbyYou,unlessYou
provideUswithavalidtaxexemptioncertificateauthorizedbytheappropriatetaxingauthority.Forclarity,Weare
solely responsible for taxes assessable against it based on Our income, property and employees.
1.4. Confidentiality of Supplemental Developer Services Terms and Pricing. In addition to the terms of Section 6

(Confidentiality) above, the terms and pricing under any Order Forms for Supplemental Developer Services shall be
considered Our Confidential Information.
11.5. Warranties Regarding Supplemental Developer Services.
a. D
eveloper Services. We warrant that (i) the Supplemental Developer Services shall perform materially in
accordance with the User Guide, and (ii) subject to Section 3.3 (Developer Service FeaturesthatIntegratewith
Third-Party Services), the functionality of the Supplemental Developer Services willnotbemateriallydecreased
duringasubscriptionterm.Foranybreachofeithersuchwarranty,Yourexclusiveremedyshallbeasprovidedin
Sections 11.7.b (Termination for Cause) and 11.7.c (Refund or Payment upon Termination) below.
b. M

1.6. IndemnificationbyUsforSupplementalDeveloperServices.WeshalldefendYouagainstanyclaim,demand,suit,

or proceeding (“Claim”) made orbroughtagainstYoubyathirdpartyallegingthattheSupplementalDeveloperServices,
usedaspermittedhereunder,infringeormisappropriatetheintellectualpropertyrightsofathirdparty,andshallindemnify
You for any damages finally awarded against, and for reasonableattorney’sfeesincurredby,Youinconnectionwithany
suchClaim;provided,thatYou(a)promptlygiveUswrittennoticeoftheClaim;(b)giveUssolecontrolofthedefenseand
settlementoftheClaim(providedthatWemaynotsettleanyClaimunlessthesettlementunconditionallyreleasesYouofall
liability); and (c) provide to Us all reasonable assistance, at Our expense. In the event of a Claim or if We believe the
SupplementalDeveloperServicesmayinfringeormisappropriate,WemayinOurdiscretionandatnocosttoYou(i)modify

t he Supplemental Developer Services so that they no longer infringe or misappropriate, while retaining substantially
equivalentfunctionality,(ii)obtainalicenseforYourcontinueduseoftheSupplementalDeveloperServicesinaccordance
withthisAgreement,or(iii)terminateYourSupplementalDeveloperServiceUserSubscriptionsandrefundYouanyprepaid
fees covering the remainderofthetermofsuchUserSubscriptionsaftertheeffectivedateoftermination.Theforegoing
states Our sole liability and Your exclusive remedy for any type of Claim described in this paragraph.
11.7. Term and Termination.
a. T erm of Supplemental Developer ServiceUserSubscriptions.SupplementalDeveloperServiceUserSubscriptions
purchased by You commence on the start date specified in the applicable Order Form and continue for the
subscriptiontermspecifiedtherein.ExceptasotherwisespecifiedintheapplicableOrderForm,allSupplemental
Developer Service User Subscriptions shall automatically renew for additional periods equal to the expiring
subscriptiontermoroneyear(whicheverisshorter),unlesseitherpartygivestheothernoticeofnon-renewalat
least30daysbeforetheendoftherelevantsubscriptionterm.Theper-unitpricingduringanysuchrenewalterm
shall be the same as thatduringthepriortermunlessWehavegivenYouwrittennoticeofapricingincreaseat
least30daysbeforetheendofsuchpriorterm,inwhichcasethepricingincreaseshallbeeffectiveuponrenewal
and thereafter. Any such pricing increase shall not exceed 7% over the pricing for the relevant Supplemental
DeveloperServicesintheimmediatelypriorsubscriptionterm,unlessthepricinginsuchpriortermwasdesignated
in the relevant Order Form as promotional or one-time.
b. T ermination of Agreement for Cause. A party may terminate thisAgreementforcause:(i)upon30dayswritten
noticetotheotherpartyofamaterialbreachifsuchbreachremainsuncuredattheexpirationofsuchperiod,or
(ii) if the other party becomes the subject of a petition in bankruptcy or any other proceeding relating to
insolvency, receivership, liquidation or assignment for the benefit of creditors.
c. R
efund or Payment upon Termination. Upon any terminationforcausebyYou,WeshallrefundYouanyprepaid
fees covering the remainder of the term of all Supplemental Developer Service User Subscriptions after the
effective date of termination. Upon any terminationforcausebyUs,Youshallpayanyunpaidfeescoveringthe
remainderofthetermofallOrderFormsaftertheeffectivedateoftermination.Innoeventshallanytermination
relieve You of the obligation to pay any fees payable to Us for the period prior to the effective date of termination.
12. FORCE.COM SITES
12.1. Force.com Sites. The terms below apply to the Force.com Sites component of the Developer Services.

month. If Your Organization reaches110%ofitsMonthlyPageViewLimitinasinglecalendarmonth,Wewillso
notifyYouviaemail.IfYourOrganizationreaches110%ofitsMonthlyPageViewLimitinfourconsecutivecalendar
months,orreaches300%ofitsMonthlyPageViewLimitinasinglecalendarmonth,YourForce.comSiteswillbe
disabled until the beginning of the next calendar month, and We will so notify You via email.

YourForce.comSitessettings(includingbutnotlimitedtosettingsforsharingofobjectsandvisibilityoflistviews)before
publishing a Force.com Site or enabling webservicesforaForce.comSite.IfYoupublishaForce.comSiteorenableweb
servicesforaForce.comSitewithsettingsthatYoudidnotintend,YoucouldcauseYourconfidentialinformationstoredin
Our online services to be disclosed to unintended third parties or to the public.
2.4. Your Responsibilities. You shall not: (a) offer, permit or promote gambling on a Force.com Site or as part of a

Force.comSiteURL;(b)display,transmitorotherwisemakeavailableonaForce.comSiteoraspartofaForce.comSiteURL
material that is pornographic, obscene, lewd, indecent, or vulgar; (c) display, transmit or otherwisemakeavailableona
Force.comSiteoraspartofForce.comSiteURLmaterialthatisinfringing,threatening,harassing,libelous,hateful,racially
or ethnicallyobjectionable,unlawful,tortious,harmfultochildren,invasiveofanother’sprivacyorviolativeofthird-party
privacy rights; or (d) display or transmit on a Force.com Site or as part of Force.com Site URL material promoting or
providinginstructionalinformationaboutillegalactivities,promotingphysicalharmorinjuryagainstanygrouporindividual,
or promoting any act of cruelty to animals, including, but is not limited to, instructions on how to assemble bombs,
grenades, and other weapons, and “Crush” sites. You shall: (i)havesoleresponsibilityfortheaccuracy,quality,integrity,
legality,reliability,andappropriatenessofallcontentanddatasubmittedtoorpublishedviatheForce.comSitesServiceby
You,byUsers,orbyusersofwebsitescreatedbyYouusingtheForce.comSitesService;(ii)complywithallapplicablelaws
(includingbutnotlimitedtoexportlaws)inusingtheForce.comSitesService;and(iii)usetheForce.comSitesServicesolely
in accordance with its online user guide.
12.5. Subdomain Names.
a. Creation of Subdomains. The Force.com Sites service enables You to create Your own force.com subdomain.
b. R
ejection of Subdomains Before Publication. We may in Our sole discretion reject any force.com subdomain
proposed by You before We publish it as part of a URL or associate a Force.com Site with it.
c. D
isabling of Subdomains After Publication. If, after You have submitted a force.com subdomain and we have
publisheditorassociateditwithaForce.comSite,WedetermineinOursolediscretionthatitviolatestheseTerms
or the Main Services Agreement,orifWereceiveanoticeorclaimallegingthatanysuchsubdomainviolatesor
infringes any law or third-party right, We may disable the associated URL and Force.com Sites and make
reactivation of those Force.com Sites conditional on Your submitting a new subdomain acceptable to Us.
2.6.DisablingofForce.comSitesunderU.S.DigitalMillenniumCopyrightAct.IfWereceiveanoticeallegingthatmaterial

onYourForce.comSiteinfringesanotherparty’scopyright,wemaydisablethatForce.comSiteinaccordancewithTitleIIof
the Digital Millennium Copyright Act of 1998 (Section 512 of the U.S. Copyright Act).
13. WHO YOU ARE CONTRACTING WITH, NOTICES, GOVERNING LAW AND JURISDICTION
3.1.General.WhoYouarecontractingwithunderthisAgreement,whoYoushoulddirectnoticestounderthisAgreement,

whatlawwillapplyinanylawsuitarisingoutoforinconnectionwiththisAgreement,andwhichcourtscanadjudicateany
such lawsuit, depend on where You are domiciled.

day after mailing, (iii) the second business day after sending by confirmed facsimile, or (iv) the first business day after
sendingbyemail(providedemailshallnotbesufficientfornoticesofterminationoranindemnifiableclaim).NoticestoYou
shall be addressed to the system administrator designated by You for YourrelevantServicesaccount,andinthecaseof
billing-related notices, to the relevant billing contact designated by You.
3.3. Agreement to Governing Law and Jurisdiction. Each party agrees to the applicable governing law above without

regard to choice or conflicts of law rules, and to the exclusive jurisdiction of the applicable courts above.
3.4.WaiverofJuryTrial.Eachpartyherebywaivesanyrighttojurytrialinconnectionwithanyactionorlitigationinany

way arising out of or related to this Agreement.

14. GENERAL PROVISIONS
4.1. Export Compliance. Each party shall comply with the export laws and regulations of the United States and other

applicablejurisdictionsinprovidingandusingtheServices.Withoutlimitingtheforegoing,(i)eachpartyrepresentsthatitis
notnamedonanyU.S.governmentlistofpersonsorentitiesprohibitedfromreceivingexports,and(ii)Youshallnotpermit
Users to access or use Services in violation of any U.S. export embargo, prohibition or restriction.
4.2. Third-Party Infrastructure. You acknowledge and agree that theinfrastructureusedtohosttheDeveloperServices

and/or Your Data may be provided by a third-party hosting provider, such as, for example, Amazon Web Services, Inc.
4.3.RelationshipoftheParties.Thepartiesareindependentcontractors.ThisAgreementdoesnotcreateapartnership,

franchise, joint venture, agency, fiduciary or employment relationship between the parties.
14.4. No Third-Party Beneficiaries.There are no third-partybeneficiaries to this Agreement.
4.5. Waiver and Cumulative Remedies. No failure ordelaybyeitherpartyinexercisinganyrightunderthisAgreement

shallconstituteawaiverofthatright.Otherthanasexpresslystatedherein,theremediesprovidedhereinareinadditionto,
and not exclusive of, any other remedies of a party at law or in equity.
4.6.Severability.IfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobecontrarytolaw,the

provisionshallbemodifiedbythecourtandinterpretedsoasbesttoaccomplishtheobjectivesoftheoriginalprovisionto
the fullest extent permitted by law, and the remaining provisions of this Agreement shall remain in effect.
4.7.AttorneyFees.YoushallpayondemandallofOurreasonableattorneyfeesandothercostsincurredbyUstocollect

any fees or charges due Us under this Agreement following Your breach of Section 6.2 (Invoicing and Payment)
4.8. Assignment. Neither party may assign any of its rights or obligations hereunder, whether by operation of law or

otherwise, without the prior written consent of the other party(nottobeunreasonablywithheld).Notwithstandingthe
foregoing,eitherpartymayassignthisAgreementinitsentirety(includingallOrderForms),withoutconsentoftheother
party,toitsAffiliateorinconnectionwithamerger,acquisition,corporatereorganization,orsaleofallorsubstantiallyallof
itsassetsnotinvolvingadirectcompetitoroftheotherparty.Aparty’ssoleremedyforanypurportedassignmentbythe
otherpartyinbreachofthisparagraphshallbe,atthenon-assigningparty’selection,terminationofthisAgreementupon
writtennoticetotheassigningparty.Intheeventofsuchatermination,WeshallrefundtoYouanyprepaidfeescovering
the remainder of the term of all subscriptions after the effective date of termination. Subject to the foregoing, this
Agreement shall bind and inure to the benefit of the parties, their respective successors and permitted assigns.
4.9. Entire Agreement. This Agreement, including all exhibits and addenda heretoandallOrderForms,constitutesthe

entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals or
representations,writtenororal,concerningitssubjectmatter.Nomodification,amendment,orwaiverofanyprovisionof
thisAgreementshallbeeffectiveunlessinwritingandeithersignedoracceptedelectronically bythepartyagainstwhom
themodification,amendmentorwaiveristobeasserted.However,totheextentofanyconflictorinconsistencybetween
the provisions in the body ofthisAgreementandanyexhibitoraddendumheretooranyOrderForm,thetermsofsuch
exhibit, addendum or Order Form shall prevail. Notwithstanding any language to the contrary therein, no terms or
conditionsstatedinYourpurchaseorderorotherorderdocumentation(excludingOrderForms)shallbeincorporatedinto
or form any part of this Agreement, and all such terms or conditions shall be null and void.
