Dear Nikhitha,
On behalf of TELUS Health MyCare Inc. (the “Company”), I am pleased to offer you employment with the
Company on the terms set out below. If you are in agreement with these terms, please return a signed
copy of this Agreement to my attention within five (5) business days of the date set out above.
1. Term
Your employment will commence on the 15th day of November, 2021 or on another agreed-upon date,
and continue until terminated in accordance with this Agreement.
You will be employed in the position of Clinical Operations Associate and will report to Heather Johnston,
Clinical Operations Lead, or such other person as designated by the Company. You will perform all duties
and responsibilities necessary to fulfill this role, as well as such additional and related duties as may be
assigned to you by the Company from time to time.
As the business needs of the Company evolve and change over time, the Company may, from time to
time, amend your duties, responsibilities, title, arrangements as to where you perform your work from,
and reporting arrangements. You agree that this will not constitute a fundamental alteration to your
terms and conditions of employment.
In performing your duties and responsibilities, you will at all times act faithfully, honestly, to the best of
your ability and experience, and in a manner consistent with the best interests of the Company. In
addition, as it relates to your scheduled hours, you will devote your entire working time and attention to
the business of the Company.
It is a condition of your employment that you are at all times legally entitled to work in Canada. Upon
request, you are required to provide the Company with applicable documentation in support of the
above. You are responsible for all costs associated with obtaining and maintaining any necessary work
permits/visa.
3. Hours of Work
You will be required to work up to eight (8) hours per day, five (5) days a week, as determined by the
Company. For greater clarity, your scheduled hours may be longer than the hours you are required to
work so as to take into account unpaid breaks. All overtime must be approved in advance by your
manager in order that it can be tracked and paid. For greater certainty, any overtime that is not brought
to your manager’s attention and approved in advance will not be paid.
4. Probationary Period
The first six (6) months of your employment by the Company will be considered a probationary period.
During the probationary period, the Company will evaluate your performance and suitability for
continued employment. The Company may terminate your employment for cause at any time during the
probationary period without prior notice, pay in lieu of notice, or a combination thereof. “Cause” during
the probationary period includes reasons unsuitability for continued employment in your position. The
Company may terminate your employment at any time during the probationary period without cause
and without further obligation of any kind including without limitation any common law notice or
severance or any compensation or benefits under this Agreement by providing to you only the amount
of notice, pay in lieu of notice, or a combination thereof, that is minimally required by the with B.C.
Employment Standards Act, which shall constitute full and final settlement of any claim or entitlements
that you may have from or against the Company arising from or related to the termination of your
employment, whether pursuant to statute, contract, common law, or otherwise.
5. Payment
During your probationary period, you will be paid an annual base salary of CAD $40,000, bi-weekly, less
statutory deductions, payable in accordance with the Company’s usual payroll practices in force from
time to time. For greater clarity, the base salary amount will be pro-rated based on hours worked each
week as compared to working a forty (40) hour week. Upon successful completion of your probationary
period, your annual base salary will increase to CAD $45,000. This salary change will become effective
on the first day of the payroll period following your passing of probation. You will continue to be paid in
accordance with this section 5.
6. Benefits
You will be eligible to participate in any Company benefit plan applicable to you subject to the terms and
conditions contained in the plan, as amended from time to time. The Company reserves the right to
amend, replace or discontinue such plan at any time in its sole discretion, with or without notice. All
benefit coverage will cease as of the date of termination of employment.
7. Vacation
You will be entitled to four (4) weeks’ paid vacation each calendar year. For greater clarity, an employee
who works two (2) days per week will be entitled to eight (8) days of vacation time each year
compensated at their average pay for those eight (8) days. Vacation entitlement will also be pro-rated to
take into account partial years of service. Vacation requires pre-approval and is to be scheduled and
taken at times that do not conflict with the business needs of the Company. All vacation requests should
be submitted as far in advance as possible. Vacation must be taken within the calendar year in which it is
earned. No vacation may be carried over to the following year.
You will comply with all lawful policies, rules and procedures established by the Company from time to
time including any future revisions of such policies, rules and procedures.
9. Termination of Employment
You may resign your employment by providing the Company with one (1) month advance notice in
writing. At any time following receipt of such notice, the Company may elect to waive a portion or all of
the notice given by you and to direct you not to report for work for any part of the notice period. You
would then be paid all outstanding wages owing up to and including the initial resignation date, less
required deductions.
The Company may terminate your employment at any time without notice or pay in lieu thereof, for
cause. Where the Company terminates your employment for cause, your entitlement to remuneration
pursuant to this Agreement will cease on the date of termination.
Following the probationary period, the Company may terminate your employment at any time without
cause by providing you with notice of termination or pay in lieu of notice (or a combination thereof) in
the amount required by Section 63 of the BC Employment Standards Act, as amended from time to time.
You agree that your right to notice of termination of employment will be limited to the notice provided
for in this Agreement.
You further acknowledge and agree that upon satisfaction of the Company’s obligations under the above
provisions and the payment of outstanding wages (including vacation) and unpaid business expenses,
the Company will have no further liability or obligation to you in respect of the termination of your
employment including, but not restricted to, further compensation or payment of any kind. You hereby
agree to waive any right to further or additional compensation or benefits of any kind, whether pursuant
to contract, the common law or otherwise.
Upon termination of your employment with the Company, you are required to immediately return to the
Company all company documents, files, manuals, books, software, equipment, keys, identification or
credit cards, and all other property belonging to the Company in your possession or control, including
any electronic or other copies you may have ever made thereof.
You agree to be bound by the terms and conditions set forth in the Confidentiality, Intellectual Property
and Restrictive Covenants Agreement attached as Schedule “A” to this Agreement.
You confirm that you are not a party to any agreement, contract or understanding, written or oral, which
may restrict you in any manner from engaging in any activities which you may be required or expected to
perform in connection with your duties with the Company.
This Agreement cancels and supersedes all prior communications, representations, undertakings and
agreements, whether verbal or written, between you and the Company in respect of your employment
with the Company.
In the event that any provision or part of this Agreement is determined to be void or unenforceable in
whole or in part, the remaining provisions, or parts of it, will be and remain in full force and effect.
This Agreement and all matters arising hereunder shall be governed by and construed in accordance
with the laws of the province of British Columbia and the laws of Canada applicable therein. Any legal
action or proceeding commenced by either party arising out of this Agreement will be brought in court
of competent jurisdiction in the Province of British Columbia.

advice with respect to the contents, terms and effect of this Agreement prior to entering into this

SCHEDULE A
1. Confidential Information
“Confidential Information” means trade secrets and other information, in whatever form or media, in the
possession of the Company and owned by the Company or by any of its suppliers, clients or other
business partners (collectively, “Associates”), which is not generally known to the public and has been
specifically identified as confidential or proprietary by the Company or the Associate from whom the
Company has obtained its rights, or by its nature is such that it would generally be considered
confidential in the industry in which the Company operates, or which the Company is legally obligated to
treat as confidential or proprietary. Confidential Information includes, without limitation, the Company’s
ideas, inventions, formulae, techniques, processes, know how, show how, trade secrets, designs,
methods, specifications, plans, devices, financial statements and forecasts, client information,
relationship with consultants and other Associates, contracts, business plans, budgets, accounting
information, documents/programs developed to manage the business costing and pricing methods,
general company policies, training content and programs, and sales and marketing programs, plans and
strategies.
You will have access to Confidential Information in the course of your employment with the Company.
Both during and after your employment, you will maintain the confidentiality of the Confidential
Information of the Company and will protect the Confidential Information from disclosure by exercising a
standard of care as may reasonably be expected to preserve its secret and confidential nature. You will
not, other than as reasonably required in the course of your employment and except as required by law,
use, copy, reproduce, disclose, publish, make available, distribute or otherwise exploit the Confidential
Information, directly or indirectly, without first obtaining the written consent of the Company, including
in respect of any product or service that is competitive with any of the products or services of the
Company.
You acknowledge that irreparable harm may result to the Company if you breach your obligations under
this provision and that such a breach may not properly be compensated by an award of damages.
Accordingly, the remedy for any such breach may include, in addition to other available remedies and
damages, injunctive relief or other equitable relief enjoining such breach at the earliest possible date.
2. Intellectual Property
You agree that the Company will have exclusive ownership in all ideas, discoveries, inventions
(patentable or not), concepts, methods, copyrightable works of authorship, formulae, algorithms,
techniques, processes, know how, trade secrets and other intellectual property and work product,
including all expressions of such intellectual property and work product in any and all forms, which result
from your employment with the Company or which result from the use of the Company’s premises or
property (including equipment, supplies or Confidential Information) owned, leased or licensed by the
Company or which reasonably relate to the Company’s business (together, “Developments”) and that
you will promptly disclose the Developments to the Company in writing. This will be the case, whether or
not a Development is: (i) capable of being protected by copyright, patent, industrial design, trade mark
or other similar legal protection, (ii) conceived or made by you during or outside your regular working
hours, or (iii) conceived or made by you alone or jointly with others.
You hereby irrevocably assign to the Company all rights, title and interest, including intellectual property
rights, that you may now or in the future have in and to the Developments and hereby irrevocably waive
your moral rights and all other similar rights to any and all copyrights subsisting in the Developments. If
required by the Company, you also agree to sign any applications or other documents the Company may
reasonably request: (i) to obtain or maintain patent, copyright, industrial design, trade mark or other
similar protection for the Developments, (ii) to transfer ownership of the Developments to the Company,
and (iii) to assist the Company in any proceeding necessary to protect and preserve the Developments.
The Company will pay for all expenses associated with preparing and filing such documents.
3. Restrictive Covenants
You agree that you will not engage in any pattern of conduct that involves the making or publishing of
written or oral statements or remarks (including, without limitation, the repetition or distribution of
derogatory rumours, allegations, negative reports or comments) which are disparaging, deleterious or
damaging to the integrity, reputation or goodwill of the Company and any of its directors, officers,
employees or agents.
You agree that for a period of twelve (12) months following the termination of your employment,
however caused, you will not, either directly or indirectly, solicit the employment or engagement of or
otherwise entice away an employee of the Company who was employed by the Company at the time of
the termination of your employment, whether or not such person would commit any breach of their
contract of employment by reason of leaving their service.
You recognize and acknowledge that the covenants set out above are fair, reasonable and necessary to
protect the legitimate interests of the Company, and that they shall survive the cessation of your
employment, for any reason whatsoever.
You agree that a breach by you of any of the covenants contained in this provision would result in
damages to the Company and that the Company could not adequately be compensated for such
damages by monetary award. Accordingly, you agree that in the event of any such breach, in addition to
all other remedies available to the Company at law or in equity, the Company will be entitled as a matter
of right to apply to a court of competent jurisdiction for such relief by way of restraining order,
injunction, decree or otherwise, as may be appropriate to ensure compliance with the provisions of this
letter.
