We commit to continue the work started and we are confident we will see more fruitful and productive years for the industry ASSOCIATION OF CARRIERS AND EQUIPMENT LESSORS, (ACEL) INC. 33 SECTION A TERMS AND CONDITIONS ON OPERATED DRY EQUIPMENT RENTAL CONTRACT 1. Datoday rental comracs sal be charged om the ass of minima often (10) hours re day operating and/or standby hours during the first shift of work except in cases of equipment breakdown. On the succeeding shift, only the actual operating hours shall be charged to the Lessee (on an hourly basis. ‘Month-to-month rental contracts shall be charged on the basis of @ minimum of two hundred (200) ‘operating and/or standby hours. Only actual eperating hours in excess of the first wo Iuundred (200) hours shall be charged on a pro-rata basis. One month ix computed as the first 8 hours per day for 25 days or 200 hours. In cases where an equipment is utilized on a holiday or Sunday, a ‘minimum of frst 8 hours per day shall be charged to the Lessee. 3. Rental contract shall commence when the equipment and accessories leave the Lessor's yard and Shall terminate only ypon return of the equipment and accessories to the Lessor's. yard without prejudice to terms and conditions 1 & 2 above, when applicable. 4. The cost of transporting the equipment and accessories and its operators to the Lessee's jobsite and their return to the Lessor's yard shall be for the account of the Lessee. 5. Operators’ wages and cost of maintenance and repairs shall be for the account of the Lessor. 6. Cost of fuel and lubricants of the equipment and accessories shall be for the Lessee's account. A minimum of 5% will be charged over the listed rate if the equipment is used in projects outside ‘Metro Manila to defray expenses incurred for additional overhead and logistical support. If the equipment and accessories contracted for are based outside of Metro Manila or in the province and will be used within the area or locality of the city or municipality of the Lessor’s yard, the ‘Metro Manila terms and conditions shall apply without the 2% additional charge. 7. Ifthe equipment and accessories are idle due to lack of fuel and lubricants which are to he supplied by the Lessee but for the account of the Lessor, a minimun of ten hours per day on a day-to-day rental contract, and a minimum of eight (8) hours per day on a month-to-month rental contract shall be charged provided the equipment and accessories are in operating condition. 8. Incase of non-usage of the equipment and accessories due to: 4) Standby or waiting time - The Lessee shall pay the Lessor the required minimum daily or monthly rental. However, in case of unworkable conditions, the Lessee shall pay PS00.00/unit per day rental or two(2) hours rental of the unit whichever is higher, 4) Immobility and/or equipment stuck-up for reasons due to Lessee's fault - Rental shall continue during the period of immobilization. Lessee shall insure the equipment and accessories for third party liability and for total loss or partial damage to the equipment and accessories while on the designated area of operation. Other insurance coverage inherent to the operation and transport of the equipment and accessories whether on land or by sea shall be for the account of the Lessee. The value of the insurance coverage of the equipment and others will be equivalent to the fair market value of the equipment and accessories or as required by the Lessor. 10. The equipment and accessories contracted shall be under the supervision and responsibility of the Lessee; therefore, Lessee shall be responsible for the safekeeping and scope of work of the equipment and accessories. 11, Equipment Rental Fee is payable in advance for the full contract period and Lessor shall have the ‘option to withdraw the equipment and accessories upon termination of the contract period for which advance payment was received or as mutually agreed upon between the Lessor and Lessee. Rental rates differ on a case to case basis depending on the proximity or isolation of the project from Metro Manila. Furthermore, the rates indicated herein are exclusive of Value Added Tax (VAT). 35, squipment and accessories. The Lessor shall have the right to terminate the contract three (3) days upon written notice to the Lessee for the following reasons: a) if in Lessor’s opinion continued operation will result in ‘accelerated damage to the equipment and accessories and, b) if the Lessee has violated any provision(s) of the rental contract(s) and/or due to non-payment of the stipulated rental fees. However, the cost of returning the equipment and accessories to the yard of the Lessor shall be for the account of the Lessee. 18 Al billings shall be paid wihin thirty (30) days otherwise i shall Bear itrest a the prevaling egal rates. The foregoing are the general terms and conditions of Operated Dry Equipment Rental Contract. However, each contract will be governed by the specific terms and conditions mutually agreed upon between the Lessor and Lessee TERMS AND CONDITIONS ON BARE EQUIPMENT RENTAL CONTRACT Bare monthly equipment rental contracts shall be charged on the basis of a minimum of two hundred (200) hours, use or non-use of the equipment and accessories. Operation in excess 200 hours/month shall be charged on a pro-rata basis. One month is computed as the frst eight (8) hours per day for ‘wenty five (25) days or 200 hours. In cases where the equipment accessories are iilized on a holiday or Sunday, a minimum of first eight (8) hours per day shall be charged to the Lessee. For equipment with indicated rates of daily, weekly and monthly, rental contract shall be charged irrespective of operating hours or flat rate. Equipment rental contract shall commence when the equipment and accessories leave the Lessor's yard and afier they have been checked and tested by the Lessee, and shall terminate only upon return of the equipment and accessories to the Lessor’s yard without prejudice to terms and conditions I above, when applicable. Afer running the equipment and accessories for one hundred (100) hours or ten (10) days, whichever comes first, to the Lessee's satisfaction, the equipment and accessories shall be considered in good operating condition when accepted by the Lessee. Costs associated with breakdown thereafter shall be forthe account of the Lessee. However, any repair within the above period shall be borne by the Lessor except when the breakdown is due to negligence of the Lessee, in ‘which case the Lessee shall bear the cost. This does not apply for equipment with daily, weekly and monthly rates. The Lessor shall have the option to select the Lessee’s operator qualified for the equipment rented. Should the Lessor provide the operator, wages, insurance, board and lodging shall be for the account of the Lessee. 37 5. Cost of fuel and lubricants, maintenance, repairs, transportation and insurance of the equipment and accessories shall efor the Lesse's account, 6. The equipment and accessories contracted shall be under the Lessee; therefore, Lessee shall assume full responsibility for loss, dames ory pa Tah i ‘equipment and accessories and for third party ability. The Lessor shall have the right at any time to inspect his equipment and accessories. For this Purpose, the Lessee agrees to provide free access and facilities to the Lessor to accomplish such inspection. 10. The Lessee shall not sublease, pledge, encumber, dispose or place the equipment and accessories in the possession and/or use of any other person other than his duly authorized agent or employees whose competence and skill to handle and operate the equipment and accessories are warranted by the Lessee. 11. The Lessor shall have the right to terminate the contract three (3) days upon written notice for the following reasons: a) if in Lessor’s opinion continued operation will result in accelerated damage 10 the equipment and accessories, and, b) ifthe Lessee has violated any provision(s) of the rental contract (s) and/or due to nonpayment of rental fee. The cost of returning the equipment and accessories to Lessor’s yard shall be for the account of the Lessee. 12, All billings shall be paid within thirty (30) days; otherwise, it shall bear interest at the prevailing legal rates. The foregoing are the general terms and conditions of Bare Equipment Rental Contract. Idle time is minimized because replacement of malfunctioning equipment by the rental company is assured, MAINTENANCE FREE AND ZERO OBSOLESCENSE - The hassle associated with ‘maintaining a fleet of equipment is eliminated such as repair services, spare parts inventory, ‘maintenance payroll, etc. Ownership of old and obsolete models do not pose a problem. LOWER COSTS, GREATER ROI - Productivity and efficiency will go a long way in ensuring savings and greater return of investment (ROI) for the company. Renting construction equipment will likewise, free the company's working capital for other uses. Personal property taxes and license costs are eliminated. BETTER CREDIT STANDING - Borrowing is easier with better ratio of assets to liabilities since equipment does not appear as a liability inthe balance sheet.
