RELEASE, WAIVER AND QUITCLAIM
Ma. Aurelia P. Florentino, of legal age, Filipino citizen, residing at No. 673 Boni
Avenue, Brgy. Plainview. Mandaluyong City, after having been duly sworn to in
accordance with law, hereby depose and state that:
(1) I am the Executive Vice President of ROMAGO INCORPORATED, a domestic
corporation organized and existing under Philippine law with principal
address at No. 673 Boni Avenue, Brgy. Plainview. Mandaluyong City (the
“Corporation”).
(2) As evidenced by the Secretary’s Certificate attached herein as Annex Aand
made an integral part hereof, I am an attorney-in-fact of the Corporation duly
authorized to execute this Release, Waiver and Quitclaim for and in its behalf,
and in favor of Makati Development Corp. (“MDC”), its parents, subsidiaries,
affiliates, stockholders, officers, directors, employees and agents.
(3) The Corporation hereby acknowledges that the amount of Seventy-four
Thousand Four Hundred Ninety-eight & 96/100 (Php74,498.96), once
received from MDC, shall comprise the final payment of MDC’s engagement of
the Corporation’s services to General Electrical Works of located at Brgy. Sto.
Domingo, Sta. Rosa, Laguna covered by PO No. 5200003484.
(4) The Corporation shall remain responsible for the warranty of the General
Electrical Works which shall expire midnight of December 6, 2022 and MDC
shall release any retained monies once the Corporation has been cleared of
any outstanding warranty obligations.
(5) For and consideration of MDC’s full, final and complete payment, this Release,
Waiver and Quitclaim is hereby being executed by the Corporation in
connection to any and all causes of action, claims, complaints or grievances
whatsoever, be it criminal, civil or otherwise, in respect of any matter
incidental to, connected with or arising out of MDC’s engagement of the
Corporation’s services and/or the Corporation’s status as an independent
contractor; employ of workers, agents and employees, quality of

workmanship and manner of work; use of equipment and materials, and the
quality thereof.
In the event that a case, investigation, proceeding or suit be subsequently
filed which is incidental to, connected with or arising out of any of the
foregoing matters, the Corporation hereby consents, agrees, represents,
warrants, covenants and undertakes to keep MDC’s, its parents, subsidiaries,
affiliates, stockholders, officers, directors, employees and agents free and
harmless from any and all necessary, related and incidental cost, expense and
liability.
In the event that MDC, its parent(s), subsidiary(ies), affiliate(s),
stockholder(s), officer(s), director(s), employee(s) and/or agent(s) is/are
impleaded or made a party or parties to any case, investigation, proceeding
or suit incidental to, connected with or arising out of any of the foregoing
matters, the Corporation hereby waives, releases and forever discharges any
and all claims, actions, complaints or grievances against the former.
(6) The Corporationrepresents, warrants and covenants that payment made
hereunder and the contents of this instrument are, as it shall be considered,
confidential. The Corporation hereby undertakes not to announce, reveal or
disclose the same in any manner whatsoever, and at any time, to any person
or entity.
(7) I acknowledge that I have caused to be prepared and understood this
instrument, read the same and confirm that I have executed it willingly,
voluntarily and with full knowledge thereof, and in behalf of the Corporation
which I represent.
