AFFILIATE CONFIRMATION

1. The Affiliate confirms that it has agreed to participate in the Lazada Affiliates Program (the “Program”) of Lazada E-Services Philippines, Inc. (“Lazada”).

2. The Affiliate confirms that it has read, understood and agrees to be bound by the terms and conditions of this Agreement Form as well as the Lazada Affiliates
Program General Terms and Conditions (the “Program Terms”) as may be amended from time to time, which read together, will be considered as an agreement
between Lazada and the Affiliate.

3. For and in consideration of the Affiliate’s participation in the Program, Lazada may pay the Affiliate such Commission as provided in the Program Terms, or any
other fee as may be determined by Lazada and indicated in the relevant statement of account, payment advice, or similar document issued by Lazada. Affiliate
shall remain liable for payment of all applicable taxes, duties, or government fees.

4. Lazada may set off the amounts due or payable to the Affiliates under this Agreement Form against any amounts due or payable to Lazada that are overdue.

5. The Affiliate agrees to indemnify, defend and hold Lazada, its parent, subsidiaries, corporate affiliates, and their respective officers, directors, employees and
agents, harmless from and against any and all claims, liabilities, suits, actions, penalties, and damages (including reasonable fees for an attorney of Lazada’s
choice) arising in connection with, or alleged to arise in connection with, Affiliate’s participation in the Program, and any payment arising out of this Agreement
Form. Lazada shall not be liable for any indirect, incidental, special, consequential or punitive damages of any kind arising out of or in connection with such
participation or payment, or damages for loss of profits, revenue, business, or cost of substitute procurement, incurred by the Affiliate or any third party, whether
in an action in contract or tort.

6. The Affiliates agrees that execution of this Agreement shall be deemed as binding agreement between and enforceable against Lazada and the Affiliate.

IN WITNESS WHEREOF, this Agreement has been executed by the authorized representatives of the Parties in two (2) originals, each having the same legal effect, on the
date and place specified at the outset of this Agreement Form.
