Answer question b
This theory defines situations in which managers are not motivated by individual goals but
rather as stewards whose motives are aligned with the objectives of their principals.
Stewardship theory is a theory that managers, left on their own, will act as
responsible stewards of the assets they control. Stewardship theorists assume that given a
choice between self-serving behavior and pro-organizational behavior, a steward will place
higher value on cooperation than defection.
The ability of the company to align the espoused values with that of the enacted values
helped them to follow exemplary corporate governance and CSR practices voluntarily.
Display stewardship behaviour in protecting the interests of the shareholders and society.
So when a business group is able to align its espoused values with that of the enacted
values, the managers exhibit stewardship behaviour
Answer question d
It would appear that the separation of powers may be more beneficial for a company in the
long run. In an ideal corporate world, there would be input from two strong minds on the
board an executive salaried CEO and an independent non-executive Chairman. Indeed,
separating the chair and CEO roles can promote overall board independence while allowing
the CEO to focus on the everyday demands of managing a company.
the roles are usually split in an effort to ensure better governance of the company, and in
turn bring higher returns to investors. When the CEO-chairman relationship is strong, the
company benefits from having twice as much talent at the top, each playing a distinct

leadership role, and each supporting the other. In some corporations the CEO sits on the
board, even serving as chairman. Combining the roles does have its advantages, such as
giving the CEO multiple perspectives on the company as a result of their multiple roles, and
empowering them to act with determination.
