10. The LESSOR ~hall during the subsistence of the lease, attend to major
st_
ructural repairs and painting of external areas of the Scheduled Premises. If
however, the structural damage is caused due to the acts of the LESSEE, the
[Link] shall attend to such repairs at their cost and expenses and shall keep
the Scheduled Premises in good and tenantable condition.

11. The LESSEE shall attend to, at their own cost, all other routine maintenance
such as white washing and colour washing .the interiors, keeping electrical,
sanitary, waterlines in·good conditions and such other maintenance as may
be required to keep the Scheduled Premises in good and tenantable
condition, subject to normal wear and tear.

12. The LESSEE shall not be responsible for any damages caused to the
Scheduled Premises due to acts of God, irresistible force, civil war, riots, mob
or army violence.

13. The .LESSEE shall not be entitled to assign, sub-lease its leasehold rights,
pertaining to the Scheduled Premises to anyone without the written approval
of the LESSOR. However, the LESSEE shall be free to allow any of its Sister I
Associate Company/ies to use the said Scheduled Premises, subject however
to the LESSEE being fully and completely responsible for compliance of all
terms of this Agreement including the payment of monthly lease rent to the
LESSOR.

14: The LESSEE, it's Associates I Sister Company/ies shall be allowed to display
its [Link], logo and signboards at no extra cost in the spaces provided for this
purpose and at the entrance door of the Scheduled Premises. Provided
however . that the LESSEE shall comply with the various statutory
requirements, as may be applicable, for display of signage. The LESSOR
herein undertakes to provide space for the LESSEE's main signage across the
frontage of the Schedul~d Premises as well as space at the side to the LESSEE
for putting up a signage.

The LESSEE shall not use or permit to be used the Scheduled Premises for

any unlawfu'L purposes which is likely to endanger the safety of the building
and its structures. The Scheduled Premises shall be used by the LESSEE only
for ttie purpose of running its Store business and its office.

· 18. The LESSEE sh~ll be allowed to install a 25 KvA DG set within the area of the
Scheduled Premises at the1r own cost for the LESSEE's exclusive use.

19. The Lt'.SSEE is also entitled to install furniture and fixtures and wooden
partition cabins, as may be required. The LESSEE shall be entitled to remove
and take away all such items of partitions, furniture and fixtures at the time of
vacating and handing. over possession of the Scheduled Premi~es to the
·LESSOR. Any dsimages caused at the time of such removal shall be borne by
the LESSEE.

20. The LESSEE shall permit the LESSOR, its agents frorn time to time during
reasonable hours in the day time and upon prior intimation to the LESSEE, to
inspect the premises to satisfy himself that the LESSEE is using the premises
in accordance with the terms of this Agreement.

21. The LESSEE shall be entitled to terminate this Agreement at any point of time
during the term of this Agreement by giving 03 (three) months notice in
writing to the LESSOR without assigning any reasons for the said termination.

22. The LESSOR shall be entitled to terminate this Agreeme_nt if the LESSEE fails
to pay the lease rent reserved herein for 03 (three) months, by giving _ 30
(thirty) days notice in writing to the LESSEE to pay the arrears of rent and if
the LESSEE fails to pay such arrears of rent within such 30 days.

23. _ In the event the S_cheduled Premises or any portion thereof becomes unfit for
use and occupation by the LESSEE due to destruction by acts of God, LESSEE
shall inform the LESSOR by a notice in writing and call upon the LESSOR to
rectify and restore the premises within thirty days from the receipt of the
notice. The LESSOR shall attend to such restoration of the premises within
such period as may be mutually agreed upon between the Parties in writing.
The Lease between the Parties shall remain suspended during the period in
which the premises has become unfit for use by the LESSEE and till the
restoration, the LESSEE shall not be required to pay the lease rent for the
premises. If the LESSOR fails to restore the premises to its original position
within such period as agreed upon between the Parties or such further time as
may be granted by the LESSEE to the LESSOR, the LESSEE shall be entitled to
forthwith terminate the said Lease. If however, only a portion of the premises
is damaged and unfit for use by the LESSEE, the lease shall be suspended
only in respect of such portion which has become unfit for use and the
LESSEE shall continue to occupy the rest of' the · premises and pay rents
thereof.

24. On termination of the lease, either by efflux of time or on earlier termination,


the LESSEE shall deliver possession of the premises to the LESSOR in the

25. 1:he LE_SSOR covenants that he is the lawful owner of the premises and has all
nght, t~le and interest to grant this lease to the LESSEE.

26. The LESSEE on paying rents and other charges, if any, as per this agreement
and on duly observing the terms and conditions thereof, shall be entitled·to
quiet and peaceful enjoyment of the Scheduled Premises without any
. obstruction, interruption or disturbance by the LESSOR or any person
claiming through or under him.

27. The LESSEE shall have unlimited access to the Scheduled Premises at all
times during the period of the Agreement.

28. The LESSOR warrants that he has full right and authority to execute this Lease
Deed and to grant the lease of the Scheduled Premises to the LESSEE. The
LESSOR shall indemnify the LESSEE from and against all or any claims,
damages, costs, expenses arising from any lacunae in the LESSOR'S title to
th~ premises.

29. The LESSOR herein agrees that in the event of his defaulting to any Banks /
Financial Institutions and such Banks/ Financial Institutions taking any action
against the LESSOR and if any such action of the Banks/ Financial Institutions
is against the Scheduled Premises, the LESSOR herein undertakes to fully
indemnify the LESSEE against all damages and legal costs that the LESSEE
shall incur.

30. The LESSOR shall hold the interest free refundable security deposit during
the duration of the Said Lease to ensure the performance of the obligations
. of the LESSEE under the Said Lease. The LESSOR shall be liable to refund the
·interest free refundable security deposit to the LESSEE forthwith on
· termination of the Said Lease in terms of this Lease Agreement. It is also
agreed between the LESSOR and the LESSEE that the said security deposit
amount shall be refunded by the LESSOR to the LESSEE after deducting such
arrears of rent, electricity bills, maintenance charges and damages to the
Scheduled Premises, if any, subject only to normal wear and tear.

31. If during the subsistence of this lease, the LESSOR desires to dispose of the ·
Scheduled Premises or any part thereof or assign any right, title or interest
therein to any person / party, the LESSOR may do so only subject to the
condition that the LESSEE'S right under this lease is not affected and the
LESSOR informs the purchaser I transferee or the assignee of the right /
interest, of the leasehold rights of the LESSEE herein and the LESSEE shall
attorn the tenancy in favour of the purchaser/ transferee or assignee of right
/ interest as the case may. In addition, the LESSOR shall obtain a written

32. Notwithstanding anything contained in the Lease Agreement relating to the


Said L~ase and notwithstanding anything contained herein, it is expressly
agreed that the LESSEE's obligation to hand over vacant and peaceful
possession of the Scheduled Premises to the LESSOR shall arise only if the
LESSOR is ready and willing to simultaneously refund and repay the LESSEE,
in one instalment, the said interest free security deposit of Rs. 1176000/-
(Rupees eleven lakhs seventy six thousand Only). In the event of the LESSOR,
failing to refund the said interest free security deposit to the 'LESSEE, the
LESSEE shall be entitled to continue to remain in occupation of the
. Scheduled Premises without payment of any rent or other amount
whatsoever till the interest free refundable security deposit is refunded by the
LESSOR and such staying over in the Scheduled Premises shall not constitute
a default by the LESSEE under this lease agreement.

In case the Parties herein are mutually agreed then the Lessor, shall permit

the LESSEE to continue with the Lease after the expiry of 09 (Nine) years
under new terms and conditions. Fresh Lease deed would be executed and
registered for such extension.

Any notice to be issued by one party to the other shall be sent to the

addresses as mentioned in this agreement by registered post
acknowledgement due. Any changes in the address shall be communicated
forthwith to the other party.

In the event of any dispute or difference arising from this agreement, the

same shall, unless settled by mutual discussions, be referred to the Sole
Arbitration of a person to be appointed by both Parties. Such Arbitration shall
be conducted in accordance with the provisions of the Arbitration and
. Conciliation Act, .1996 as in force and as amended from time to time. The
decision of the .Arbitrator shall be final and binding upon the·parties. The Sole
Arbitrator shall pass his award within 90 days from the date of his entering
reference or within such other extended time as the parties may mutually
agree upon. The venue of the Arbitration proceeding shall be in Bangalore.
This agreement is an agreement for arbitration within the meaning of The
. Arbitration and Conciliation Act, 1996 including any statutory modification
thereof.
