CHAPTER – 1
INTRODUCTION:
Incorporated as a private limited company in Jul.'46 Bright Brothers (BBL) was converted
into a public limited company in Oct.'94. BBL was promoted by S T Bhogwani. Other companies
in the Bright group are Brite Automotives & Plastics T W Bhojwani Leasing Pvt Ltd and Bright
International Casettes Pvt Ltd. In Dec.'94 BBL came out with a public issue of 10.65 lac equity
shares at a premium of Rs 55 each aggregating Rs 6.92 cr to part-finance a project to set up an
injection moulded plastic components unit at Gurgoan Haryana; and for office seating systems at
Tarapur Maharashtra totalling Rs 22.15 cr. BBL is a pioneer in the plastics industry and has
products ranging from houseware to consumer electronics car and motor accessories under the
brand name Brite. Some of its select clients include Maruti Udyog TELCO etc. The company has
entered into a license agreement with Provendra Marketing Switzerland for use of the trade mark
Sitag & Britesitag. The company executed an export order through their technical collaborator. The
company has also entered into a technical collaboration agreement with M/s Reydel Italia S P A
Italy for obtaining latest technical know-how for manufacturing automotive components.It has
embarked on a major diversification plan in the office furniture market. The range will include
chief executive chairs executive chairs typist chairs etc. The company was successful in
completing the first step of its restructuring exercise in the year 1998-99. As a part of the cost
management excercise it announced a VRS for its unionised employees at its factory in
Bombay.Brite Automotive and Plastics (BAPL) was amalgamated with the company with effect
from 1st April 1999. Accordinlgy one equity share of Rs.10/- each of Bright Brothers Ltd was
allotted for every two equity shares of Rs.10/- each of BAPL. In 2000-01 the company had set up
its new manufacturing unit at Pondicherry. It has also acquired a Plastic manufacturing unit from
Whirlpool of India Ltd.

MILESTONE :
1947 - On July 11 Bright Brothers Limited was incorporated in Mumbai.
1948 - The Group pioneered injection Molding technology in the Indian Plastic Industry.
1962 - We commissioned a state-of-the-art factory, at Mumbai.
1986 - Brite Automotive & Plastics Limited, a company specializing in the manufacture of
thermoplastic automotive components was set up in Pithampur meeting requirements
of Kinetic Honda, Bajaj Tempo & Hindustan Motors.
1989 - In March, the Tarapur Plant was inaugurated to cater the needs of the
Television Cabinets manufactured by the growing Television Industry. In
November, another plant was set up at Thribhuvanai, Pondicherry for
molding of large parts for washing machine manufactured by Whirlpool of
India Ltd.
1994 - In October our plant was inaugurated at Sohna, Gurgaon catering to requirements
of Maruti Udyog Ltd., Honda Motorcycles &Scooters India Ltd., Sony &
Whirlpool of India Ltd.
1999 - In June our plant was started in Thane.
2001 - In August Whirlpool Plastic division at Faridabad was acquiredfor supplies to
Whirlpool of India.
2005 - In January our Pune plant was started for supplies to TELCOand Whirlpool.
2006 - Plant in Chennai set up to meet the requirements of HyundaiMotors India Ltd
2008 - After a restructuring, the plants at Pithampur, Sohna, Chennaiand Pune are divested
from.
2009 - A running factory was acquired in Bhimtal, to cater to the requirements of
Eureka Forbes.
2012 - A 2nd plant set up in Pondicherry to cater to requirements of Procter and Gamble.

RECRUITMENT:
According to Edwin Flippo, “Recruitment is the process of searching for prospective
employees and stimulating them to apply for jobs in the Organization”. Recruitment is an
ongoing process, and certain vacancies are not resolved, and the company seeks to develop
qualified candidates to meet the needs of future human resources. Typically, the recruitment
process begins when an administrator starts recruiting staff for a specific vacancy or expected

CODE OF FAIR DISCLOSURE :
The Company endeavors to preserve the confidentiality of un-published price sensitive
information and to prevent misuse of such information. The Company is committed to
transparency and fairness in dealing with all stakeholders and in ensuring adherence to all
laws and regulations. Every promoter, director and employee who deals with unpublished
price sensitive information has a duty to safeguard the confidentiality of all such information
obtained in the course of his or her work at the Company. There shall be no selective
disclosure of the information and the Company and every employee of the Company shall
endeavor to ensure equal accessibility of information to all the stakeholders associated with
the Company.
RISK MANAGEMENT POLICY:
Bright Brothers Limited (“the Company”) considers ongoing risk management to be a
core component of the management of the Company and understands that the Company’s
ability to identify and address risk is central to achieving its corporate objectives. The
Company’s risk management policy outlines the program implemented by the Company to
ensure appropriate risk management within its systems and culture. This is in compliance
with the clause 49 of Listing Agreement and provisions of Companies Act, 2013 which
required the Company to lay down procedures about risk assessment and risk minimization
RISK MANAGEMENT PROGRAM
. To achieve this, the Company has clearly defined the responsibility and authority of the
Company’s Board of Directors (Board) and of the Risk Management Committee to oversee
and manage the risk management program, while conferring responsibility and authority on
the Company’s senior management to develop and maintain the risk management program in
the light of the day to day needs of the Company. Regular communication and review of risk
management practice provides the Company with important checks and balances to ensure
the efficacy of its risk management program.

RISK IDENTIFICATION
In order to identify and assess material business risks, the Company defines risks and
prepares risk profiles in light of its business plans and strategies. This involves providing an
overview of each material risk, making an assessment of the risk level and preparing action
plans to address and manage the risk. The Company presently focuses on the following types

WHISTLE BLOWER POLICY:
The objectives of the Company’s Whistle-Blower Policy are to establish policies and
procedures for the following:-
To enable stakeholders, including individual employees to freely communicate their
concerns about illegal or unethical practices in the Company, if any.
Reporting of concerns by directors and employees about unethical behaviour, actual or
suspected fraud or violation of the Company’s code of conduct or ethics policy or any
other genuine concerns or grievances.
To provide for adequate safeguards against victimisation of employees and directors who
avail of the vigil mechanism and also provide for direct access to the Chairperson of the
Audit Committee.
CODE OF BUSINESS CONDUCT AND ETHICS:
This Code of Conduct (hereinafter referred to as “the Code”) has been framed and
adopted by Bright Brothers Limited (hereinafter referred to as “the Company”) in compliance
with the provisions of Clause 49 of the Listing Agreements entered into by the Company with
the Stock Exchanges. This Code helps ensure compliance with legal requirements and our
standards of business conduct

POLICY FOR DETERMINING MATERIALITY OF EVENTS AND INFORMATION
FOR DISCLOSURES :
The Securities and Exchange Board of India (SEBI) has issued and notified “SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015 (the “Regulations”).
The Regulations inter-alia require companies whose securities are listed on the Stock
Exchanges to make disclosures of certain events in a timely manner to enable the holders of
securities to apprise its position and to avoid the establishment of a false market. Pursuant to
the requirements stated above, Bright Brothers Limited (the Company) has framed and
adopted the Policy for determining materiality of events and information for disclosures (the
Policy).
REMUNERATION POLICY FOR DIRECTORS, KEY MANAGERIAL PERSONNEL
AND OTHER EMPLOYEES:
The objective of remuneration policy is to attract, motivate and retain qualified and
expert individuals that the Company needs in order to achieve its strategic and operational
objectives, whilst acknowledging the societal context around remuneration and recognizing
interest of stakeholder

i) REMUNERATION TO EXECUTIVE DIRECTORS AND KEY MANAGERIAL
PERSONNEL
a. The Board on recommendation of Nomination and Remuneration Committee, shall
review and approve the remuneration payable to the Executive Directors of the Company
within the overall limits approved by the shareholders.
b. The Board, on the recommendation of the Committee, shall also review and approve
the remuneration payable to the Key Managerial Personnel of the Company.

c. The remuneration structure to the Executive Directors and Key Managerial Personnel
shall include the following components:
- Basic Pay
- Perquisites and allowances
- Commission
- Retiral benefits
- Annual Performance Bonus
d. The Annual Plan and objectives for Executive Directors and Key Managerial
Personnel shall be reviewed by the Nomination and Remuneration Committee and Annual
Performance Bonus will be approved by the Committee based on the achievements against
the Annual Plan and Objectives.
II) REMUNERATION TO NON-EXECUTIVE DIRECTORS
a. The Board, on the recommendation of the Nomination and Remuneration Committee,
shall review and approve the remuneration payable to the Non-Executive Directors of the
Company within overall limits approved by the shareholders
b. Non-Executive Directors shall be entitled to sitting fees for attending the meetings of
the Board and the Committees thereof. The Non-Executive Directors shall also be entitled
to profit related commission in addition to the sitting fees.
iii) Remuneration to other employees
Employees shall be assigned grades according to their qualification and wok
experience, competencies as well as their roles and responsibilities in the organization.
Individual remuneration shall be determined within the appropriate grade and shall be based
on various factors such as job profile, skill sets, experience and prevailing remuneration
levels for equivalent jobs.

TRAINING TOWARDS SAFETY MEASURES:
1.Proper training program is given to the employees regarding the safety
measures to undertaken at the outbreak of any accidents.
2.This helps the employees to know about how to act and proceed
spontaneously at the time of any accident.
3.This will reduce the impact of the accident if any

FINDINGS:
1. Employees are getting proper training and good team work is there
in the organization.
2. The organization follows good health and safety measures.
3. The staffs and workers were friendly.
4. Regular records are followed by every department.
5. There is no proper restroom facility for the security workers, they
need to go 1km away to reach the restroom, which is near the
industry plant.
6. Most of the employee works under neem scheme.
7. The entire workers are not permanent, many workers work as a
trainee. The organization provides good employment opportunities.
8. The organization has a good atmosphere.
9. There is no proper transportation facility for the employees to
reach the organization.
SUGGESTIONS:
There is no proper waiting room in the entrance, which has to be addressed.
The company can arrange restroom facility for the security workers, who is working on
the entrance, near their working place itself. So that they no need to move far from their
working place.
Recognition can be given to the empoloyee so that it may increase their efficiency.
Suggestion from employees and customers can be collected.
The company can provide transport facility to its employees and its workers.

CONCLUSION:
This study was carried out to mainly to gain insight about the organization
structure and its RECRUITMENT AND SELECTION PROCESS in BRITE
BROTHERS PRIVATE LIMITED, Thirubhvanai. An effective recruitment and
selection process reduces turnover, we also get much better results in
recruitment process if we advertise specific criteria that are relevant to the job.
Include all necessary skills, and include a list of desired skills that are not
necessary but that would enhance the candidate's chances. If we fail to do this,
we might end up with a low-quality pool ofcandidates and wind up with
limited choices to fill the open position. When we choose a candidate based
upon the qualifications demonstrated in the resume, the interview,
employment history and background check, we will land the best fit for the
position. Based on our decisions about a specific candidate upon specific
evidence rather than any gut instincts. If we hire people who can do the job
instead of people we merely like, we will have higher productivity and quality
in our products or services.
