MEMORANDUM OF AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Contract, made and executed in ______________, Philippines this
____________________ by and between:
FLORADEE FAITH DE GUZMAN, of legal age, Filipino and resident of
Tanza Municipal Hall Tanza Command Center Pes Office A Soriano Street
Highway, Daang Amaya 1, Tanza, Cavite , Philippines, hereinafter referred to
as the FIRST PARTY;
And
CHERRY GRACE VALENZUELA, of legal age, and a resident of Poly
Subdivision, Davao City, Philippines, hereinafter referred to as the SECOND
PARTY.
WITNESSETH
WHEREAS, the FIRST PARTY is owner of a Rolex Watch model Rolex
Datejust, machine no. 2135/A8F. 9326075, Serial No. 68278/Gold, Model
1987;
WHEREAS, the FIRST PARTY desires to sell the said watch and SECOND
PARTY has offered to help the FIRST PARTY to sell the said watch;
NOW, THEREFORE, for and in consideration and of the covenants
hereinafter set forth, the FIRST PARTY agrees to ship the said watch without
any commitment from the SECOND PARTY that it shall be considered sold for
only 15 days, to wit:
1. That the SECOND PARTY agrees to help the FIRST PARTY sell the
said watch for 15 days without any commitment that once the watch
is received by the SECOND PARTY it shall not be considered as sold
unless there is a third party buyer;
2. That both parties agree that if the watch will not be sold in the
possession of the SECOND PARTY, the SECOND PARTY will ship back
the watch to the FIRST PARTY without any commitment or promise
of payment after 15 days from receipt of the said watch;
3. That in case the watch will be sold in the possession of the SECOND
PARTY, the SECOND PARTY is obliged to deposit the proceeds to the
account of the FIRST PARTY immediately;
4. That this agreement shall in no case or mean that the SECOND
PARTY has an obligation to pay to the FIRST PARTY. This is a simple
agreement that the SECOND PARTY is willing to help the FIRST

PARTY sell her rolex watch and if not sold, the SECOND PARTY has
the obligation to return the same to the FIRST PARTY and the FIRST
PARTY is obliged to accept it;
5. The PARTIES herein shall COMPLY with the terms and conditions of
this agreement in utmost good faith;
6. That the SECOND PARTY reserves the right to rescind this contract
in case the FIRST PARTY will not accept if the watch will not be sold.
The SECOND PARTY has the option to deposit and consign the said
watch to court as a security in case the FIRST PARTY will demand
and file illusionary cases against the SECOND PARTY in case the said
watch will not be sold;
IN WITNESS WHEREOF, the parties hereunto signed those presents in
the Davao City, Philippines on this ____________________.

This instrument, MEMORANDUM OF AGREEMENT, consisting of two (2)
pages, including the page on which this acknowledgement is written, has been
signed on the left margin of each and every page thereof by the parties and
their witnesses, and sealed with my notarial seal.
